The Companies (Forms) Regulations 1991

The Secretary of State, in exercise of the powers conferred on himby sections 190(5), 353(2) and 744(1)of the Companies Act 1985(2), hereby makes the following Regulations:—

1.  These Regulations may be cited as the Companies (Forms) Regulations1991.

2.  With effect from 1st May 1991 form 363s in Schedule 2 to theCompanies (Forms Amendment No. 2 and Company’s Type and PrincipalBusiness Activities) Regulations 1990(3) is a form prescribed for the purposes of sections 190(5)and 353(2) of the Companies Act 1985, but only where such a form hasbeen delivered to a company by the registrar of companies for thepurposes of an annual return by that company.

Explanatory Note

(This note is not part of the Regulations)

These Regulations enable companies to use annual return form 363s,which was prescribed by the Companies (Forms Amendment No. 2 andCompany’s Type and Principal Business Activities) Regulations 1990, tonotify:

(a)the place where any register of debenture holders or duplicate ofsuch a register is kept, and any change in that place, and

(b)the place where the register of members is kept and any change inthat place.
