12Tramgwyddau gan gyrff neu bartneriaethau

(1)Pan fo corff corfforaethol yn euog o dramgwydd o dan y Mesur hwn, ac y profir bod y tramgwydd hwnnw wedi'i gyflawni gyda chydsyniad neu ymoddefiad unrhyw un o'r canlynol, neu os gellir priodoli'r tramgwydd i unrhyw esgeulustod ar ran unrhyw un o'r canlynol—
(a)unrhyw gyfarwyddwr, rheolwr, ysgrifennydd neu swyddog arall cyffelyb o'r corff corfforaethol; neu
(b)unrhyw berson a oedd yn honni ei fod yn gweithredu yn rhinwedd unrhyw swyddogaeth o'r fath,
bydd y person hwnnw yn euog o'r tramgwydd yn ogystal â'r corff corfforaethol a bydd yn agored i gael ei erlyn a'i gosbi'n unol â hynny.
(2)At ddibenion yr adran hon, ystyr “cyfarwyddwr” (“director”), mewn perthynas â chorff corfforaethol y mae ei faterion yn cael eu rheoli gan ei aelodau, yw aelod o'r corff corfforaethol.
(3)Mae achos am dramgwydd yr honnir ei fod wedi'i gyflawni o dan y Mesur hwn gan gorff anghorfforedig i'w ddwyn yn enw'r corff hwnnw (ac nid yn enw unrhyw un o'i aelodau) ac, at ddibenion unrhyw achos o'r fath, mae effaith i unrhyw reolau llys sy'n ymwneud â chyflwyno dogfennau fel petai'r corff hwnnw yn gorfforaeth.
(4)Mae unrhyw ddirwy a osodir ar gorff anghorfforedig adeg ei gollfarnu o dramgwydd o dan y Mesur hwn i'w thalu allan o gronfeydd y corff hwnnw.
(5)Os bydd corff anghorfforedig yn cael ei gyhuddo o dramgwydd o dan y Mesur hwn mae effaith i adran 33 o Ddeddf Cyfiawnder Troseddol 1925 (p. 86) ac Atodlen 3 i Ddeddf Llysoedd Ynadon 1980 (p. 43) mewn perthynas â'r corff anghorfforedig fel petai corfforaeth wedi'i chyhuddo.
(6)Os profir bod tramgwydd o dan y Mesur hwn sydd wedi'i gyflawni gan gorff anghorfforedig (ac eithrio partneriaeth) wedi'i gyflawni gyda chydsyniad neu ymoddefiad unrhyw un o swyddogion y corff hwnnw neu unrhyw aelod o'i gorff llywodraethu, neu os gellir priodoli'r tramgwydd hwnnw i unrhyw esgeulustod ar ran unrhyw un o swyddogion y corff hwnnw neu unrhyw aelod o'i gorff llywodraethu, bydd y person hwnnw yn ogystal â'r corff, yn euog o'r tramgwydd a bydd yn agored i gael ei erlyn a'i gosbi'n unol â hynny.
(7)Os profir bod tramgwydd o dan y Mesur hwn sydd wedi'i gyflawni gan bartneriaeth neu bartneriaeth Albanaidd wedi'i gyflawni gyda chydsyniad neu ymoddefiad partner, neu os gellir priodoli'r tramgwydd hwnnw i unrhyw esgeulustod ar ran partner, bydd y partner hwnnw yn ogystal â'r bartneriaeth, yn euog o'r tramgwydd a bydd yn agored i gael ei erlyn a'i gosbi'n unol â hynny.
