commencement and application</heading><hcontainer name="regulation" eId="regulation-1"><num>1.</num><paragraph eId="regulation-1-1"><num>(1)</num><content><p>These Regulations may be cited as the Education (Foundation Body) (Wales) Regulations 2001.</p></content></paragraph><paragraph eId="regulation-1-2"><num>(2)</num><content><p>These Regulations shall come into force on 1st September 2001.</p></content></paragraph><paragraph eId="regulation-1-3"><num>(3)</num><content><p>These Regulations apply only to Wales.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Interpretation</heading><hcontainer name="regulation" eId="regulation-2"><num>2.</num><paragraph eId="regulation-2-1"><num>(1)</num><content><p>In these Regulations:</p><blockList class="unordered none" ukl:Name="UnorderedList" ukl:Decoration="none"><item><p>“the <abbr title="School Standards and Framework Act 1998 c. 31">1998 Act</abbr>” (“<i><abbr title="Deddf Safonau a Fframwaith Ysgolion 1998 p. 31">Deddf 1998</abbr></i>”) means the School Standards and Framework Act 1998;</p></item><item><p>“the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr>” (“<i>y <abbr title="Rheoliadau Newid Categori Ysgolion a Gynhelir (Cymru) 2001 (O.S. 2001/2678 (Cy. 219))">Rheoliadau Newid Categori</abbr></i>”) means the Change of Category of Maintained Schools (Wales) Regulations 2001<authorialNote class="footnote" eId="f00003" marker="3"><p><abbr class="acronym" title="Statutory Instrument">S.I.</abbr> 2000/</p></authorialNote>;</p></item><item><p>“the clerk” (“<i>y clerc</i>”) means the clerk to the foundation body appointed in accordance with regulation 14;</p></item><item><p>“community member” (“<i>aelod cymunedol</i>”) means a member of the foundation body nominated by the governing bodies of schools within the group and appointed by the governor members of the foundation body under regulation 5(b) or 8(4);</p></item><item><p>“the dissolution date” (“<i>y dyddiad diddymu</i>”) means the date, on which a foundation body is to be dissolved, specified in an order of the <abbr title="the National Assembly for Wales">National Assembly</abbr> in accordance with regulation 9(5) or 24(1);</p></item><item><p>“the formation date” (“<i>y dyddiad ffurfio</i>”) means the date, on which a group is to be formed, specified in writing by the <abbr title="the National Assembly for Wales">National Assembly</abbr> under regulation 6(1);</p></item><item><p>“governor member” (“<i>llywodraethwr-aelod</i>”) means a member of the foundation body appointed by the governing body of a school under regulation 8(1) or (3) or regulation 21(8);</p></item><item><p>“group” (“<i>grŵ p</i>”) means the group of three or more schools for which a foundation body performs the following functions, namely—</p><blockList class="ordered alpha parens" ukl:Name="OrderedList" ukl:Type="alpha" ukl:Decoration="parens"><item><num>(a)</num><p>to hold property of those schools for the purposes of those schools, and</p></item><item><num>(b)</num><p>to appoint foundation governors for those schools;</p></item></blockList></item><item><p>“initial governor member” (“<i>llywodraethwr-aelod cychwynnol</i>”) shall be construed in accordance with regulation 4(4);</p></item><item><p>“the joining date” (“<i>y dyddiad ymuno</i>”) means the date on which a school joins a group, specified in writing by the <abbr title="the National Assembly for Wales">National Assembly</abbr> under regulation 21(3);</p></item><item><p>and “the leaving date” (“<i>y dyddiad ymadael</i>”) means the date on which a school leaves a group, specified in writing by the <abbr title="the National Assembly for Wales">National Assembly</abbr> under regulation 22(1); and</p></item><item><p>“the <abbr title="the National Assembly for Wales">National Assembly</abbr>” (“<i>y <abbr title="yw Cynulliad Cenedlaethol Cymru">Cynulliad Cenedlaethol</abbr></i>”) means the National Assembly for Wales.</p></item></blockList></content></paragraph><paragraph eId="regulation-2-2"><num>(2)</num><content><p>In these Regulations, unless the context otherwise requires, a reference to a numbered regulation or to a Schedule is a reference to a numbered regulation or, as the case may be, to a Schedule to these Regulations and a reference in a regulation or Schedule to a numbered paragraph is a reference to the paragraph so numbered in that regulation or Schedule.</p></content></paragraph><paragraph eId="regulation-2-3"><num>(3)</num><intro><p>Where any land is transferred to and vests in any body in accordance with these Regulations, any rights or liabilities—</p></intro><level class="para1" eId="regulation-2-3-a"><num>(a)</num><content><p>enjoyed or incurred by the transferor in connection with the land; and</p></content></level><level class="para1" eId="regulation-2-3-b"><num>(b)</num><content><p>subsisting immediately before the transfer of the land,</p></content></level><wrapUp><p>shall also be transferred to, and by virtue of these Regulations vest in, that body.</p></wrapUp></paragraph><paragraph eId="regulation-2-4"><num>(4)</num><content><p>Expressions used in these Regulations set out in the first column of the following table shall have the meanings attributed to them by the provisions set eId="regulation-2-5"><num>(5)</num><content><p>A reference to a category in any provision of these Regulations is a reference to one of the categories set out in section 20(1) of the <abbr title="School Standards and Framework Act 1998 c. 31">1998 Act</abbr>.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Foundation bodies and groups</heading><hcontainer name="regulation" eId="regulation-3"><num>3.</num><paragraph eId="regulation-3-1"><num>(1)</num><intro><p>Subject to paragraph (2)—</p></intro><level class="para1" eId="regulation-3-1-a"><num>(a)</num><content><p>a school may only form part of a group; and</p></content></level><level class="para1" eId="regulation-3-1-b"><num>(b)</num><content><p>the governing body of a school may only apply to the <abbr title="the National Assembly for Wales">National Assembly</abbr> for the establishment of a foundation body,</p></content></level><wrapUp><p>if that school is a foundation or voluntary school or if it is a community school which the governing body propose should become a foundation or voluntary school.</p></wrapUp></paragraph><paragraph eId="regulation-3-2"><num>(2)</num><content><p>A school which has a foundation, other than a foundation body, may not form part of a group and its governing body may not propose the establishment of a foundation body.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Establishment of foundation bodies</heading><hcontainer name="regulation" eId="regulation-4"><num>4.</num><paragraph eId="regulation-4-1"><num>(1)</num><content><p>A foundation body may only be established under section 21 of the <abbr title="School Standards and Framework Act 1998 c. 31">1998 Act</abbr> in accordance with the following provisions of this regulation.</p></content></paragraph><paragraph eId="regulation-4-2"><num>(2)</num><content><p>The governing bodies of the three or more schools which wish a particular foundation body to be established and which propose to form the group for which the foundation body will act shall together apply to the <abbr title="the National Assembly for Wales">National Assembly</abbr> for the establishment of that foundation body.</p></content></paragraph><paragraph eId="regulation-4-3"><num>(3)</num><intro><p>The application shall contain—</p></intro><level class="para1" eId="regulation-4-3-a"><num>(a)</num><content><p>a statement that the application has been agreed by the governing body of each school;</p></content></level><level class="para1" eId="regulation-4-3-b"><num>(b)</num><content><p>a draft instrument of government for the foundation body based on the model set out in Schedule 1; and</p></content></level><level class="para1" eId="regulation-4-3-c"><num>(c)</num><intro><p>a statement containing—</p></intro><level class="para2" eId="regulation-4-3-c-i"><num>(i)</num><content><p>the names of the initial governor members of the foundation body to be appointed in accordance with regulation 8(1);</p></content></level><level class="para2" eId="regulation-4-3-c-ii"><num>(ii)</num><content><p>the date on which it is proposed that the foundation body will be established; and</p></content></level><level class="para2" eId="regulation-4-3-c-iii"><num>(iii)</num><content><p>the category in which it is proposed that each school will enter the group or a statement that a particular school will enter in its existing category.</p></content></level></level></paragraph><paragraph eId="regulation-4-4"><num>(4)</num><intro><p>If the <abbr title="the National Assembly for Wales">National Assembly</abbr> approves the application—</p></intro><level class="para1" eId="regulation-4-4-a"><num>(a)</num><content><p>a foundation body shall be established as a body corporate under section 21 of the <abbr title="School Standards and Framework Act 1998 c. 31">1998 Act</abbr> on a date specified by the <abbr title="the National Assembly for Wales">National Assembly</abbr> in writing; and</p></content></level><level class="para1" eId="regulation-4-4-b"><num>(b)</num><content><p>on the date of establishment, the initial governor members specified in the application, subject to any changes agreed by the <abbr title="the National Assembly for Wales">National Assembly</abbr> with the governing body or bodies in question, shall be the initial governor members of the foundation body.</p></content></level></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-5"><num>5.</num><intro><p>After establishment of the foundation body and before the formation date, the initial governor members must—</p></intro><level class="para1" eId="regulation-5-a"><num>(a)</num><content><p>adopt the instrument of government in the form approved by the <abbr title="the National Assembly for Wales">National Assembly</abbr>;</p></content></level><level class="para1" eId="regulation-5-b"><num>(b)</num><content><p>appoint community members from those nominated in accordance with regulation 8(2); and</p></content></level><level class="para1" eId="regulation-5-c"><num>(c)</num><content><p>select persons to be appointed as foundation governors to schools in the group,</p></content></level><wrapUp><p>and the foundation body may only exercise its powers before that date for or in connection with those purposes.</p></wrapUp></hcontainer><hcontainer name="regulation" eId="regulation-6"><num>6.</num><paragraph eId="regulation-6-1"><num>(1)</num><intro><p>If the <abbr title="the National Assembly for Wales">National Assembly</abbr> is satisfied that the membership of the foundation body has been properly constituted, that the instrument of government has been adopted and that the schools have or will on entering the group become schools of the category specified in the application, it shall by notice in writing provide that—</p></intro><level class="para1" eId="regulation-6-1-a"><num>(a)</num><content><p>the foundation body shall perform the functions conferred on it by these Regulations for the schools in the group as from a date specified by it; and</p></content></level><level class="para1" eId="regulation-6-1-b"><num>(b)</num><content><p>the schools specified in the application shall on that date form the group for which the foundation body is to act.</p></content></level></paragraph><paragraph eId="regulation-6-2"><num>(2)</num><content><p>If the <abbr title="the National Assembly for Wales">National Assembly</abbr> is not so satisfied within what is, in its opinion, a reasonable time in all the circumstances it may by order dissolve the foundation body on such date as it may specify in the order.</p></content></paragraph><paragraph eId="regulation-6-3"><num>(3)</num><content><p>Where any of the schools is entering the group under a different category from its existing category, the date specified in accordance with paragraph (1) must be the date on which it is intended that the change of category should take place in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr>.</p></content></paragraph><paragraph eId="regulation-6-4"><num>(4)</num><content><p>Subject to paragraph (5), on the date specified in accordance with paragraph (1) any land, other than land held on trust, which, immediately before that date, is held by the governing body of any school entering the group for the purposes of that school shall on that date be transferred to, and by virtue of this regulation vest in, the foundation body for the purposes of the schools comprising the group for which that body acts.</p></content></paragraph><paragraph eId="regulation-6-5"><num>(5)</num><content><p>Paragraph (4) does not apply in relation to a school where following approval of proposals published in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr>, the school is entering the group in a different category from its existing category.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-7"><num>7.</num><content><p>The governing body of any school in, or to be in, the group which is not entering the group in a different category from its existing category must notify the local education authority that the instrument of government for the school should identify the foundation body as the appointing body for the purpose of appointing foundation governors.</p></content></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Membership of foundation bodies</heading><hcontainer name="regulation" eId="regulation-8"><num>8.</num><paragraph eId="regulation-8-1"><num>(1)</num><content><p>The governing body of each school which proposes the establishment of the foundation body must appoint a member of the governing body to be a governor member of that foundation body.</p></content></paragraph><paragraph eId="regulation-8-2"><num>(2)</num><content><p>The governing bodies of the schools which propose the establishment of the foundation body must nominate persons to be community members.</p></content></paragraph><paragraph eId="regulation-8-3"><num>(3)</num><intro><p>If a governor member ceases to hold office then—</p></intro><level class="para1" eId="regulation-8-3-a"><num>(a)</num><content><p>the clerk must notify the governing bodies of all schools in the group; and</p></content></level><level class="para1" eId="regulation-8-3-b"><num>(b)</num><content><p>the governing body who appointed that governor member must appoint a new governor member at their next full meeting.</p></content></level></paragraph><paragraph eId="regulation-8-4"><num>(4)</num><intro><p>If a community member ceases to hold office or there is a need to appoint a new community member because a school has joined the group—</p></intro><level class="para1" eId="regulation-8-4-a"><num>(a)</num><content><p>the clerk must notify the governing bodies of all schools in the group; and</p></content></level><level class="para1" eId="regulation-8-4-b"><num>(b)</num><content><p>the governor members of the foundation body must appoint a replacement or a new community member on the basis of nominations made by the governing bodies of schools in the group.</p></content></level></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-9"><num>9.</num><paragraph eId="regulation-9-1"><num>(1)</num><content><p>The quorum for a decision of the governing body of a school under regulation 8 shall be two - thirds (rounded up to a whole number) of the governors in post who are entitled to vote.</p></content></paragraph><paragraph eId="regulation-9-2"><num>(2)</num><content><p>The term of office of a member of a foundation body shall be four years but a member may be re-appointed.</p></content></paragraph><paragraph eId="regulation-9-3"><num>(3)</num><content><p>A person may not vote for his or her own appointment or re-appointment as a member of a foundation body.</p></content></paragraph><paragraph eId="regulation-9-4"><num>(4)</num><content><p>Vacancies must be filled by the next meeting of the foundation body or the meeting after if the vacancy arises less than three months before the next meeting.</p></content></paragraph><paragraph eId="regulation-9-5"><num>(5)</num><content><p>If a vacancy of a member is not filled in accordance with paragraph (4) the <abbr title="the National Assembly for Wales">National Assembly</abbr> may by order on such date as it may specify in the order dissolve the foundation body and the provisions of regulation 24(1)(d) and (e) and (2) to (5) shall apply to such dissolution save that the 6 months period referred to in regulation 24(2) shall commence on such date as may be specified by the <abbr title="the National Assembly for Wales">National Assembly</abbr> in writing.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Eligibility and disqualification</heading><hcontainer name="regulation" eId="regulation-10"><num>10.</num><paragraph eId="regulation-10-1"><num>(1)</num><content><p>A foundation governor who has been appointed to a school in the group by a foundation body may not be a governor member of that foundation body and may not vote on appointments to the foundation body.</p></content></paragraph><paragraph eId="regulation-10-2"><num>(2)</num><intro><p>A community member must—</p></intro><level class="para1" eId="regulation-10-2-a"><num>(a)</num><content><p>have business or other interests in the local community;</p></content></level><level class="para1" eId="regulation-10-2-b"><num>(b)</num><content><p>not be a parent of a registered pupil, a member of the governing body, a member of the teaching or non-teaching staff or a registered pupil, at any school in the group;</p></content></level><level class="para1" eId="regulation-10-2-c"><num>(c)</num><content><p>not be an elected member of a local education authority which maintains any school in the group or a person employed by such an authority in their capacity as a local education authority; and</p></content></level><level class="para1" eId="regulation-10-2-d"><num>(d)</num><content><p>have attained the age of 18 years at the date of his or her appointment.</p></content></level></paragraph><paragraph eId="regulation-10-3"><num>(3)</num><content><p>A governor member of the foundation body shall cease to hold office on ceasing to be a member of the governing body of the school which appointed him or her.</p></content></paragraph><paragraph eId="regulation-10-4"><num>(4)</num><content><p>A member of the foundation body may not be an employee of that body.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Disqualification for holding office</heading><hcontainer name="regulation" eId="regulation-11"><num>11.</num><content><p>Schedule 2 to these Regulations shall have effect in relation to the disqualification of a person for holding, or continuing to hold, office as a member of a foundation body.</p></content></hcontainer><hcontainer name="regulation" eId="regulation-12"><num>12.</num><content><p>A member of a foundation body may resign at any time by notice in writing to the clerk.</p></content></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Restrictions</heading><hcontainer name="regulation" eId="regulation-13"><num>13.</num><content><p>A member of a foundation body shall receive no payment, other than reasonable and necessary out-of-pocket expenses, and may take no direct or indirect benefit from any contracts entered into by the foundation body or have any interest in any land held by the foundation body.</p></content></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Clerk</heading><hcontainer name="regulation" eId="regulation-14"><num>14.</num><paragraph eId="regulation-14-1"><num>(1)</num><content><p>The foundation body must appoint a person to be its clerk.</p></content></paragraph><paragraph eId="regulation-14-2"><num>(2)</num><content><p>A member of a foundation body may not act as clerk, but where the clerk fails to attend a meeting, the foundation body may appoint a member to be the clerk for the purposes of that meeting (without affecting his or her position as a member).</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Conduct of meetings</heading><hcontainer name="regulation" eId="regulation-15"><num>15.</num><paragraph eId="regulation-15-1"><num>(1)</num><intro><p>The foundation body must—</p></intro><level class="para1" eId="regulation-15-1-a"><num>(a)</num><content><p>elect a member as chairman at the first ordinary meeting of each year;</p></content></level><level class="para1" eId="regulation-15-1-b"><num>(b)</num><content><p>determine a quorum which must not be less than half (rounded up to the nearest whole number) of the total number of members of the foundation body when complete; and</p></content></level><level class="para1" eId="regulation-15-1-c"><num>(c)</num><content><p>keep minutes of the proceedings of meetings and make them available to the governing bodies of schools in the group on request.</p></content></level></paragraph><paragraph eId="regulation-15-2"><num>(2)</num><content><p>At the first meeting the foundation body must appoint foundation governors to schools in the group in accordance with the instruments of government of the schools in question.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Annual report</heading><hcontainer name="regulation" eId="regulation-16"><num>16.</num><paragraph eId="regulation-16-1"><num>(1)</num><intro><p>The foundation body must publish an annual report of its activities for the information of the governing bodies of the schools in the group setting out—</p></intro><level class="para1" eId="regulation-16-1-a"><num>(a)</num><content><p>the names of each member, drawing attention to any changes since the last annual report and identifying the chairman;</p></content></level><level class="para1" eId="regulation-16-1-b"><num>(b)</num><content><p>a summary of the decisions and actions of the foundation body since the last annual report was published unless minutes of the foundation body’s meetings are published separately;</p></content></level><level class="para1" eId="regulation-16-1-c"><num>(c)</num><content><p>a statement of any income and expenditure showing the balance as at the end of each financial year falling within the period of the report; and</p></content></level><level class="para1" eId="regulation-16-1-d"><num>(d)</num><content><p>a statement of any significant disposals, purchases or gifts and of any outstanding liabilities at the end of each financial year falling within the period of the report.</p></content></level></paragraph><paragraph eId="regulation-16-2"><num>(2)</num><content><p>The first report must be issued within two years of the formation date and may deal with a period longer than a year.</p></content></paragraph><paragraph eId="regulation-16-3"><num>(3)</num><content><p>Following the first report, annual reports must be issued no later than the next meeting after the end of the year being reported on.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Accounts</heading><hcontainer name="regulation" eId="regulation-17"><num>17.</num><paragraph eId="regulation-17-1"><num>(1)</num><content><p>The foundation body must maintain accounts, ensure that they are audited by independent external auditors and publish in each financial year a copy of the accounts for the previous financial year as audited together with a statement that they have been audited.</p></content></paragraph><paragraph eId="regulation-17-2"><num>(2)</num><content><p>The foundation body must comply within 1 month with a written request from any person that he or she be supplied with a copy of the body’s most recent accounts.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Information and records</heading><hcontainer name="regulation" eId="regulation-18"><num>18.</num><paragraph eId="regulation-18-1"><num>(1)</num><content><p>The foundation body shall provide the <abbr title="the National Assembly for Wales">National Assembly</abbr> with such information as it requests from time to time.</p></content></paragraph><paragraph eId="regulation-18-2"><num>(2)</num><content><p>The foundation body must keep all records for at least 6 years.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Functions of foundation bodies</heading><hcontainer name="regulation" eId="regulation-19"><num>19.</num><intro><p>Foundation bodies shall have the following functions—</p></intro><level class="para1" eId="regulation-19-a"><num>(a)</num><content><p>to hold land and other property of schools in the group for the purposes of those schools;</p></content></level><level class="para1" eId="regulation-19-b"><num>(b)</num><content><p>to appoint foundation governors to every school in the group; and</p></content></level><level class="para1" eId="regulation-19-c"><num>(c)</num><content><p>to promote co-operation between schools in the group.</p></content></level></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Additional powers</heading><hcontainer name="regulation" eId="regulation-20"><num>20.</num><paragraph eId="regulation-20-1"><num>(1)</num><intro><p>A foundation body may in connection with its functions—</p></intro><level class="para1" eId="regulation-20-1-a"><num>(a)</num><content><p>borrow such sums as the foundation body thinks fit and in connection with such borrowing, grant any mortgage, charge or other security over any land or other property of the foundation body;</p></content></level><level class="para1" eId="regulation-20-1-b"><num>(b)</num><content><p>accept gifts of money, land or other property, and apply it or hold it for the purposes of the schools in the group;</p></content></level><level class="para1" eId="regulation-20-1-c"><num>(c)</num><content><p>engage in fund raising so far as is compatible with its charitable status;</p></content></level><level class="para1" eId="regulation-20-1-d"><num>(d)</num><content><p>acquire and dispose of any land or property;</p></content></level><level class="para1" eId="regulation-20-1-e"><num>(e)</num><content><p>enter into contracts including contracts of employment;</p></content></level><level class="para1" eId="regulation-20-1-f"><num>(f)</num><content><p>make standing orders for the management of the foundation body and any committees and for the conduct of business of that body or any committees;</p></content></level><level class="para1" eId="regulation-20-1-g"><num>(g)</num><content><p>appoint committees;</p></content></level><level class="para1" eId="regulation-20-1-h"><num>(h)</num><content><p>delegate the exercise of any powers to individual members or to committees, except those relating to the appointment of foundation governors, the granting of any security or the disposal of any land; and</p></content></level><level class="para1" eId="regulation-20-1-i"><num>(i)</num><content><p>employ such staff (who cannot be members) as are necessary and to make all necessary provision for those staff.</p></content></level></paragraph><paragraph eId="regulation-20-2"><num>(2)</num><content><p>The power to borrow sums and grant security or to dispose of any land mentioned above may only be exercised with the written consent of the <abbr title="the National Assembly for Wales">National Assembly</abbr>.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Joining a group after the initial establishment of the foundation body</heading><hcontainer name="regulation" eId="regulation-21"><num>21.</num><paragraph eId="regulation-21-1"><num>(1)</num><content><p>A school may only join a group with the agreement of the governing bodies of all the schools already in the group.</p></content></paragraph><paragraph eId="regulation-21-2"><num>(2)</num><intro><p>An application to the <abbr title="the National Assembly for Wales">National Assembly</abbr> shall be made jointly in writing by the governing body of the school seeking to join the group and the foundation body and shall contain—</p></intro><level class="para1" eId="regulation-21-2-a"><num>(a)</num><content><p>a statement that the governing bodies of all the schools in the group agree to the school joining the group; and</p></content></level><level class="para1" eId="regulation-21-2-b"><num>(b)</num><content><p>a statement of the category in which it is proposed that the school will enter the group or a statement that the school will enter in its existing category.</p></content></level></paragraph><paragraph eId="regulation-21-3"><num>(3)</num><content><p>The <abbr title="the National Assembly for Wales">National Assembly</abbr> shall, if it considers it appropriate, declare in writing that the school forms part of the group as from such date and on satisfaction of such conditions as it specifies.</p></content></paragraph><paragraph eId="regulation-21-4"><num>(4)</num><content><p>Where the school joining the group is doing so under a different category from its existing category, the date specified in accordance with paragraph (3) must be the date on which it is intended that the change of category should take place in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr>.</p></content></paragraph><paragraph eId="regulation-21-5"><num>(5)</num><content><p>The foundation body shall seek approval from the <abbr title="the National Assembly for Wales">National Assembly</abbr> to the modification of its instrument of government.</p></content></paragraph><paragraph eId="regulation-21-6"><num>(6)</num><content><p>Subject to paragraph (7), on the date specified in accordance with paragraph (3) above any land, other than land held on trust, which immediately before that date is held by the governing body for the purposes of the school joining the group shall be transferred to, and by virtue of this regulation vest in, the foundation body for the purposes of the schools comprising the group for which that body acts.</p></content></paragraph><paragraph eId="regulation-21-7"><num>(7)</num><content><p>Paragraph (6) does not apply in relation to a school where following approval of proposals published in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr>, the school is joining the group in a different category from its existing category.</p></content></paragraph><paragraph eId="regulation-21-8"><num>(8)</num><content><p>On the date specified in accordance with paragraph (3), the governing body of the school joining the group shall appoint a member of their governing body to be a governor member of the foundation body.</p></content></paragraph><paragraph eId="regulation-21-9"><num>(9)</num><content><p>Where the school joining the group is not doing so under a different category from its existing category, the governing body of the school must apply to the local education authority for that authority to vary or replace the instrument of government for the school so as to name the foundation body as the appointing body for the purpose of appointing foundation governors and the local education authority shall do so in order that the appointment of foundation governors can take effect from the date that the school joins the group.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Leaving a group</heading><hcontainer name="regulation" eId="regulation-22"><num>22.</num><paragraph eId="regulation-22-1"><num>(1)</num><content><p>If the governing body of a school wish that school to leave the group they shall serve a notice in writing of at least 3 months on the governing bodies of all the other schools in the group, on the foundation body and on the <abbr title="the National Assembly for Wales">National Assembly</abbr>, and on the expiry of that period the <abbr title="the National Assembly for Wales">National Assembly</abbr> may declare in writing that the school leaves the group on such date as it may specify.</p></content></paragraph><paragraph eId="regulation-22-2"><num>(2)</num><content><p>Where the school leaving the group is doing so under a different category from its existing category, the date specified in accordance with paragraph (1) must be the date on which it is intended that the change of category should take place in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr>.</p></content></paragraph><paragraph eId="regulation-22-3"><num>(3)</num><content><p>Subject to paragraph (4), on the date specified in accordance with paragraph (1), any land which, immediately before that date is held by the foundation body for the purposes of the schools in the group and used for the purposes of the school leaving the group shall be transferred to, and by virtue of this regulation vest in, the governing body of that school.</p></content></paragraph><paragraph eId="regulation-22-4"><num>(4)</num><content><p>Paragraph (3) does not apply in relation to a school where following approval of proposals in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr> the school is leaving the group in a different category from its existing category.</p></content></paragraph><paragraph eId="regulation-22-5"><num>(5)</num><content><p>Where the school leaving the group is not doing so under a different category from its existing category, the governing body must apply to the local education authority for the instrument of government of the school to be varied or replaced so that references to the foundation body can be removed as from the date on which the school leaves the group.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-23"><num>23.</num><content><p>If a school leaves a group or is discontinued and the group still has three or more members the foundation body shall modify its instrument of government with the approval of the <abbr title="the National Assembly for Wales">National Assembly</abbr>.</p></content></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Winding-up of group foundation bodies</heading><hcontainer name="regulation" eId="regulation-24"><num>24.</num><paragraph eId="regulation-24-1"><num>(1)</num><intro><p>If membership of a group would fall below three as a result of one or more schools leaving or being discontinued then—</p></intro><level class="para1" eId="regulation-24-1-a"><num>(a)</num><content><p>the clerk must inform the <abbr title="the National Assembly for Wales">National Assembly</abbr> that this is the case;</p></content></level><level class="para1" eId="regulation-24-1-b"><num>(b)</num><content><p>the notice to leave given by the school or the publication of the proposals to discontinue shall be taken as a notice of dissolution;</p></content></level><level class="para1" eId="regulation-24-1-c"><num>(c)</num><content><p>the foundation body shall be dissolved on such date as the <abbr title="the National Assembly for Wales">National Assembly</abbr> may by order specify;</p></content></level><level class="para1" eId="regulation-24-1-d"><num>(d)</num><content><p>the governing body of each school in the group (other than a school which is to be discontinued) must apply to the local education authority for their own instrument of government to be modified (so that references to the foundation body can be removed as from the dissolution date);</p></content></level><level class="para1" eId="regulation-24-1-e"><num>(e)</num><content><p>the governing body of a foundation school must replace foundation governors with partnership governors as from the dissolution date unless by that date they have either applied to join another group or applied, together with the governing bodies of two or more other schools, for the establishment of a foundation body.</p></content></level></paragraph><paragraph eId="regulation-24-2"><num>(2)</num><intro><p>The governing body of a voluntary school must publish change of category proposals in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr> to become a foundation or community school, if (as the case may be) within 6 months of the date of the notice to leave given by the school or within 6 months of the approval of the proposals to discontinue the school they have not—</p></intro><level class="para1" eId="regulation-24-2-a"><num>(a)</num><content><p>formed or joined another group; or</p></content></level><level class="para1" eId="regulation-24-2-b"><num>(b)</num><content><p>established a foundation, other than a foundation body, which satisfies the <abbr title="the National Assembly for Wales">National Assembly</abbr> that it can meet the requirements specified from time to time under paragraph 4(2)(b) of Schedule 8 to the <abbr title="School Standards and Framework Act 1998 c. 31">1998 Act</abbr>.</p></content></level></paragraph><paragraph eId="regulation-24-3"><num>(3)</num><content><p>At any time after the expiry of the relevant 6 months period referred to in paragraph (2), the <abbr title="the National Assembly for Wales">National Assembly</abbr> may require the governing body of a school to publish proposals for the school to change to another specified category.</p></content></paragraph><paragraph eId="regulation-24-4"><num>(4)</num><content><p>Subject to paragraph (5), in the case of a school which is not being discontinued, on the dissolution date any land or other property which, immediately before that date, is held by the foundation body for the purposes of the schools in the group and used for the purposes of that school shall be transferred to, and, by virtue of this regulation vest in, the governing body of the school.</p></content></paragraph><paragraph eId="regulation-24-5"><num>(5)</num><content><p>Paragraph (4) does not apply in relation to a school where following approval of proposals in accordance with the <abbr title="Change of Category of Maintained Schools (Wales) Regulations 2001 (S.I. 2001/2678 (W. 219))">Change of Category Regulations</abbr> it becomes, on or before the dissolution date, a school of a different category.</p></content></paragraph></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Resolution of Disputes</heading><hcontainer name="regulation" eId="regulation-25"><num>25.</num><content><p>Where there is a dispute between the governing bodies of schools in the group or between one or more schools in the group and the foundation body then one of the parties to that dispute may apply in writing to the <abbr title="the National Assembly for Wales">National Assembly</abbr> for it to determine the matter.</p></content></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Use of land</heading><hcontainer name="regulation" eId="regulation-26"><num>26.</num><content><p>The transfer of land to a foundation body under these Regulations shall not affect the rights of the governing body in relation to that land under Schedule 13 to the <abbr title="School Standards and Framework Act 1998 c. 31">1998 Act</abbr>.</p></content></hcontainer></hcontainer><hcontainer name="crossheading" ukl:Name="P1group"><heading>Transfers of land</heading><hcontainer name="regulation" eId="regulation-27"><num>27.</num><content><p>In its application to any transfer of land by virtue of regulations 6, 21, 22 or 24, references in Schedule 10 to the Education Reform Act 1988<authorialNote class="footnote" eId="f00005" marker="5"><p><ref eId="c00004" href="http://www.legislation.gov.uk/id/ukpga/1988/40">1988 c. 40</ref>. and</p></content></level><level class="para1" eId="schedule-1-paragraph-e"><num>(e)</num><content><p>any particular character, mission or ethos for the group accepted by its members.</p></content></level></hcontainer><hcontainer name="schedule" eId="schedule-2"><num><b>SCHEDULE 2</b><authorialNote class="referenceNote"><p>Regulation 11</p></authorialNote></num><heading><b>Disqualification for holding office</b></heading><hcontainer name="crossheading" class="schGroup7"><heading>Mental disorder</heading><paragraph eId="schedule-2-paragraph-1" class="schProv1"><num>1.</num><content><p>A person shall be disqualified for holding or for continuing to hold office as a member of a foundation body at any time when he or she is liable to be detained under the Mental Health Act 1983<authorialNote class="footnote" eId="f00008" marker="8"><p><ref eId="c00007" href="http://www.legislation.gov.uk/id/ukpga/1983/20">1983 c. 20</ref>.</p></authorialNote> .</p></content></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Bankruptcy</heading><paragraph eId="schedule-2-paragraph-2" class="schProv1"><num>2.</num><intro><p>A person shall be disqualified for holding, or continuing to hold, office as a member of a foundation body if—</p></intro><level class="para1" eId="schedule-2-paragraph-2-a"><num>(a)</num><content><p>he or she has been adjudged bankrupt or sequestration of his or her estate has been awarded and (in either case) he or she has not been discharged and the bankruptcy order has not been annulled or rescinded;</p></content></level><level class="para1" eId="schedule-2-paragraph-2-b"><num>(b)</num><content><p>he or she has made a composition or arrangement with, or granted a trust deed for, his or her creditors and has not been discharged in respect of it.</p></content></level></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Disqualification of company directors</heading><paragraph eId="schedule-2-paragraph-3" class="schProv1"><num>3.</num><content><p>A person shall be disqualified for holding, or for continuing to hold, office as a member of a foundation body at any time when he or she is subject to a disqualification order under the Company Directors Disqualification Act 1986<authorialNote class="footnote" eId="f00009" marker="9"><p><ref eId="c00008" href="http://www.legislation.gov.uk/id/ukpga/1986/46">1986 c. 46</ref>.</p></authorialNote> or to an order made under section 429(2)(b) of the Insolvency Act 1986<authorialNote class="footnote" eId="f00010" marker="10"><p><ref eId="c00009" href="http://www.legislation.gov.uk/id/ukpga/1986/45">1986 c. 45</ref>.</p></authorialNote>(failure to pay under county court administration order).</p></content></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Disqualification of charity trustees</heading><paragraph eId="schedule-2-paragraph-4" class="schProv1"><num>4.</num><intro><p>A person shall be disqualified for holding, or continuing to hold, office as a member of a foundation body if—</p></intro><level class="para1" eId="schedule-2-paragraph-4-a"><num>(a)</num><content><p>that person has been removed from the office of charity trustee or trustee for a charity by an order made by the Charity Commissioners or the High Court on the grounds of any misconduct or mismanagement in the administration of the charity for which he or she was responsible or to which he or she was privy, or which he or she by his or her conduct contributed to or facilitated; or</p></content></level><level class="para1" eId="schedule-2-paragraph-4-b"><num>(b)</num><content><p>he or she has been removed, under section 7 of the Law Reform (Miscellaneous Provisions) (Scotland) Act 1990<authorialNote class="footnote" eId="f00011" marker="11"><p><ref eId="c00010" href="http://www.legislation.gov.uk/id/ukpga/1990/40">1990 c. 40</ref>.</p></authorialNote> (powers of Court of Session to deal with management of charities), from being concerned in the management or control of any body.</p></content></level></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Persons whose employment is prohibited or restricted</heading><paragraph eId="schedule-2-paragraph-5" class="schProv1"><num>5.</num><subparagraph eId="schedule-2-paragraph-5-1"><num>(1)</num><content><p>A person shall be disqualified for holding or continuing to hold office as a member of a foundation body at any time when he or she is included in the list of teachers and workers with children or young persons whose employment is prohibited or restricted.</p></content></subparagraph><subparagraph eId="schedule-2-paragraph-5-2"><num>(2)</num><content><p>In sub-paragraph (1), “the list” (“<i>y rhestr</i>”) means the list kept for the purposes of regulations made under section 218(6) of the Education Reform Act 1988<authorialNote class="footnote" eId="f00012" marker="12"><p>Section 218 of the 1988 Act has been amended by paragraph 17 of Schedule 30 to the <abbr title="School Standards and Framework Act 1998 c. 31">1998 Act</abbr>.</p></authorialNote>.</p></content></subparagraph></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Persons disqualified for being proprietors of independent schools</heading><paragraph eId="schedule-2-paragraph-6" class="schProv1"><num>6.</num><content><p>A person shall be disqualified for holding or continuing to hold office as a member of a foundation body at any time when he or she is, by virtue of an order made under section 470 or 471 of the Education Act 1996, disqualified for being the proprietor of any independent school or for being a teacher or other employee in any school.</p></content></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Criminal convictions</heading><paragraph eId="schedule-2-paragraph-7" class="schProv1"><num>7.</num><subparagraph eId="schedule-2-paragraph-7-1"><num>(1)</num><content><p>Subject to sub-paragraph (5) below, a person shall be disqualified for holding, or for continuing to hold, office as a member of a foundation body where any of sub-paragraphs (2) to (4) or (6) below apply to him or her.</p></content></subparagraph><subparagraph eId="schedule-2-paragraph-7-2"><num>(2)</num><intro><p>This sub-paragraph applies to a person if—</p></intro><level class="para1" eId="schedule-2-paragraph-7-2-a"><num>(a)</num><content><p>within the period of five years ending with the date immediately preceding the date on which that person’s appointment would otherwise have taken effect; or</p></content></level><level class="para1" eId="schedule-2-paragraph-7-2-b"><num>(b)</num><content><p>since that person’s appointment,</p></content></level><wrapUp><p>he or she has been convicted, whether in the United Kingdom or elsewhere, of any offence and has had passed on him or her a sentence of imprisonment (whether suspended or not) for a period of not less than three months without the option of a fine.</p></wrapUp></subparagraph><subparagraph eId="schedule-2-paragraph-7-3"><num>(3)</num><content><p>This sub-paragraph applies to a person if within the period of 20 years ending with the date immediately preceding the date on which that person’s appointment would otherwise have taken effect, that person has been convicted as aforesaid of any offence and has had passed on him or her a sentence of imprisonment for a period of not less than two and a half years.</p></content></subparagraph><subparagraph eId="schedule-2-paragraph-7-4"><num>(4)</num><content><p>This sub-paragraph applies to a person who has at any time been convicted as aforesaid of any offence and has had passed on him or her a sentence of imprisonment for a period of not less than five years.</p></content></subparagraph><subparagraph eId="schedule-2-paragraph-7-5"><num>(5)</num><content><p>For the purposes of sub-paragraphs (2) to (4) above, there shall be disregarded any conviction by or before a court outside the United Kingdom of an offence which, if the facts giving rise to the offence had taken place in any part of the United Kingdom, would not have constituted an offence under the law in force in that part of the United Kingdom.</p></content></subparagraph><subparagraph eId="schedule-2-paragraph-7-6"><num>(6)</num><intro><p>This sub -paragraph applies to a person who—</p></intro><level class="para1" eId="schedule-2-paragraph-7-6-a"><num>(a)</num><content><p>within the period of five years ending with the date immediately preceding the date on which his or her appointment would otherwise have taken effect; or</p></content></level><level class="para1" eId="schedule-2-paragraph-7-6-b"><num>(b)</num><content><p>since his or her appointment,</p></content></level><wrapUp><p>has been convicted under section 547 of the Education Act 1996 (nuisance and disturbance on education premises) of an offence which took place on the premises of a school maintained by a local education authority or a grant maintained school and has been sentenced to a fine.</p></wrapUp></subparagraph></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Failure to attend meetings</heading><paragraph eId="schedule-2-paragraph-8" class="schProv1"><num>8.</num><subparagraph eId="schedule-2-paragraph-8-1"><num>(1)</num><content><p>A member of a foundation body who, without the consent of the foundation body concerned, has failed to attend two consecutive meetings of that body, shall, from the day after the second meeting, be disqualified for continuing to hold office as a member of that foundation body.</p></content></subparagraph><subparagraph eId="schedule-2-paragraph-8-2"><num>(2)</num><content><p>Where a member of a foundation body has sent an apology to the clerk before a meeting which that member does not propose to attend, the minutes of the meeting shall record the foundation body’s consent or otherwise to his or her absence and a copy of the minutes shall be sent to the member concerned at his or her normal place of residence.</p></content></subparagraph><subparagraph eId="schedule-2-paragraph-8-3"><num>(3)</num><content><p>A member of a foundation body who has been disqualified under sub-paragraph (1) above shall not be qualified for nomination or appointment as a member of that foundation body during the twelve months immediately following his or her disqualification under sub-paragraph (1).</p></content></subparagraph></paragraph></hcontainer><hcontainer name="crossheading" class="schGroup7"><heading>Notice to clerk</heading><paragraph eId="schedule-2-paragraph-9" class="schProv1"><num>9.</num><content><p>Where, by virtue of any of paragraphs 1 to 7, a member becomes disqualified for holding, or for continuing to hold, office as a member, he or she shall give written notice of that fact to the clerk.</p></content></paragraph></hcontainer></hcontainer></hcontainer></body><conclusions><blockContainer class="explanatoryNote"><subheading>(This note is not part of the Regulations)</subheading><blockContainer ukl:Name="P"><p>These Regulations, which apply only in Wales, make provision in connection with the establishment, membership and functions of foundation bodies and the steps to be taken in connection with schools joining, or leaving, a group of schools for which the foundation body acts. They also provide for the winding-up of group foundation bodies. They repeat, with some changes and additions, provisions formerly contained in the Foundation Body Regulations 1999, which are revoked.</p></blockContainer><blockContainer ukl:Name="P"><p>A foundation body is a body corporate established under section 21 of the School Standards and Framework Act 1998 to perform in relation to 3 or more schools (“the group”) each of which is either a foundation or a voluntary school, the following functions, namely—</p><blockContainer ukl:Name="P3" class="para1"><num>(a)</num><p>to hold property for those schools for the purposes of the schools;</p></blockContainer><blockContainer ukl:Name="P3" class="para1"><num>(b)</num><p>to appoint foundation governors for those schools;</p></blockContainer><blockContainer ukl:Name="P3" class="para1"><num>(c)</num><p>to promote co-operation between schools in the group.</p></blockContainer></blockContainer><blockContainer ukl:Name="P"><p>The Regulations and the changes from the earlier Regulations, are explained in more detail below.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 2</i>: contains definitions.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 3</i>: provides that a school may only form part of a group and may only apply to the <abbr title="the National Assembly for Wales">National Assembly</abbr> for the establishment of a foundation body if it is a foundation or voluntary school or if it is a community school which the governing body proposes should become a foundation or voluntary school. A school which has a foundation already (other than a foundation body) may never form part of a group and its governing body may not propose the establishment of a foundation body.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulations 4 to 7</i>, Schedule 1: deal with the establishment of foundation bodies, the making of its instrument of government and transfer of land.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulations 8 and 9</i>: deal with membership of foundation bodies, quorum for its decisions, terms of office for members and other matters.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulations 10, 11 and 12 and Schedule 2</i>: set out the rules for eligibility for appointment as a member of a foundation body and the circumstances in which members are disqualified for holding (or continuing to hold) office.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 13</i>: provides that a member of a foundation body may receive only reasonable out-of-pocket expenses and must take no direct or indirect benefit from any contracts entered into by the foundation body or have any interest in any land held by the foundation body.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 14</i>: deals with the appointment of the clerk to the foundation body.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 15</i>: deals with the conduct of meetings of foundation bodies.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 16</i>: makes provision for foundation bodies to publish annual reports.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 17</i>: makes provision for the maintenance of accounts by foundation bodies.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 18</i>: makes provision with respect to information and records.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 19</i>: sets out the functions which are conferred on foundation bodies.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 20</i>: sets out the powers which foundation bodies may exercise in connection with their functions.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 21</i>: sets out the procedure for joining a group after the initial establishment of the foundation body including provision for transfer of land.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulations 22 and 23</i>: set out procedures to be followed where a school wishes to leave a group including provision for transfer of land.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 24</i>: provides for the winding-up of foundation bodies.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 25</i>: enables the <abbr title="the National Assembly for Wales">National Assembly</abbr> to determine disputes between governing bodies of schools in a group for which a foundation body acts.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 26</i>: contains provision concerning the use of land.</p></blockContainer><blockContainer ukl:Name="P"><p><i>Regulation 27</i>: modifies Schedule 10 to the Education Reform Act 1988 in its application to transfers of land under the Regulations.</p></blockContainer><blockContainer ukl:Name="P"><p>The Regulations incorporate minor changes to reflect the fact that a school establishing, joining or leaving a foundation body may be undergoing a change of school category under the Change of Category of Maintained Schools (Wales) Regulations 2001 which come into force at the same time as these Regulations. Apart from that, the main changes from the earlier Regulations are as follows:</p><blockContainer ukl:Name="P3" class="para1"><num>(a)</num><p>The new Regulations set out procedures to be followed where a school wishes to leave a group (regulations 22 and 23).</p></blockContainer><blockContainer ukl:Name="P3" class="para1"><num>(b)</num><p>They make provision for the winding-up of foundation bodies (regulation 24).</p></blockContainer><blockContainer ukl:Name="P3" class="para1"><num>(c)</num><p>They extend Schedule 2 (disqualification for holding office) to cover mental disorder, persons whose employment is prohibited or restricted under section 218(6) of the Education Reform Act 1988 and persons disqualified for being proprietors of independent schools by virtue of Orders made under section 470 or 471 of the Education Act 1996. In addition, under the new Regulations a member of a foundation body who (without the consent of that body) fails to attend 2 consecutive meetings of that body is disqualified for holding office for a period of 12 months.</p></blockContainer></blockContainer><blockContainer ukl:Name="P"><p>The Regulations do not deal with the transfer of land in the case of a school which is changing its category.
