period of 20 working days beginning with the day of receipt—aif it considers that an advance application complies with the directions under regulation 5(2), confirm in writing to the applicant that the application is complete;bif it considers that the application does not comply with one or more of the directions under that regulation—iconfirm in writing to the applicant that the application is not complete, andiiwhere applicable, inform the applicant of the steps which need to be taken, and the time within which they need to be taken, for the application to be considered complete.Determination of an advance application71The FCA must, before the end of a period of 40 working days beginning with the day on which the FCA confirms that an application is complete, take the following steps.2The first step is that the FCA must consider the application based on compliance with—aArticles 78 to 80 of the European Markets Infrastructure Regulation, andbArticle 81 of the European Markets Infrastructure Regulation, as that Article has effect on IP completion day.3The second step is that the FCA must decide whether the applicant should be registered as a trade advance application8A decision in respect of an advance application under regulation 7(3) has effect from—athe day of notification, orb IP completion day,whichever is later, as if it were a decision respect of when a decision has effect).CHAPTER 2Temporary registrationTemporary deemed registration under the European Markets Infrastructure Regulation91A person to whom this regulation applies is to be treated as if the person is registered as a trade repository under Chapter 1 of Title 6 of the European Markets Infrastructure Regulation.2Reference in an enactment to a person registered as a trade repository under that Chapter, however expressed, is to be read, unless the contrary intention appears, as including a person treated as being so registered by virtue of this regulation.Application of regulation 910Regulation 9 applies to a person—awho satisfies the conditions in regulation 11;bfor the period determined in accordance with regulation 12.Conditions to be satisfied for regulation 9 to apply11The conditions are—athe person is a body corporate which, immediately before IP completion day, is—iincorporated under the law of any part of the United Kingdom, andiiincluded within a group of undertakings which comprises a trade repository registered under the European Markets Infrastructure Regulation;bthe person has—isubmitted an advance application in accordance with regulation 5, whether or not the application complies with the directions under regulation 5(2)(b), andiinot been notified by the FCA of its decision in respect of the application in accordance with regulation 7(4).Period during which regulation 9 is to apply121For the purposes of regulation 10(b), the period is one that begins with IP completion day and ends with a day determined in accordance with paragraph (2).2The period ends—aafter three years beginning with the day on which IP completion day occurs, orbif earlier, with the day—ibefore the day on which registration as a trade repository has effect,iion which the FCA determines, in accordance with regulation 13(1), that regulation 9 should cease to apply, oriiion which the person ceases to be included within a group determination by the FCA131The FCA may determine that regulation 9 should cease to apply to a person—awhere, in respect of an advance application—ithe application does not comply with a direction under regulation 5(2), andiithe steps referred to in regulation 6(b)(ii) have not been taken within the time specified;bfollowing a decision refusing registration in accordance with regulation regulation 13B(b), the period is a period of one year beginning with the day on which the condition in regulation 13C is satisfied, or such shorter period as the FCA may determine in a particular case.<Addition ChangeId="key-a1e862a97be5b58017cce0fb9c17adf6-1573117809821" CommentaryRef="key-a1e862a97be5b58017cce0fb9c17adf6">Transitional arrangements during the run-off period</Addition>13E1The FCA may make such transitional arrangements imposing requirements in respect of the registration of a person to whom regulation 13A applies as it considers necessary or expedient.2A requirement may, in particular, be imposed—aso as to require the person concerned to take specified action, including to make arrangements for the transfer of data stored by the person to a person to whom regulation 9 applies or a person which is registered as a trade repository under Chapter 1 of Title 6 of the European Markets Infrastructure Regulation, orbso as to require the person concerned to refrain from taking specified action.3A requirement may be imposed by reference to the person’s relationship with—athe person’s group, orbother members of the person’s group.<Addition ChangeId="key-a1e862a97be5b58017cce0fb9c17adf6-1573117809821" CommentaryRef="key-a1e862a97be5b58017cce0fb9c17adf6">Notification of a decision to impose requirements under regulation 13E</Addition>13F1This regulation applies to an exercise of the FCA’s power to impose a requirement in respect of the registration of a person (‘P’) in accordance with regulation 13E.2The imposition of the requirement takes effect—aimmediately, if the notice given under paragraph (4) states that that is the case,bon such date as may be specified in the notice, orcif no date is specified in the notice, when the matter to which the notice relates is no longer subject to review.3The imposition of a requirement may be expressed to take effect immediately (or on a specified date) only if the FCA, having regard to the ground on which it is exercising its power, reasonably considers that it is necessary for the imposition of the requirement to take effect immediately (or on that date).4If the FCA proposes to impose, or imposes a requirement, it must give P written notice.5The notice must—agive details of the requirement,bstate the FCA’s reasons for imposition of the requirement,cinform P that P may make representations to the FCA within such period as may be specified in the notice, whether or not P has referred the matter to the Upper Tribunal (“the Tribunal”),dinform P of when the imposition of the requirement takes effect, andeinform P of P’s right to refer the matter to the Tribunal.6The FCA may extend the period allowed under the notice for making representations.7If, having considered any representations made by P, the FCA decides—ato impose the requirement, in the way proposed, orbif the requirement has been imposed, not to rescind the imposition of the requirement,it must give P written notice.8If, having considered any representations made by P, the FCA decides—anot to impose the requirement in the way proposed,bto impose a different requirement, orcto rescind a requirement which has effect,it must give P written notice.9A notice under paragraph (7) must inform P of P’s right to refer the matter to the Tribunal.10A notice under paragraph (8)(b) must comply with paragraph (5).11If a notice informs P of P’s right to refer a matter to the Tribunal, it must give an indication of the procedure on such a reference.<Addition may refer to the Tribunal the FCA’s decision to impose a requirement under regulation 13E.<Addition ChangeId="key-a1e862a97be5b58017cce0fb9c17adf6-1573117809821" CommentaryRef="key-a1e862a97be5b58017cce0fb9c17adf6">Application of Part 9 of the Financial Services and Markets Act 2000</Addition>13H1Part 9 of the Financial Services and Markets Act 2000 (‘the Act’) (hearings and appeals) applies in respect of a reference to the Tribunal under regulation 13G as it applies in respect of a reference to the Tribunal under the Act but with the following modifications.2In section 133 (proceedings before Tribunal: general provisions)—ain subsection (1)—iomit “(whether made under this or any other Act)”;iiin paragraph (a), omit “or the PRA”;iiiomit 3Registration conversionRegistration under the European Markets Infrastructure Regulation141Notwithstanding Articles 55 to 58 of the European Markets Infrastructure Regulation, a person to whom this regulation applies is, on and after IP completion day, registered as a trade repository under Chapter 1 of Title 6 of that Regulation.2Reference in an enactment to a person registered under that Chapter, however expressed, includes a person registered by virtue of this regulation.Application of regulation 1415Regulation 14 applies to a person who—asatisfies the conditions in regulation 16, andbnotifies the FCA in accordance with regulation 17.Conditions to be satisfied for regulation 14 to apply16The conditions are that the person is a body corporate which, immediately before IP completion day, is—aincorporated under the law of any part of the United Kingdom, andbregistered as a trade repository under the European Markets Infrastructure Regulation.Notification for registration171The person must, no later than the final day, notify the FCA that the person wishes to be registered in accordance with regulation 14.2For the purposes of paragraph (1), the notification must—abe made in such manner, andbcontain, or be accompanied by, such information,as the FCA may direct.3For the purposes of paragraph (1), the final day is—athe day before the day on which IP completion day occurs, orbsuch earlier day as the FCA may direct.Acknowledgement of receipt18The FCA must, before the end of a period of 10 working days beginning with the day on which it receives a notification under regulation 17, send the person making the notification an acknowledgment of receipt.FCA's response19The FCA must, before the end of a period of 20 working days beginning with the day on which it receives a notification under regulation 17—aif it considers that the notification complies with the requirements of, or made under, that regulation, confirm in writing to the person making the notification that the notification is valid;bif it considers that the notification does not comply with those requirements—iconfirm in writing to the person making the notification that the notification is not valid, andiiwhere applicable, inform the person of the steps which need to be taken, and the time within which they need to be taken, for the notification to be considered valid.CHAPTER 4General provisionsMisleading the FCA: criminal offence20Section 398 of the Financial Services and Markets Act 2000 (misleading the FCA or PRA: residual cases) applies to a requirement to provide information in accordance with—aa direction under regulation 5(2)(b) or 17(2)(b),bregulation 21, orca written notification under regulation 21A,as it applies to a requirement falling within regulation 5, and has not been notified by the FCA of its decision in respect of the application in accordance with regulation 7;bhas notified the FCA in accordance with regulation 17, and has not received a response from the FCA in accordance with regulation 19; orchas been notified by the FCA of a decision to register in accordance with regulation 7 or a decision to confirm the notification in accordance with regulation 19.Duty to disclose information21A person to whom this regulation applies must notify the FCA without delay if—aany information contained in, or accompanying—ian advance application submitted in accordance with regulation 5, oriia notification made in accordance with regulation 17,changes; orbthere are any material changes which affect or may affect compliance by that whom this regulation applies, require that they—aprovide information specified or information of a description specified by the FCA; orbproduce documents specified or documents of a description specified by the FCA.2The information or documents must be provided or produced—abefore the end of such reasonable period, andbat such place,as may be specified.3The powers conferred by paragraphs (1) and (2) apply only to information and documents reasonably required—ain connection with the exercise by the FCA of functions conferred on it by or under these Regulations; andbin anticipation of the exercise by the FCA of the functions conferred on it by or under the European Market Infrastructure Regulation and the Over the Counter Derivatives, Central Counterparties and Trade Repositories (Amendment, etc., and Transitional Provision) (EU Exit) Regulations 2019/335 on IP completion day.4An officer who has written authorisation from the FCA to do so may request that a person to whom this regulation applies without delay—aprovide the officer with specified information or information of a specified description; orbproduce to the officer specified documents or documents of a specified description.5The FCA may require any information provided under this regulation to be provided in such form as it may reasonably require.6The FCA may require—aany information provided, whether in a document or otherwise, to be verified in such manner, orbany document produced to be authenticated in such manner,as it may reasonably require.7The FCA may also impose requirements under paragraphs (1) to (4) on related third parties, to whom a person to whom this regulation applies has outsourced operational functions or activities, to provide all information that is necessary in order to carry out the duties of the person to whom this regulation applies.8In this regulation, “officer” means an officer of the FCA and includes a member of the FCA’s staff or an agent of the FCA.Directions221The power to make a direction under this Part includes the power—ato make different directions in relation to different applications or categories of application;bto vary or revoke a previous direction.2A direction under this Part must be—ain writing, andbpublished by the FCA in a manner suitable to bring it to the attention of persons likely to be affected.Interpretation231In this Part—“advance application” means an application submitted during the period—beginning with the day on which this Part comes into force, andending immediately before IP completion day;“the European Markets These Regulations amend Regulation (EU) No 648/2012 of the European Parliament and of the Council of 4th July 2012 on OTC derivatives, central counterparties and trade repositories (“the European Markets Infrastructure Regulation”) in order to:— confer, on and after exit day, functions on the Financial Conduct Authority in respect of the registration of trade repositories;— amend certain requirements for the provision of information.

Section 8(2)(b) of the European Union (Withdrawal) Act 2018 (c. 16), in particular, is relevant to these Regulations.

These Regulations also make transitional provision in respect of applications for registration as a trade repository and to convert registration as a trade repository under EU law to registration under retained EU law.

In these Regulations:— Part 1 makes provision as to citation and commencement;— Part 2 amends the European Markets Infrastructure Regulation;— Part 3 makes transitional and saving provision, of which:Chapter 1 makes provision for applications for registration as a trade repository to be submitted and considered in advance of exit day;Chapter 2 makes provision for a person to be treated as registered as a trade repository under retained EU law while an advance application for registration is determined;Chapter 3 makes provision for a person's registration as an EU trade repository under the European Markets Infrastructure Regulation pre-exit day to be converted into a registration as a UK trade repository post-exit day;Chapter 4 makes general provision.
