Authority">the Authority</abbr> that they object to becoming employed by <abbr title="NHS Commissioning Board">   <ins class="substitution first last" paragraph (5), the transfer operates so as to terminate that person’s contract of employment with <abbr title="NHS Commissioning Board Authority">the paragraph (6) is not to be treated, for any purpose, as having been dismissed by <abbr title="NHS Commissioning Board Authority">the Authority</abbr>.</p></content></paragraph><paragraph eId="article-4-8"><num>(8)</num><content><p>Where the transfer involves or would involve a substantial change in the working conditions to the material detriment of a person whose employment is or would have transferred under paragraph (2), that person may treat the contract of employment as having been terminated, and that person is to be treated for any purpose as having been dismissed.</p></content></paragraph><paragraph eId="article-4-9"><num>(9)</num><content><p>No damages are to be payable by <abbr title="NHS Commissioning Board Authority">the Authority</abbr> or <abbr article to terminate that person’s contract of employment without notice in acceptance of a repudiatory breach of contract by the employer.</p></content></paragraph></article><article eId="article-5"><heading>Transfer of property and liabilities</heading><num>5.</num><paragraph eId="article-5-1"><num>(1)</num><content><p>Any property held by <abbr title="NHS Commissioning Board Authority">the Authority</abbr> immediately before the transfer date which is identified in Schedule 1 is to transfer, on the transfer date, to <abbr title="NHS Commissioning Board">  <ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787314908181" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" eId="article-6-1"><num>(1)</num><content><p>On the transfer date, all liabilities of <abbr title="NHS Commissioning Board Authority">the Authority</abbr> not mentioned in articles 4 and 5 are to transfer to <abbr title="NHS Commissioning Board"> <ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1786705493988" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/>NHS England</ins> </abbr>.</p></content></paragraph><paragraph eId="article-6-2"><num>(2)</num><intro><p>In paragraph (1) “liabilities”—</p></intro><level class="para1" eId="article-6-2-a"><num>(a)</num><intro><p>includes the obligation of <abbr title="NHS Commissioning Board Authority">the Authority</abbr> to prepare—</p></intro><level class="para2" eId="article-6-2-a-i"><num>(i)</num><content><p>accounts in accordance with Schedule 15 to <abbr title="National Health Service Act 2006 c. 41">the Act</abbr> in respect of the period beginning 1st damages for death or personal injury caused or alleged to have been caused before the transfer date.</p></content></level></paragraph><paragraph eId="article-6-3"><num>(3)</num><content><p>Any liability in tort in respect of any claim for damages for death or personal injury caused or alleged to have been caused before the transfer date is to transfer, on the transfer date, to the Secretary of State.</p></content></paragraph><paragraph eId="article-6-4"><num>(4)</num><content><p>For the purposes of paragraph (2)(a)(ii), regulation 14 of the <abbr class="acronym" title="National Health Service">NHS</abbr> Commissioning Board Authority Regulations 2011 is to remain in force.</p></content></paragraph><paragraph eId="article-6-5"><num>(5)</num><content><p> <ins class="substitution of—</p></intro><level class="para1" eId="article-7-1-a"><num>(a)</num><content><p>the exercise of any functions of <abbr title="NHS Commissioning Board Authority">the Authority</abbr><authorialNote class="footnote" eId="f00008" marker="8"><p>The functions of <abbr title="NHS Commissioning Board Authority">the Authority</abbr> are set out in article 3 of <ref eId="c00007" href="http://www.legislation.gov.uk/id/uksi/2011/2237">S.I. 2011/2237</ref> and in the <abbr class="acronym" title="National Health Service">NHS</abbr> Commissioning Board Authority (Functions of Authority</abbr> or any property or liabilities transferred under this Order is to be treated as a reference to <abbr title="NHS Commissioning Board"> <ins class="substitution first last" operate or become exercisable, and no provision of any contract, arrangement or instrument is to operate or become exercisable or be contravened, by reason of the transfer of any property and liabilities under or by virtue of this Order.</p></content></paragraph><paragraph eId="article-7-5"><num>(5)</num><intro><p>The transfers of any property, rights and liabilities provided for by this Order are to be made—</p></intro><level class="para1" eId="article-7-5-a"><num>(a)</num><content><p>irrespective of any requirement for consent that would otherwise apply (whether arising under any enactment, instrument, agreement or otherwise); and</p></content></level><level class="para1" eId="article-7-5-b"><num>(b)</num><content><p>whether or not they would otherwise be capable of being Article 7 makes provision for continuity and for the transfer of property and liabilities which could not be transferred otherwise than by the Order. The majority of the instruments amended by provision in Schedule 3 establish bodies with a role in the health service. Certain people are disqualified from appointment as chair or non-executive member of such bodies, including for example people who have been dismissed from employment with a “health service body”, and people who are currently, or who were removed from office as, the chair, member or director of a “health service body”. The amendments add <abbr title="NHS Commissioning Board">  <ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787317752923" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/><ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787317974128" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/>NHS England</ins></ins> </abbr> and <abbr title="clinical commissioning groups">CCGs</abbr> to the definition of “health service body”. For <abbr title="clinical commissioning groups">CCGs</abbr>, the relevant offices which give rise to disqualification are the chair or member of a governing body of the <abbr title="clinical commissioning group">CCG</abbr>. The amendments made at paragraphs 4 to 7 of Schedule 3 add <abbr title="NHS Commissioning Board">  <ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787318028219" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/><ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787320481920" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/>the Board</ins></ins> </abbr> and <abbr title="clinical commissioning groups">CCGs</abbr> to some or all of the regulations governing schemes for meeting losses and liabilities established by the Secretary of State under section 71 of the <abbr title="National Health Service Act 2006 c. 41">2006 Act</abbr>. They also add <abbr class="acronym" title="National Health Service">NHS</abbr> Property Services Limited (a company formed under section 223 of the <abbr title="National Health Service Act 2006 c. 41">2006 Act</abbr>, which will own and manage property formerly owned by Strategic Health Authorities and Primary Care Trusts), to certain of those schemes. Paragraph 11 of Schedule 3 substitutes references to <abbr title="NHS Commissioning Board Authority">the Authority</abbr> with references to <abbr title="NHS Commissioning Board">  <ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787318060423" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/><ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787320522503" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/>the Board</ins></ins>  </abbr> in regulations 16 and 18 of the Care Quality Commission (Registration) Regulations 2009, meaning that service providers do not have to notify the Care Quality Commission of the death of a service user or serious incident if the event has already been reported to <abbr title="NHS Commissioning Board">  <ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787318116599" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/><ins class="substitution first last" ukl:ChangeId="key-34df0c1156d679eaadae079150e91065-1787320557950" ukl:CommentaryRef="key-34df0c1156d679eaadae079150e91065"><noteRef uk:name="commentary" href="#key-34df0c1156d679eaadae079150e91065" class="commentary"/>the Board</ins></ins>  </abbr>.</p></blockContainer><blockContainer ukl:Name="P"><p>Part 3 (article 10) of and Schedule 4 to the Order make consequential amendments to secondary legislation that are necessary as a result of section 61(1) of the <abbr title="Health and Social Care Act 2012 c. 7">2012 Act</abbr> which provides for the body corporate known as the Independent Regulator of <abbr class="acronym" title="National Health Service">NHS</abbr> Foundation Trusts to continue in existence and to be known as Monitor. The amendments mainly substitute references to the Independent Regulator of <abbr class="acronym" title="National Health Service">NHS</abbr> Foundation Trusts with references to Monitor.</p></blockContainer><blockContainer ukl:Name="P"><p>This Order comes into force in accordance with article 1(2). For the purposes of article 10 and Schedule 4, this is 1st October 2012. For the purposes of the rest of the Order, it comes into force immediately after the coming into force of section 1H(1) of the <abbr title="National Health Service Act 2006 c. 41">2006 Act</abbr>, as inserted by section 9 of the <abbr title="Health and Social Care Act 2012 c. 7">2012 Act</abbr>.
