id="regulation-1-1"><Pnumber>1</Pnumber><P2para><Text>These Regulations may be cited as the Late Payment of Commercial Debts Regulations 2002 and shall come into force on 7th August Ref="c9603591"/>.</Text></P2para></P2></P1para></P1></P1group><P1group RestrictStartDate="2002-08-07"><Title> Amendments of the Late Payment of Commercial Debts (Interest) Act 1998</Title><P1 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/2" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/2" id="regulation-2"><Pnumber>2</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/2/1" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/2/1" id="regulation-2-1"><Pnumber>1</Pnumber><P2para><Text>The Late Payment of Commercial Debts (Interest) Act 1998 <CommentaryRef Ref="c9603601"/> shall be amended as follows.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/2/2" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/2/2" id="regulation-2-2"><Pnumber>2</Pnumber><P2para><Text>Section 2(5)(c) and (6) (the Secretary of State’s power to specify by order categories of contracts as excepted contracts) are repealed.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/2/3" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/2/3" id="regulation-2-3"><Pnumber>3</Pnumber><P2para><Text>Section 3(4) and (5) (debts not to carry statutory interest if specified in an order made by the Secretary of State) are repealed.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/2/4" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/2/4" id="regulation-2-4"><Pnumber>4</Pnumber><P2para><Text>After section 5, there shall be inserted the following section—</Text><BlockAmendment TargetClass="primary" TargetSubClass="unknown" Context="main" Format="default"><P1group><Title> Compensation arising out of late payment</Title><P1><Pnumber>5A</Pnumber><P1para><P2><Pnumber>1</Pnumber><P2para><Text>Once statutory interest begins to run in relation to a qualifying debt, the supplier shall be entitled to a fixed sum (in addition to the statutory interest on the debt).</Text></P2para></P2><P2><Pnumber>2</Pnumber><P2para><Text>That sum shall be—</Text><P3><Pnumber>a</Pnumber><P3para><Text>for a debt less than £1,000, the sum of £40;</Text></P3para></P3><P3><Pnumber>b</Pnumber><P3para><Text>for a debt of £1,000 or more, but less than £10,000, the sum of £70;</Text></P3para></P3><P3><Pnumber>c</Pnumber><P3para><Text>for a debt of £10,000 or more, the sum of £100.</Text></P3para></P3></P2para></P2><P2><Pnumber>3</Pnumber><P2para><Text>The obligation to pay an additional fixed sum under this section in respect of a qualifying debt shall be treated as part of the term implied by section 1(1) in the contract creating the debt.</Text></P2para></P2></P1para></P1></P1group></BlockAmendment></P2para></P2></P1para></P1></P1group><P1group RestrictExtent="E+W+N.I." RestrictStartDate="2018-02-26"><Title><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">Proceedings restraining grossly unfair terms or practices</Substitution></Title><P1 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/3" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/3" id="regulation-3"><Pnumber><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">3</Substitution></Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/3/1" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/3/1" id="regulation-3-1"><Pnumber><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">1</Substitution></Pnumber><P2para><Text><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">In this regulation, “representative body” means an organisation established to represent the collective interests of any enterprise, either in general or in a particular sector or area.</Substitution></Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/3/2" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/3/2" id="regulation-3-2"><Pnumber><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">2</Substitution></Pnumber><P2para><Text><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">Paragraph (3) applies where a person acting in the course of a business enters (or intends to enter) as purchaser into a contract to which the Late Payment of Commercial Debts (Interest) Act 1998</Substitution><CommentaryRef Ref="c9603631"/><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea"> applies.</Substitution></Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/3/3" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/3/3" id="regulation-3-3"><Pnumber><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">3</Substitution></Pnumber><P2para><Text><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">On the application of a representative body, the High Court may grant an injunction on such terms as it thinks fit restraining the person from relying on a term in the contract, or engaging in a practice in relation to the contract, where that term or practice relates to—</Substitution></Text><P3 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/3/3/a" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/3/3/a" id="regulation-3-3-a"><Pnumber><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">a</Substitution></Pnumber><P3para><Text><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">the date or period for payment of a debt;</Substitution></Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/3/3/b" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/3/3/b" id="regulation-3-3-b"><Pnumber><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">b</Substitution></Pnumber><P3para><Text><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">the right to interest for late payment of a debt; or</Substitution></Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/3/3/c" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/3/3/c" id="regulation-3-3-c"><Pnumber><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">c</Substitution></Pnumber><P3para><Text><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">compensation arising out of late payment of a debt;</Substitution></Text></P3para></P3><Text><Substitution ChangeId="key-f5d7acee0188dfafed3f6787dccb03ea-1583147402751" CommentaryRef="key-f5d7acee0188dfafed3f6787dccb03ea">and in all the circumstances of the case that term or practice appears to the High Court to be grossly unfair.</Substitution></Text></P2para></P2></P1para></P1></P1group><P1group RestrictStartDate="2002-08-07"><Title> Revocation</Title><P1 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/4" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/4" id="regulation-4"><Pnumber>4</Pnumber><P1para><Text>The Late Payment of Commercial Debts (Interest) (Legal Aid Exceptions) Order 1998 <CommentaryRef Ref="c9603621"/> is hereby revoked.</Text></P1para></P1></P1group><P1group RestrictStartDate="2002-08-07"><Title> Saving for existing contracts</Title><P1 DocumentURI="http://www.legislation.gov.uk/uksi/2002/1674/regulation/5" IdURI="http://www.legislation.gov.uk/id/uksi/2002/1674/regulation/5" id="regulation-5"><Pnumber>5</Pnumber><P1para><Text>These Regulations do not affect contracts made before 7th August 2002.</Text></P1para></P1></P1group><P1group RestrictExtent="E+W+N.I." and</Text></P1para></P1><P1><Pnumber PuncBefore="(" PuncAfter=")">3</Pnumber><P1para><Text>by introducing, at section 5A, a right to a fixed sum by way of compensation for the costs suffered by suppliers arising from late payment, such sum being based on the size of the debt.</Text></P1para></P1><P><BlockText><Para><Text>These Regulations (at Regulation 3) provide that a representative body may bring proceedings in the High Court on behalf of small and medium-sized enterprises (SMEs) where standard terms put forward by a purchaser into contracts to which the 1998 Act applies include a term purporting to oust or vary the right to statutory interest in relation to debts created by those contracts. The Court may grant an injunction restraining use of the term, where it finds that the term is void under the provisions of sections 8 and 9 of the 1998 Act, on such basis as it sees fit.</Text></Para></BlockText></P><P><BlockText><Para><Text>“Small and medium-sized enterprises” are defined in Annex 1 to Commission Regulation <Citation URI="http://www.legislation.gov.uk/european/regulation/2001/0070" id="c00003" Class="EuropeanUnionRegulation" Year="2001" Number="70">(EC) No 70/2001</Citation> of 12th January 2001 on the application of Articles 87 and 88 of the EC Treaty to State aid to small and medium-sized enterprises. In summary, they are enterprises which have fewer than 250 employees and have either an annual turnover not exceeding 40 million, or an annual balance sheet total not exceeding 27 million, and conform to the criterion of independence which in general limits the ownership of such enterprises by other enterprises, falling outside the definition of small and medium-sized enterprises, to 25% of the capital or voting rights.</Text></Para></BlockText></P><P><BlockText><Para><Text>“Representative body” is defined as an organisation established to represent the collective interests of small and medium-sized enterprises in general or in a particular sector or geographical area.</Text></Para></BlockText></P><P><BlockText><Para><Text>These Regulations (at Regulation 4) repeal the Late Payment of Commercial Debts (Interest)(Legal Aid Exceptions) Order 1998 (S.I. 1998 No 2482).</Text></Para></BlockText></P><P><BlockText><Para><Text>These Regulations (by virtue of Regulation 5) do not apply to contracts made before the 7th August 2002.</Text></Para></BlockText></P><P><BlockText><Para><Text>A Regulatory Impact Assessment of the costs and benefits which will result from these Regulations has been prepared by the Department of Trade and Industry and is available from: Investment Directorate, Small Business Service, St Mary’s House, c/o Moorfoot, Sheffield, S1 4PQ.
