The Secretary of State, in exercise of the powers conferred by section 718 of and Schedule 22 to the Companies Act 19851 and of all other powers enabling him in that behalf, hereby makes the following Regulations:

These Regulations may be cited as the Companies (Unregistered Companies) (Amendment No. 2) Regulations 1990 and shall come into force on 31st July 1990.

The Companies (Unregistered Companies) Regulations 19852 are hereby amended as follows:

a

in Regulation 6(d), the words “36 to 36B,” shall be inserted before the words “40 and 186”; and

b

in the entry in the Schedule relating to Part I of the Companies Act 1985, for the entry relating to section 36(4) there shall be substituted the following entry:

sections 36 to 36C … Company contracts and execution of documents by companies.

These Regulations amend the Companies (Unregistered Companies) Regulations 1985, which apply certain provisions of the Companies Act 1985 to unregistered companies. The amendments have the effect of applying to such companies the new provisions relating to company contracts and execution of documents inserted into the Companies Act 1985 by the Companies Act 1989. These provisions include the abolition of the requirement to have a corporate seal.
