These Regulations replace the Companies (Alteration of Table A etc) Regulations 1984 which are revoked. They provide the regulations (Table A) and the forms of memorandum and articles of association (Tables B, C, D, E and F) for the purposes of sections 3 and 8 of the Companies Act 1985.

Certain amendments have been made to Tables A and C. Table A has been amended as follows. The reference to 'the Companies Acts 1948 to 1983' has been converted to 'the Companies Act 1985' and the references to 'the Acts' to 'the Act'. In regulation 33, the words 'subject to the provisions of the Act' have been inserted after the word 'including' in the words in parenthesis. In regulation 65, the words 'resolution of' have been inserted after 'approved by'. In regulation 87, 'directors' replaces 'company' as the second word of this regulation. In regulation 90, the words 'the continuing directors or director' are substituted for the word 'they'. In regulation 111, in the first sentence the words 'to or by any person' have been inserted after 'given' and the words 'except that a notice calling a meeting of the directors need not be in writing' after the word 'writing'. The remainder of the first sentence (with the deletion of the words 'and' and 'such') and the second sentence of regulation 111 are removed and become the first and second sentence of regulation 112. In regulation 116, the words 'by them' have been deleted.

The following amendments have been made to the Articles of Association in Table C. In regulation 1, the word 'inclusive' has been deleted in the third place where it appeared. In regulation 10, the words 'in both places where they occur' have been substituted for the words 'where they twice occur'. Regulation 12 has been amended to refer to regulation 112 of Table A.

The Regulations will come into operation simultaneously with the coming into force of the Companies Act 1985.
