eId="section-16" uk:target="true"><num>16</num><heading>Financial oversight</heading><subsection eId="section-16-1"><num>(1)</num><content><p>The <ref eId="c00181" href="https://www.legislation.gov.uk/ukpga/2000/14/contents">Care Standards Act 2000</ref> is amended as follows.</p></content></subsection><subsection eId="section-16-2"><num>(2)</num><content><p><mod>After section <ref href="#">30ZD</ref> (inserted by section <ref href="#">15</ref>) insert—<quotedStructure startQuote="“" endQuote="”" uk:context="body" uk:docName="ukpga" ukl:TargetClass="primary" ukl:TargetSubClass="unknown" ukl:Context="main" ukl:Format="double"><hcontainer name="crossheading" ukl:Name="Pblock"><heading>Financial regulation (England)</heading><section eId="d25e103"><num>30ZE</num><heading>Persons who are subject to financial oversight</heading><subsection eId="d25e107"><num>(1)</num><intro><p>A person is subject to financial oversight if the Secretary of State determines that the person is—</p></intro><level class="para1"><num>(a)</num><content><p>a relevant provider who meets one or more of the financial oversight conditions, or</p></content></level><level class="para1"><num>(b)</num><content><p>a member of a relevant provider group which meets one or more of the financial oversight conditions.</p></content></level></subsection><subsection eId="d25e125"><num>(2)</num><content><p>A “financial oversight condition” is a condition specified in regulations made by the Secretary of State for the purposes of this section.</p></content></subsection><subsection><num>(3)</num><intro><p>Before making the regulations the Secretary of State must have regard to the public interest in securing that—</p></intro><level class="para1"><num>(a)</num><content><p>a relevant provider is subject to financial oversight if the provider has a position of strategic significance in respect of the provision of relevant establishments or agencies;</p></content></level><level class="para1"><num>(b)</num><content><p>a member of a relevant provider group is subject to financial oversight if the group has a position of strategic significance in that respect.</p></content></level></subsection><subsection><num>(4)</num><intro><p>The conditions which may be specified in the regulations may, in particular, relate to—</p></intro><level class="para1"><num>(a)</num><content><p>the number of relevant establishments or agencies which are carried on by a relevant provider or a relevant provider group;</p></content></level><level class="para1"><num>(b)</num><content><p>the size of those establishments or agencies;</p></content></level><level class="para1"><num>(c)</num><content><p>the geographical concentration of those establishments or agencies;</p></content></level><level class="para1"><num>(d)</num><content><p>the share of any market within England for the provision of relevant establishments or agencies which is held by a relevant provider or a relevant provider group.</p></content></level></subsection><subsection><num>(5)</num><content><p>Where the Secretary of State determines that a person is subject to financial oversight, the Secretary of State must serve written notice of the determination on the person.</p></content></subsection><subsection><num>(6)</num><intro><p>The notice may require the person to name an individual who—</p></intro><level class="para1"><num>(a)</num><content><p>has a significant role in the management of the person, and</p></content></level><level class="para1"><num>(b)</num><content><p>may reasonably be expected to be in a position to ensure that the person complies with any requirement imposed by or under section <ref href="#d25e334">30ZG</ref>, <ref href="#d25e465">30ZH</ref> or <ref href="#d25e585">30ZI</ref>.</p></content></level></subsection><subsection><num>(7)</num><intro><p>In this section and sections <ref href="#d25e296">30ZF</ref> to <ref href="#d25e722">30ZJ</ref>—</p></intro><hcontainer name="definition"><intro><p>“<term refersTo="#term-relevant-establishment-or-agency">relevant establishment or agency</term>” means—</p></intro><level class="para1"><num>(a)</num><content><p>a children’s home in England, or</p></content></level><level class="para1"><num>(b)</num><content><p>a fostering agency in England (or, where the activities of a fostering agency are carried on from two or more branches, the branches in England);</p></content></level></hcontainer><hcontainer name="definition"><content><p>“<term refersTo="#term-relevant-provider">relevant provider</term>” means a person, other than a local authority, who is registered under this Part as carrying on one or more relevant establishments or agencies;</p></content></hcontainer><hcontainer name="definition"><intro><p>“<term refersTo="#term-relevant-provider-group">relevant provider group</term>” means—</p></intro><level class="para1"><num>(a)</num><content><p>a parent undertaking of a relevant provider, and</p></content></level><level class="para1"><num>(b)</num><content><p>its relevant subsidiary undertakings;</p></content></level></hcontainer><hcontainer name="definition"><intro><p>“<term refersTo="#term-relevant-subsidiary-undertaking">relevant subsidiary undertaking</term>” means—</p></intro><level class="para1"><num>(a)</num><content><p>a relevant provider, or</p></content></level><level class="para1"><num>(b)</num><content><p>a parent undertaking of a relevant provider;</p></content></level></hcontainer><hcontainer name="definition"><content><p>“<term refersTo="#term-parent-undertaking">parent undertaking</term>” and “subsidiary undertaking” have the meanings given by <ref eId="c00182" href="https://www.legislation.gov.uk/ukpga/2006/46/section/1162">section 1162</ref> of the <ref eId="c00183" href="https://www.legislation.gov.uk/ukpga/2006/46/contents">Companies Act 2006</ref>.</p></content></hcontainer></subsection></section><section eId="d25e296"><num>30ZF</num><heading>Financial oversight period</heading><subsection><num>(1)</num><content><p>A person is subject to financial oversight for the financial oversight period.</p></content></subsection><subsection><num>(2)</num><content><p>The “financial oversight period” is the period of 12 months beginning with the day on which the Secretary of State makes a determination under section <ref href="#d25e103">30ZE</ref><ref href="#d25e107">(1)</ref>, but this is subject to subsection <ref href="#d25e320">(3)</ref>.</p></content></subsection><subsection eId="d25e320"><num>(3)</num><content><p>If the Secretary of State makes a further determination under section <ref href="#d25e103">30ZE</ref><ref href="#d25e107">(1)</ref>before the end of the financial oversight period, that period is extended until the end of the period of 12 months beginning with the day on which the further determination is made.</p></content></subsection></section><section eId="d25e334"><num>30ZG</num><heading>Power to require provision of recovery and resolution plan</heading><subsection eId="d25e338"><num>(1)</num><intro><p>The Secretary of State may serve a written notice on a person who is subject to financial oversight requiring the person to—</p></intro><level class="para1"><num>(a)</num><content><p>prepare a recovery and resolution plan, and</p></content></level><level class="para1" eId="d25e350"><num>(b)</num><content><p>submit the plan to the Secretary of State before the end of the period specified in the notice.</p></content></level></subsection><subsection eId="d25e356"><num>(2)</num><intro><p>A recovery and resolution plan is a plan containing information about—</p></intro><level class="para1" eId="d25e362"><num>(a)</num><content><p>the nature and extent of any risk to the financial sustainability of the person,</p></content></level><level class="para1"><num>(b)</num><content><p>the action the person proposes to take to mitigate or eliminate those risks,</p></content></level><level class="para1"><num>(c)</num><content><p>any adverse impacts on local authorities, and children looked after by local authorities, that might result if those risks materialised, and</p></content></level><level class="para1"><num>(d)</num><content><p>the action the person proposes to take to reduce those adverse impacts if they arise.</p></content></level></subsection><subsection><num>(3)</num><content><p>The period mentioned in subsection <ref href="#d25e338">(1)</ref><ref href="#d25e350">(b)</ref> must not be less than 28 days beginning with the day on which the notice is served on the person.</p></content></subsection><subsection><num>(4)</num><content><p>Subsection <ref href="#d25e409">(5)</ref> applies where the person on whom the Secretary of State serves a notice under subsection <ref href="#d25e338">(1)</ref> is a parent undertaking of a relevant provider.</p></content></subsection><subsection eId="d25e409"><num>(5)</num><content><p>The Secretary of State may also require that the information provided under subsection <ref href="#d25e356">(2)</ref><ref href="#d25e362">(a)</ref> is to include information about the nature and extent of any risks to the financial sustainability of the relevant subsidiary undertakings of the parent undertaking.</p></content></subsection><subsection><num>(6)</num><content><p>The Secretary of State may serve written notice on a person who has submitted a recovery and resolution plan requiring the person to provide an explanation of any information contained in the plan.</p></content></subsection><subsection><num>(7)</num><intro><p>Subsection <ref href="#d25e456">(8)</ref> applies where—</p></intro><level class="para1"><num>(a)</num><content><p>a person has submitted a recovery and resolution plan to the Secretary of State,</p></content></level><level class="para1"><num>(b)</num><content><p>there is a material change to the matters mentioned in subsection <ref href="#d25e356">(2)</ref>, and</p></content></level><level class="para1"><num>(c)</num><content><p>the person is subject to financial oversight when the change occurs.</p></content></level></subsection><subsection eId="d25e456"><num>(8)</num><content><p>The person must inform the Secretary of State of the change as soon as is reasonably practicable.</p></content></subsection></section><section eId="d25e465"><num>30ZH</num><heading>Power to require information</heading><subsection eId="d25e469"><num>(1)</num><intro><p>The Secretary of State may serve a written notice on a person who is subject to financial oversight requiring the person to provide such information as the Secretary of State considers it necessary or expedient to have for the purpose of assessing—</p></intro><level class="para1" eId="d25e475"><num>(a)</num><content><p>the nature and extent of any risks to the financial sustainability of the person;</p></content></level><level class="para1"><num>(b)</num><content><p>the action the person could take to mitigate or eliminate those risks;</p></content></level><level class="para1"><num>(c)</num><content><p>any adverse impacts on local authorities, and children looked after by local authorities, that might result if those risks materialised;</p></content></level><level class="para1"><num>(d)</num><content><p>the action the person could take to reduce those adverse impacts if they arise.</p></content></level></subsection><subsection><num>(2)</num><content><p>Subsection <ref href="#d25e511">(3)</ref> applies where the Secretary of State serves a notice under subsection <ref href="#d25e469">(1)</ref> on a person who is a parent undertaking of a relevant provider.</p></content></subsection><subsection eId="d25e511"><num>(3)</num><content><p>Where this subsection applies, the power under subsection <ref href="#d25e469">(1)</ref><ref href="#d25e475">(a)</ref> includes the power to require information for the purposes of assessing the nature of any risks to the financial sustainability of the relevant subsidiary undertakings of the person.</p></content></subsection><subsection><num>(4)</num><intro><p>The power under subsection <ref href="#d25e469">(1)</ref> includes the power to require the provision of—</p></intro><level class="para1"><num>(a)</num><content><p>an explanation of any information required under that subsection,</p></content></level><level class="para1"><num>(b)</num><content><p>copies of any documents or records, and</p></content></level><level class="para1"><num>(c)</num><content><p>a legible copy of information recorded otherwise than in legible form.</p></content></level></subsection><subsection><num>(5)</num><intro><p>Subsection <ref href="#d25e576">(6)</ref> applies where—</p></intro><level class="para1"><num>(a)</num><content><p>a person provides information to the Secretary of State under this section,</p></content></level><level class="para1"><num>(b)</num><content><p>there is a material change to that information, and</p></content></level><level class="para1"><num>(c)</num><content><p>the person is subject to financial oversight when the change occurs.</p></content></level></subsection><subsection eId="d25e576"><num>(6)</num><content><p>The person must inform the Secretary of State of the change as soon as is reasonably practicable.</p></content></subsection></section><section eId="d25e585"><num>30ZI</num><heading>Power to arrange for independent business review</heading><subsection><num>(1)</num><content><p>The Secretary of State may arrange for a qualified person to carry out an independent business review in relation to a person who is subject to financial oversight (a “reviewed person”) if satisfied that either or both of the conditions in subsection <ref href="#d25e598">(2)</ref> are met.</p></content></subsection><subsection eId="d25e598"><num>(2)</num><intro><p>The conditions are—</p></intro><level class="para1" eId="d25e604"><num>(a)</num><content><p>there is a significant risk to the financial sustainability of the reviewed person, or</p></content></level><level class="para1" eId="d25e610"><num>(b)</num><content><p>where the reviewed person is a parent undertaking of a relevant provider, there is a significant risk to the financial sustainability of one or more of their relevant subsidiary undertakings.</p></content></level></subsection><subsection><num>(3)</num><intro><p>An “independent business review” is a review of—</p></intro><level class="para1"><num>(a)</num><content><p>the nature and extent of any relevant financial sustainability risks;</p></content></level><level class="para1"><num>(b)</num><content><p>the action the reviewed person could take to mitigate or eliminate those risks;</p></content></level><level class="para1"><num>(c)</num><content><p>any adverse impacts on local authorities, and children looked after by local authorities, that might result if those risks materialised;</p></content></level><level class="para1"><num>(d)</num><content><p>the action the reviewed person could take to reduce those adverse impacts if they arise.</p></content></level></subsection><subsection><num>(4)</num><intro><p>A “<term refersTo="#term-relevant-financial-sustainability-risk">relevant financial sustainability risk</term>” means—</p></intro><level class="para1"><num>(a)</num><content><p>where the Secretary of State is satisfied that the condition in subsection <ref href="#d25e598">(2)</ref><ref href="#d25e604">(a)</ref> is met, a risk to the financial sustainability of the reviewed person;</p></content></level><level class="para1"><num>(b)</num><content><p>where the Secretary of State is satisfied that the condition in subsection <ref href="#d25e598">(2)</ref><ref href="#d25e610">(b)</ref> is met, a risk to the financial sustainability of the relevant subsidiary undertakings mentioned in that subsection.</p></content></level></subsection><subsection><num>(5)</num><intro><p>A person is “qualified” to carry out an independent business review if the Secretary of State is satisfied that the person—</p></intro><level class="para1"><num>(a)</num><content><p>is independent of the reviewed person and the Secretary of State, and</p></content></level><level class="para1"><num>(b)</num><content><p>has the skills necessary to carry out the review.</p></content></level></subsection><subsection><num>(6)</num><content><p>Where the Secretary of State arranges for a qualified person to carry out an independent business review, the Secretary of State must serve a written notice on the reviewed person informing the person of that fact.</p></content></subsection><subsection><num>(7)</num><content><p>The notice may make provision for the reviewed person to be liable to the Secretary of State for payment of the qualified person’s remuneration and expenses relating to the review.</p></content></subsection><subsection><num>(8)</num><content><p>An amount payable to the Secretary of State under the notice is recoverable, if a county court so orders, as if it were payable under an order of that court.</p></content></subsection><subsection><num>(9)</num><content><p>The reviewed person must give the qualified person all such assistance as the qualified person may reasonably require to carry out the review.</p></content></subsection></section><section eId="d25e722"><num>30ZJ</num><heading>Duty to issue advance warning notice</heading><subsection eId="d25e726"><num>(1)</num><intro><p>The Secretary of State must serve a written notice (an “advance warning notice”) on a local authority if the Secretary of State considers that—</p></intro><level class="para1"><num>(a)</num><content><p>there is a real possibility that one or more relevant establishments or agencies will cease to be carried on because of any risk to the financial sustainability of a person who is subject to financial oversight, and</p></content></level><level class="para1"><num>(b)</num><content><p>the local authority, or any children looked after by the local authority, might be adversely affected if that were to happen.</p></content></level></subsection><subsection><num>(2)</num><intro><p>An advance warning notice must—</p></intro><level class="para1"><num>(a)</num><content><p>identify the establishments or agencies mentioned in subsection <ref href="#d25e726">(1)</ref>;</p></content></level><level class="para1"><num>(b)</num><content><p>inform the local authority that the Secretary of State considers that there is a real possibility that those establishments or agencies will cease to be carried on for the reasons mentioned in that subsection, and</p></content></level><level class="para1"><num>(c)</num><content><p>explain why the Secretary of State considers that the local authority, or children looked after by the local authority, might be adversely affected if that were to happen.</p></content></level></subsection><subsection><num>(3)</num><intro><p>Where the Secretary of State serves an advance warning notice under subsection <ref href="#d25e726">(1)</ref>, the Secretary of State must also—</p></intro><level class="para1"><num>(a)</num><content><p>serve a copy of the notice on the CIECSS, and</p></content></level><level class="para1"><num>(b)</num><content><p>inform the person who is registered as carrying on the establishments or agencies identified in the notice that an advance warning notice has been served in relation to those establishments or agencies.</p></content></level></subsection></section></hcontainer></quotedStructure></mod></p></content></subsection><subsection eId="section-16-3"><num>(3)</num><intro><p>In <ref eId="c00184" href="https://www.legislation.gov.uk/ukpga/2000/14/section/118">section 118</ref> (orders and regulations)—</p></intro><level class="para1" eId="section-16-3-a"><num>(a)</num><content><p><mod>after <ref eId="c00185" href="https://www.legislation.gov.uk/ukpga/2000/14/section/118">subsection (2)</ref> insert—<quotedStructure startQuote="“" endQuote="”" uk:context="body" uk:docName="ukpga" ukl:TargetClass="primary" ukl:TargetSubClass="unknown" ukl:Context="main" ukl:Format="double"><subsection eId="d25e811"><num>(2A)</num><content><p>A statutory instrument containing (alone or with other provision) regulations to which subsection <ref href="#d25e820">(2B)</ref> applies may not be made unless a draft of the instrument has been laid before and approved by a resolution of each House of Parliament.</p></content></subsection><subsection eId="d25e820"><num>(2B)</num><intro><p>This subsection applies to regulations under—</p></intro><level class="para1"
