RestrictStartDate="2012-03-14"><Title>Requirement to disclose charitable status</Title><P1 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/194" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/194" id="section-194"><Pnumber PuncAfter="">194</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/194/1" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/194/1" id="section-194-1"><Pnumber>1</Pnumber><P2para><Text>Where a charitable company's name does not include the word  “charity” or  “charitable”, the fact that the company is a charity must be stated in legible characters—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/194/1/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/194/1/a" id="section-194-1-a"><Pnumber>a</Pnumber><P3para><Text>in every location, and in every description of document or communication, in which it is required by regulations under section 82 of the Companies Act 2006 to state its registered name, and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/194/1/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/194/1/b" id="section-194-1-b"><Pnumber>b</Pnumber><P3para><Text>in all conveyances purporting to be executed by the company.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/194/2" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/194/2" id="section-194-2"><Pnumber>2</Pnumber><P2para><Text>Where a company's name includes the word  “elusen” or  “elusennol” (the Welsh equivalents of  “charity” and  “charitable”), subsection (1) does not apply in relation to any document that is wholly in Welsh.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/194/3" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/194/3" id="section-194-3"><Pnumber>3</Pnumber><P2para><Text>The statement required by subsection (1) must be in English, except that, in the case of a document that is otherwise wholly in Welsh, the statement may be in Welsh if it consists of or includes the word  “elusen” or  “elusennol”.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/194/4" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/194/4" id="section-194-4"><Pnumber>4</Pnumber><P2para><Text>In subsection (1)(b)  “<Term id="term-conveyance">conveyance</Term>” means any instrument creating, transferring, varying or extinguishing an interest in land.</Text></P2para></P2></P1para></P1></P1group><P1group RestrictStartDate="2012-03-14"><Title>Civil consequences of failure to make required disclosure</Title><P1 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/195" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/195" id="section-195"><Pnumber PuncAfter="">195</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/195/1" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/195/1" id="section-195-1"><Pnumber>1</Pnumber><P2para><Text>This section applies to any legal proceedings brought by a charitable company to which section 194 applies to enforce a right arising out of a contract or conveyance in connection with which there was a failure to comply with that section.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/195/2" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/195/2" id="section-195-2"><Pnumber>2</Pnumber><P2para><Text>The proceedings must be dismissed if it is shown that the defendant to the proceedings—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/195/2/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/195/2/a" id="section-195-2-a"><Pnumber>a</Pnumber><P3para><Text>has a claim against the company arising out of the contract or conveyance that the defendant has been unable to pursue because of the company's failure to comply with section 194, or</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/195/2/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/195/2/b" id="section-195-2-b"><Pnumber>b</Pnumber><P3para><Text>has suffered some financial loss in connection with the contract or conveyance because of the company's failure to comply with that section,</Text></P3para></P3><Text>unless the court before which the proceedings are brought is satisfied that it is just and equitable to permit the proceedings to continue.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/195/3" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/195/3" id="section-195-3"><Pnumber>3</Pnumber><P2para><Text>This section does not affect the right of any person to enforce such rights as that person may have against another in any proceedings brought by the other.</Text></P2para></P2></P1para></P1></P1group><P1group RestrictStartDate="2012-03-14"><Title>Criminal consequences of failure to make required disclosure</Title><P1 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/196" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/196" id="section-196"><Pnumber PuncAfter="">196</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/196/1" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/196/1" id="section-196-1"><Pnumber>1</Pnumber><P2para><Text>Where a charitable company fails, without reasonable excuse, to comply with section 194, an offence is committed by—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/196/1/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/196/1/a" id="section-196-1-a"><Pnumber>a</Pnumber><P3para><Text>the company, and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/196/1/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/196/1/b" id="section-196-1-b"><Pnumber>b</Pnumber><P3para><Text>every officer of the company who is in default.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/196/2" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/196/2" id="section-196-2"><Pnumber>2</Pnumber><P2para><Text>For this purpose a shadow director of the company is treated as an officer of the company if the failure is to comply with section 194(1)(a) and that person would be treated as an officer of the company for the purposes of the corresponding requirement of regulations under section 82 of the Companies Act 2006.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/196/3" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/196/3" id="section-196-3"><Pnumber>3</Pnumber><P2para><Text>A person guilty of such an offence is liable on summary conviction to a fine not exceeding level 3 on the standard scale and, for continued contravention, a daily default fine not exceeding 10% of level 3 on the standard scale.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/196/4" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/196/4" id="section-196-4"><Pnumber>4</Pnumber><P2para><Text>Expressions used in this section have the same meaning as in section 84 of the Companies Act 2006 (criminal consequences of failure to disclose company's registered name).</Text></P2para></P2></P1para></P1></P1group></Pblock><Pblock DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/part/10/crossheading/restrictions-on-alteration-of-objects" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/part/10/crossheading/restrictions-on-alteration-of-objects" NumberOfProvisions="4" id="part-10-crossheading-restrictions-on-alteration-of-objects" RestrictStartDate="2024-03-07"><Title><Emphasis>Restrictions on alteration of objects</Emphasis></Title><P1group RestrictStartDate="2012-03-14"><Title>Alteration of objects by bodies corporate and charitable status</Title><P1 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197" id="section-197"><Pnumber PuncAfter="">197</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197/1" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197/1" id="section-197-1"><Pnumber>1</Pnumber><P2para><Text>Subsection (2) applies where a charity—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197/1/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197/1/a" id="section-197-1-a"><Pnumber>a</Pnumber><P3para><Text>is a company or other body corporate, and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197/1/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197/1/b" id="section-197-1-b"><Pnumber>b</Pnumber><P3para><Text>has power to alter the instruments establishing or regulating it as a body corporate.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197/2" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197/2" id="section-197-2"><Pnumber>2</Pnumber><P2para><Text>No exercise of the power which has the effect of the body ceasing to be a charity is valid so as to affect the application of—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197/2/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197/2/a" id="section-197-2-a"><Pnumber>a</Pnumber><P3para><Text>any property acquired under any disposition or agreement previously made otherwise than for full consideration in money or money's worth, or any property representing property so acquired,</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197/2/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197/2/b" id="section-197-2-b"><Pnumber>b</Pnumber><P3para><Text>any property representing income which has accrued before the alteration is made, or</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/197/2/c" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/197/2/c" id="section-197-2-c"><Pnumber>c</Pnumber><P3para><Text>the income from any such property.</Text></P3para></P3></P2para></P2></P1para></P1></P1group><P1group RestrictStartDate="2024-03-07"><Title>Alteration of objects by companies and Commission's consent</Title><P1 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198" id="section-198"><Pnumber PuncAfter="">198</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/1" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/1" id="section-198-1"><Pnumber>1</Pnumber><P2para><Text>Any regulated alteration by a charitable company—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/1/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/1/a" id="section-198-1-a"><Pnumber>a</Pnumber><P3para><Text>requires the prior written consent of the Commission, and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/1/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/1/b" id="section-198-1-b"><Pnumber>b</Pnumber><P3para><Text>is ineffective if such consent has not been obtained.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/2" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/2" id="section-198-2"><Pnumber>2</Pnumber><P2para><Text>The following are regulated alterations—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/2/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/2/a" id="section-198-2-a"><Pnumber>a</Pnumber><P3para><Text>an amendment of the company's articles of association  <Substitution ChangeId="key-7ce0dd50afbe14a625e016ca813be35a-1710860491497" CommentaryRef="key-7ce0dd50afbe14a625e016ca813be35a">which alters the charitable purposes of the company,</Substitution> </Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/2/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/2/b" id="section-198-2-b"><Pnumber>b</Pnumber><P3para><Text>any alteration of any provision of its articles of association directing the application of property of the company on its dissolution, and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/2/c" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/2/c" id="section-198-2-c"><Pnumber>c</Pnumber><P3para><Text>any alteration of any provision of its articles of association where the alteration would provide authorisation for any benefit to be obtained by directors or members of the company or persons connected with them.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/2A" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/2A" id="section-198-2A"><Pnumber><Addition ChangeId="key-6397a4a425282cf46ae60d4b658a0a09-1710860461979" CommentaryRef="key-6397a4a425282cf46ae60d4b658a0a09">2A</Addition></Pnumber><P2para><Text><Addition ChangeId="key-6397a4a425282cf46ae60d4b658a0a09-1710860461979" CommentaryRef="key-6397a4a425282cf46ae60d4b658a0a09">In considering whether to consent to an alteration falling within subsection (2)(a) the Commission must have regard to—</Addition></Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/2A/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/2A/a" id="section-198-2A-a"><Pnumber><Addition CommentaryRef="key-6397a4a425282cf46ae60d4b658a0a09">the need for the company to have purposes which are suitable and effective in the light of current social and economic circumstances.</Addition></Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/3" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/3" id="section-198-3"><Pnumber>3</Pnumber><P2para><Text>Where a company that has made a regulated alteration in accordance with subsection (1) is required—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/3/a" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/3/a" id="section-198-3-a"><Pnumber>a</Pnumber><P3para><Text>by section 26 of the Companies Act 2006 to send to the registrar of companies a copy of its articles as amended,</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/3/b" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/3/b" id="section-198-3-b"><Pnumber>b</Pnumber><P3para><Text>by section 30 of that Act to forward to the registrar a copy of the special resolution effecting the alteration, or</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/3/c" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/3/c" id="section-198-3-c"><Pnumber>c</Pnumber><P3para><Text>by section 31 of that Act to give notice to the registrar of the amendment,</Text></P3para></P3><Text>the copy or notice must be accompanied by a copy of the Commission's consent.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/4" IdURI="http://www.legislation.gov.uk/id/ukpga/2011/25/section/198/4" id="section-198-4"><Pnumber>4</Pnumber><P2para><Text>If more than one of those provisions applies and they are complied with at different times, the company need not send a further copy of the Commission's consent if a copy was sent on an earlier occasion.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/2011/25/section/198/5"
