A community interest company is excluded from re-registering under F1section 102 of the Companies Act 2006 (re-registration of limited company as unlimited).

If a community interest company which is not a public company re-registers as a public company under F2section 90 of the Companies Act 2006 , or a community interest company which is a public company re-registers as a private company under F3section 97 of the Companies Act 2006 , the certificate of incorporation issued under F4section 96(2) or 101(2) of the Companies Act 2006 is to contain a statement that the company is a community interest company.

The fact that the certificate of incorporation contains such a statement is conclusive evidence that the company is a community interest company.
