							(restriction on enforcement of security or repossession of goods)

IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/2" id="section-175-2"><Pnumber><CommentaryRef Ref="c13695881"/>2</Pnumber><P2para><Text>However, where a market charge falls to be enforced after <Addition ChangeId="d29p10228" CommentaryRef="c13695891">the occurrence of an event to which subsection (2A) applies</Addition>, and there exists another charge over some or all of the same property ranking in priority to or <Emphasis>pari passu</Emphasis> with the market charge,  <Addition ChangeId="d29p10235" CommentaryRef="c13695901">on the application of any person interested</Addition> the court may order that there shall be taken after enforcement of the market charge such steps as the court may direct for the purpose of ensuring that the chargee under the IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/3/a" id="section-175-3-a"><Pnumber>a</Pnumber><P3para><Text>section 43 (power of administrative receiver to dispose of charged property), and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/40/section/175/3/b" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/3/b" id="section-175-3-b"><Pnumber>b</Pnumber><P3para><Text>section 61 (power of receiver in Scotland to dispose of an interest in property).</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/40/section/175/4" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/4" id="section-175-4"><Pnumber>4</Pnumber><P2para><Text>Sections 127 and 284 of the Insolvency Act 1986 (avoidance of property dispositions effected after commencement of winding up<Addition ChangeId="key-1e1b5d6001e41be10f13b3e15d39fc91-1564741806876" CommentaryRef="key-1e1b5d6001e41be10f13b3e15d39fc91">, making of bankruptcy application</Addition>  or presentation of bankruptcy petition), and section  <Substitution ChangeId="key-9f5a883418330e763ad8b48a9af4957a-1564744548821" CommentaryRef="key-9f5a883418330e763ad8b48a9af4957a">87(4) of the Bankruptcy (Scotland) Act 2016</Substitution>  (effect of dealing with debtor relating to estate vested in <CommentaryRef Ref="key-7043c2db3057840ea07e5db9ccc18e97"/>... trustee), do not apply to a disposition of property as a result of which the property becomes subject to a market charge or any transaction pursuant to which that disposition is made.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/40/section/175/5" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/5" id="section-175-5"><Pnumber><CommentaryRef Ref="c13695941"/><CommentaryRef Ref="c13695951"/><Substitution ChangeId="key-779182d3ea5604e40d9f4510e325d56a-1561374664445" CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a">5</Substitution></Pnumber><P2para><Text><Substitution ChangeId="key-779182d3ea5604e40d9f4510e325d56a-1561374664445" CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a">However, if a person who is party to a disposition mentioned in subsection (4) has notice at the time of the disposition that ChangeId="key-32f1d2d88017189f25fb3f5bbaa6f339-1564741741626" CommentaryRef="key-32f1d2d88017189f25fb3f5bbaa6f339">a bankruptcy application has been made or</Addition></Substitution><Substitution ChangeId="key-779182d3ea5604e40d9f4510e325d56a-1561374664445" CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a"> a petition has been presented for the winding up or bankruptcy or sequestration of the estate of the party making the disposition, the value of any profit to him arising from the disposition is recoverable from him by the relevant office-holder unless—</Substitution></Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/40/section/175/5/a" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/5/a" id="section-175-5-a"><Pnumber><Substitution ChangeId="key-779182d3ea5604e40d9f4510e325d56a-1561374664445" CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a">a</Substitution></Pnumber><P3para><Text><Substitution CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a">b</Substitution></Pnumber><P3para><Text><Substitution ChangeId="key-779182d3ea5604e40d9f4510e325d56a-1561374664445" CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a">the disposition is made in accordance with the default rules of a recognised central counterparty for the purposes of transferring a position or CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a">c</Substitution></Pnumber><P3para><Text><Substitution ChangeId="key-779182d3ea5604e40d9f4510e325d56a-1561374664445" CommentaryRef="key-779182d3ea5604e40d9f4510e325d56a">the court directs otherwise.</Substitution></Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/40/section/175/5A" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/5A" id="section-175-5A"><Pnumber><Addition ChangeId="key-22186c9438a980edb9bdd8bae6e2f8d5-1561374491738" CommentaryRef="key-22186c9438a980edb9bdd8bae6e2f8d5">5A</Addition></Pnumber><P2para><Text><Addition ChangeId="key-22186c9438a980edb9bdd8bae6e2f8d5-1561374491738" CommentaryRef="key-22186c9438a980edb9bdd8bae6e2f8d5">In subsection (5)(b), “asset” has the meaning given by Article 39(10) of the EMIR Level 1 Regulation.</Addition></Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/40/section/175/6" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/6" id="section-175-6"><Pnumber><CommentaryRef Ref="c13695951"/>6</Pnumber><P2para><Text>Any sum recoverable by virtue of subsection (5) ranks for priority, in the event of the insolvency of the person from whom it is due, immediately before preferential or, in Scotland, preferred debts.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/40/section/175/7" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/40/section/175/7" id="section-175-7"><Pnumber>7</Pnumber><P2para><Text>In a case falling within both subsection (4) above (as a disposition of property as a result of which the property becomes subject to a market charge) and section 164(3)
