Fothergill.</LongTitle><DateOfEnactment><DateText>[27th July 1989]</DateText></DateOfEnactment><PrimaryPreamble><EnactingText><Para><Text>Be it enacted by the Queen’s most Excellent Majesty, by and with the advice and consent of the Lords Spiritual and Temporal, and Commons, in this present Parliament assembled, and by the authority of the same, as follows:—</Text></Para></EnactingText></PrimaryPreamble></PrimaryPrelims><Body DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/body" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/body" NumberOfProvisions="6" RestrictStartDate="2010-06-30"><P1group RestrictExtent="E+W" ConfersPower="true" RestrictStartDate="2010-01-01"><Title> Deeds and their execution.</Title><P1 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1" id="section-1"><Pnumber>1</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/1" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/1" id="section-1-1"><Pnumber>1</Pnumber><P2para><Text>Any rule of law which—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/1/a" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/1/a" id="section-1-1-a"><Pnumber>a</Pnumber><P3para><Text>restricts the substances on which a deed may be written;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/1/b" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/1/b" id="section-1-1-b"><Pnumber>b</Pnumber><P3para><Text>requires a seal for the valid execution of an instrument as a deed by an individual; or</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/1/c" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/1/c" id="section-1-1-c"><Pnumber>c</Pnumber><P3para><Text>requires authority by one person to another to deliver an instrument as a deed on his behalf to be given by deed,</Text></P3para></P3><Text>is abolished.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/2" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/2" id="section-1-2" RestrictStartDate="2009-10-01"><Pnumber>2</Pnumber><P2para><Text>An instrument shall not be a deed unless—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/2/a" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/2/a" id="section-1-2-a"><Pnumber>a</Pnumber><P3para><Text>it makes it clear on its face that it is intended to be a deed by the person making it or, as the case may be, by the parties to it (whether by describing itself as a deed or expressing itself to be executed or signed as a deed or otherwise); and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/2/b" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/2/b" id="section-1-2-b" RestrictStartDate="2009-10-01"><Pnumber><CommentaryRef Ref="key-0c3c4ace433c503a275e1d8cd5bab5f2"/>b</Pnumber><P3para><Text>it is validly executed as a deed by that person or, as the case may be, one or more of those parties.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/2A" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/2A" id="section-1-2A"><Pnumber><Addition ChangeId="key-3b376b28684260b03a65ffd010267e12-1441036808585" CommentaryRef="key-3b376b28684260b03a65ffd010267e12">2A</Addition></Pnumber><P2para><Text><Addition ChangeId="key-3b376b28684260b03a65ffd010267e12-1441036808585" CommentaryRef="key-3b376b28684260b03a65ffd010267e12">For the purposes of subsection (2)(a) above, an instrument shall not be taken to make it clear on its face that it is intended to be a deed merely because it is executed under seal.</Addition></Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/3" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/3" id="section-1-3"><Pnumber>3</Pnumber><P2para><Text>An instrument is validly executed as a deed by an individual if, and only if—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/3/a" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/3/a" id="section-1-3-a"><Pnumber>a</Pnumber><P3para><Text>it is signed—</Text><P4 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/3/a/i" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/3/a/i" id="section-1-3-a-i"><Pnumber>i</Pnumber><P4para><Text>by him in the presence of a witness who attests the signature; or</Text></P4para></P4><P4 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/3/a/ii" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/3/a/ii" id="section-1-3-a-ii"><Pnumber>ii</Pnumber><P4para><Text>at his direction and in his presence and the presence of two witnesses who each attest the signature; and</Text></P4para></P4></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/3/b" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/3/b" id="section-1-3-b"><Pnumber>b</Pnumber><P3para><Text>it is delivered as a deed <CommentaryRef Ref="key-3bfe311c7c4342c163fecf4f56621204"/>...</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/4" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/4" id="section-1-4"><Pnumber>4</Pnumber><P2para><Text>In subsections (2) and (3) above “<Term id="term-sign">sign</Term>”, in relation to an instrument, includes making one’s mark on the instrument and “<Term id="term-signature">signature</Term>” is to be construed accordingly.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/4A" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/4A" id="section-1-4A"><Pnumber><Addition ChangeId="key-b350fb9a089fa50542f8ee7923d8770e-1441036768066" CommentaryRef="key-b350fb9a089fa50542f8ee7923d8770e">4A</Addition></Pnumber><P2para><Text><Addition ChangeId="key-b350fb9a089fa50542f8ee7923d8770e-1441036768066" CommentaryRef="key-b350fb9a089fa50542f8ee7923d8770e">Subsection (3) above applies in the case of an instrument executed by an individual in the name or on behalf of another person whether or not that person is also an individual.</Addition></Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/5" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/5" id="section-1-5"><Pnumber>5</Pnumber><P2para><Text>Where <Substitution ChangeId="key-184b0ff433ea7ee44937a0cd3ddc7499-1441038466603" CommentaryRef="key-184b0ff433ea7ee44937a0cd3ddc7499">a relevant lawyer, or an agent or employee of a relevant lawyer</Substitution>, in the course of or in connection with a transaction <CommentaryRef Ref="key-449f3aa4b5e70c08e1ce627bbee331a6"/>..., purports to deliver an instrument as a deed on behalf of a party to the instrument, it shall be conclusively presumed in favour of a purchaser that he is authorised so to deliver the instrument.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/6" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/6" id="section-1-6"><Pnumber>6</Pnumber><P2para><Text>In subsection (5) above—</Text><UnorderedList Decoration="none" Class="Definition"><ListItem><Para><Text><Substitution ChangeId="key-b4dbdc641c640f0ee41e3297bc4e4264-1441037166950" CommentaryRef="key-b4dbdc641c640f0ee41e3297bc4e4264">“purchaser” has the same meaning</Substitution> as in the <CommentaryRef Ref="c805920"/>Law of Property Act 1925;</Text></Para></ListItem><ListItem><Para><Text>

” means a person who, for the purposes of the Legal Services Act 2007, is an authorised person in relation to an activity which constitutes a reserved instrument activity (within the meaning of that Act).

</Text></Para></ListItem><ListItem><Para><Text><CommentaryRef Ref="key-3f58268aa19093a237d5cfa742672dd6"/>...<CommentaryRef Ref="key-3f58268aa19093a237d5cfa742672dd6"/>...</Text></Para></ListItem></UnorderedList></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/7" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/7" id="section-1-7"><Pnumber>7</Pnumber><P2para><Text>Where an instrument under seal that constitutes a deed is required for the purposes of an Act passed before this section comes into force, this section shall have effect as to signing, sealing or delivery of an instrument by an individual in place of any provision of that Act as to signing, sealing or delivery.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/8" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/8" id="section-1-8"><Pnumber>8</Pnumber><P2para><Text>The enactments mentioned in Schedule 1 to this Act (which in consequence of this section require amendments other than those provided by subsection (7) above) shall have effect with the amendments specified in that Schedule.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/9" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/9" id="section-1-9"><Pnumber>9</Pnumber><P2para><Text>Nothing in subsection (1)(b), (2), (3), (7) or (8) above applies in relation to deeds required or authorised to be made under—</Text><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/9/a" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/9/a" id="section-1-9-a"><Pnumber>a</Pnumber><P3para><Text>the seal of the county palatine of Lancaster;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/ukpga/1989/34/section/1/9/b" IdURI="http://www.legislation.gov.uk/id/ukpga/1989/34/section/1/9/b" id="section-1-9-b"><Pnumber>b</Pnumber><P3para><Text>the seal of the Duchy of Lancaster;
