Proceedings E+W

14 E+WThe validity of any proceedings of a corporation or of any committee of a corporation shall not be affected by a vacancy amongst the members or by any defect in the appointment or nomination of a member.

15 E+WIn the event of an equality of votes at any meeting of a corporation the chairman of the corporation shall have a second or casting vote.
