SCHEDULE 2 Further Provisions with respect to the Constitution and Proceedings of Associated British Ports and Related Matters
Resignation and vacation of office

A director may resign his office by notice in writing to Associated British Ports.

The office of director is vacated if the director—
a
becomes F1there is substituted “is the subject of a bankruptcy restrictions order F3, an interim bankruptcy restrictions order, a debt relief restrictions order or an interim debt relief restrictions order (under Schedule 4ZB of the Insolvency Act 1986), or in Scotland has his estate sequestrated F2...; or
b
becomes of unsound mind; or
c
is absent from meetings of the directors for a period of more than six months without the permission of the directors.
