section 28(1)(c) of the Corporate Insolvency and Governance Act 2020<authorialNote class="footnote" eId="f00001" marker="1"><p><ref eId="c00003" href="http://www.legislation.gov.uk/id/ukpga/2020/12">2020 c. 12</ref>, as amended by <ref eId="c00004" href="http://www.legislation.gov.uk/id/nisr/2020/320">S.R. 2020 No. 320</ref>.</p></authorialNote>.</p><p>In accordance with section 29(2) of that Act, the Department<authorialNote class="footnote" eId="f00002" marker="2"><p>The Department for the Economy is a relevant authority by virtue of section 28(4) of the Corporate Insolvency and Governance Act 2020.</p></authorialNote> is satisfied that these Regulations are expedient for the purpose of securing that the duties of persons with corporate responsibility, or the liability of those persons to any sanction, take due account of the effects of coronavirus on businesses or on the economy of the United Kingdom.</p><p>In accordance with section 30(1) of that Act, the Department has considered the effect of these Regulations on persons likely to be affected by them.</p><formula name="enactingText"><p>In accordance with section 30(2) of that Act, the Department is satisfied—</p><blockList class="ordered alpha parens" ukl:Name="OrderedList" ukl:Type="alpha" ukl:Decoration="parens"><item><num>(a)</num><p>that the need for the provision made by these Regulations is urgent;</p></item><item><num>(b)</num><p>that the provision made by these Regulations is proportionate to the purpose for which it is made;</p></item><item><num>(c)</num><p>that is it not practicable without legislation to bring about the result intended to be brought about by these Regulations; and</p></item><item><num>(d)</num><p>that neither a Northern Ireland Department nor the Secretary of State can make the same provision in exercise of power under a statutory provision other than section 28 of that Act.</p></item></blockList></formula></preamble><body><hcontainer name="regulation" eId="regulation-1"><heading>Citation and commencement</heading><num>1.</num><content><p>These Regulations may be cited as the Corporate Insolvency and Governance Act 2020 (Coronavirus) (Suspension of Liability for Wrongful Trading) Regulations (Northern Ireland) 2021 and come into operation on 29th April 2021.</p></content></hcontainer><hcontainer name="regulation" eId="regulation-2"><heading>Suspension of liability for wrongful trading</heading><num>2.</num><paragraph eId="regulation-2-1"><num>(1)</num><content><p>In determining for the purposes of Article 178 of the Insolvency (Northern Ireland) Order 1989<authorialNote class="footnote" eId="f00003" marker="3"><p><ref eId="c00005" href="http://www.legislation.gov.uk/id/nisi/1989/2405">S.I. 1989/2405 (N.I.  19)</ref>.</p></authorialNote> (wrongful trading) the contribution (if any) to a company’s assets that it is proper for a person to make, the High Court is to assume that the person is not responsible for any worsening of the financial position of the company or its creditors that occurs during the relevant period.</p></content></paragraph><paragraph eId="regulation-2-2"><num>(2)</num><intro><p>In this regulation the “relevant period” is the period which—</p></intro><level class="para1" eId="regulation-2-2-a"><num>(a)</num><content><p>begins with 1st May 2021, and</p></content></level><level class="para1" eId="regulation-2-2-b"><num>(b)</num><content><p>ends with 30th June 2021.</p></content></level></paragraph><paragraph eId="regulation-2-3"><num>(3)</num><content><p>Paragraph (1) does not apply if at any time during the relevant period the company concerned is excluded from being eligible for the purposes of Part 1A of the Insolvency (Northern Ireland) Order 1989 by any of the paragraphs of Schedule ZA1 to that Order listed in paragraph (4), as they apply for the purposes of this paragraph (see paragraph (5)).</p></content></paragraph><paragraph eId="regulation-2-4"><num>(4)</num><intro><p>The paragraphs of Schedule ZA1 to the Insolvency (Northern Ireland) Order 1989 are—</p></intro><level class="para1" eId="regulation-2-4-a"><num>(a)</num><content><p>paragraph 3 (insurance companies),</p></content></level><level class="para1" eId="regulation-2-4-b"><num>(b)</num><content><p>paragraph 4 (banks),</p></content></level><level class="para1" eId="regulation-2-4-c"><num>(c)</num><content><p>paragraph 5 (electronic money institutions),</p></content></level><level class="para1" eId="regulation-2-4-d"><num>(d)</num><content><p>paragraph 6 (investment banks and investment firms),</p></content></level><level class="para1" eId="regulation-2-4-e"><num>(e)</num><content><p>paragraph 9 (payment institutions),</p></content></level><level class="para1" eId="regulation-2-4-f"><num>(f)</num><content><p>paragraph 10 (operators of payment systems, infrastructure providers etc),</p></content></level><level class="para1" eId="regulation-2-4-g"><num>(g)</num><content><p>paragraph 11 (recognised investment exchanges, clearing houses and CSDs),</p></content></level><level class="para1" eId="regulation-2-4-h"><num>(h)</num><content><p>paragraph 12 (securitisation companies),</p></content></level><level class="para1" eId="regulation-2-4-i"><num>(i)</num><content><p>paragraph 13 (parties to capital market arrangement),</p></content></level><level class="para1" eId="regulation-2-4-j"><num>(j)</num><content><p>paragraph 15 (public-private partnership project companies), and</p></content></level><level class="para1" eId="regulation-2-4-k"><num>(k)</num><content><p>paragraph 18 (overseas companies with corresponding functions).</p></content></level></paragraph><paragraph eId="regulation-2-5"><num>(5)</num><intro><p>In their application for the purposes of paragraph (3)—</p></intro><level class="para1" eId="regulation-2-5-a"><num>(a)</num><intro><p>paragraph 13 of Schedule ZA1 to the Insolvency (Northern Ireland) Order 1989 has effect as if in sub-paragraph (1)—</p></intro><level class="para2" eId="regulation-2-5-a-i"><num>(i)</num><content><p>the words “, on the filing date” were omitted, and</p></content></level><level class="para2" eId="regulation-2-5-a-ii"><num>(ii)</num><content><p>paragraph (b) were omitted;</p></content></level></level><level class="para1" eId="regulation-2-5-b"><num>(b)</num><intro><p>paragraph 15 of Schedule ZA1 to the Insolvency (Northern Ireland) Order 1989 has effect as if in sub-paragraph (1)—</p></intro><level class="para2" eId="regulation-2-5-b-i"><num>(i)</num><content><p>the words “, on the filing date,” were omitted, and</p></content></level><level class="para2" eId="regulation-2-5-b-ii"><num>(ii)</num><content><p>paragraph (b) were omitted, and</p></content></level></level><level class="para1" eId="regulation-2-5-c"><num>(c)</num><content><p>paragraph 18 of that Schedule has effect as if for “paragraph 2”, in both places, there were substituted “paragraphs 2, 7 and 8”.</p></content></level></paragraph><paragraph eId="regulation-2-6"><num>(6)</num><intro><p>Paragraph (1) also does not apply if at any time during the relevant period the company concerned—</p></intro><level class="para1" eId="regulation-2-6-a"><num>(a)</num><content><p>has permission under Part 4A of the Financial Services and Markets Act 2000<authorialNote class="footnote" eId="f00004" marker="4"><p><ref eId="c00006" href="http://www.legislation.gov.uk/id/ukpga/2000/8">2000 c. 8</ref>.</p></authorialNote> to carry on a regulated activity, and</p></content></level><level class="para1" eId="regulation-2-6-b"><num>(b)</num><content><p>is not subject to a requirement imposed under that Act to refrain from holding money for clients.</p></content></level></paragraph><paragraph eId="regulation-2-7"><num>(7)</num><content><p>Subject to paragraph (8), this regulation has effect as if it were contained in Part 5 of the Insolvency (Northern Ireland) Order 1989.</p></content></paragraph><paragraph eId="regulation-2-8"><num>(8)</num><intro><p>This regulation does not have effect in relation to the following bodies (which are bodies to which provisions contained in Part 5 of the Insolvency (Northern Ireland) Order 1989 apply)—</p></intro><level class="para1" eId="regulation-2-8-a"><num>(a)</num><content><p>a registered society within the meaning of the Co-operative and Community Benefit Societies Act (Northern Ireland) 1969<authorialNote class="footnote" eId="f00005" marker="5"><p><ref eId="c00007" href="http://www.legislation.gov.uk/id/apni/1969/24">1969 c. 24 (N.I.)</ref></p></authorialNote> that at any time during the relevant period carries on the regulated activity of effecting or carrying out contracts of insurance;</p></content></level><level class="para1" eId="regulation-2-8-b"><num>(b)</num><content><p>a society that is registered within the meaning of the Friendly Societies Act 1974<authorialNote class="footnote" eId="f00006" marker="6"><p><ref eId="c00008" href="http://www.legislation.gov.uk/id/ukpga/1974/46">1974 c. 46</ref>.</p></authorialNote> and that at any time during the relevant period carries on the regulated activity of effecting or carrying out contracts of insurance;</p></content></level><level class="para1" eId="regulation-2-8-c"><num>(c)</num><content><p>a building society within the meaning of the Building Societies Act 1986<authorialNote class="footnote" eId="f00007" marker="7"><p><ref eId="c00009" href="http://www.legislation.gov.uk/id/ukpga/1986/53">1986 c. 53</ref>.</p></authorialNote>;</p></content></level><level class="para1" eId="regulation-2-8-d"><num>(d)</num><content><p>a credit union within the meaning of the Credit Unions (Northern Ireland) Order 1985<authorialNote class="footnote" eId="f00008" marker="8"><p><ref eId="c00010" href="http://www.legislation.gov.uk/id/nisi/1985/1205">S.I. 1985/1205 (N.I.  12)</ref>.</p></authorialNote>;</p></content></level><level class="para1" eId="regulation-2-8-e"><num>(e)</num><content><p>a society that is incorporated under the Friendly Societies Act 1992<authorialNote class="footnote" eId="f00009" marker="9"><p><ref eId="c00011" href="http://www.legislation.gov.uk/id/ukpga/1992/40">1992 c. 40</ref>.</p></authorialNote>.</p></content></level></paragraph><paragraph eId="regulation-2-9"><num>(9)</num><content><p>In this regulation “regulated activity” has the meaning given by section 22 of the Financial Services and Markets Act 2000, taken with Schedule 2 to that Act and any order under that eId="c00002" href="http://www.legislation.gov.uk/id/nisi/1989/2405">S.I. 1989/2405 (N.I.  19)</ref>): specifically, Article 178 (wrongful trading).</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 3 provides for the suspension of wrongful trading. Paragraph (1) of that regulation provides that, for the purposes of Article 178 of the Insolvency (Northern Ireland) Order 1989, the High Court is not to hold a person liable for any worsening of a company’s financial position during the “relevant period”. Paragraph (2) defines the “relevant period” as the period beginning on 1<sup>st</sup> May 2021 and ending on 30th June 2021. Paragraphs (3) to (6) and (8) specify cases where, (or types of corporate entity in respect of which), the suspension of wrongful trading is not to apply. Accordingly, Article 178 continues to apply in those cases, (or, in respect of those entities), during the relevant period. Paragraph (7) provides that regulation 3 has effect as if it is part of the Insolvency (Northern Ireland) Order 1989.</p></blockContainer><blockContainer ukl:Name="P"><p>No impact assessment has been prepared for these Regulations.
