In particular they make provision for the appointment (regulation 2) and terms of appointment (regulation 3) of the chairman and members of the Authority; for disqualification for appointment (regulation 4); for resignations (regulation 5); for the termination of appointments by the Department (regulation 6) and for the appointment of the deputy chairman (regulation 7). IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/1/2" id="regulation-1-2"><Pnumber>2</Pnumber><P2para><Text>In these Regulations –</Text><UnorderedList Decoration="none" Class="Definition"><ListItem><Para><Text>“<Abbreviation Expansion="Health and Personal Social Services (Quality, Improvement and Regulation) (Northern Ireland) Order 2003 (S.I. 2003/431 (N.I. 9))">the Order</Abbreviation>” means the Health and Personal Social Services (Quality, Improvement and Regulation) (Northern Ireland) Order 2003;</Text></Para></ListItem><ListItem><Para><Text>“<Abbreviation Expansion="the Regulation and Improvement Authority">the Authority</Abbreviation>” means the  <Substitution ChangeId="key-299494054e3fa68438c98325074f75ca-1779456683467" CommentaryRef="key-299494054e3fa68438c98325074f75ca">RQIA</Substitution> ;</Text></Para></ListItem><ListItem><Para><Text> <Addition ChangeId="key-2ab8a11377882456d4e9fb7d32f4232a-1779458295111" CommentaryRef="key-2ab8a11377882456d4e9fb7d32f4232a">“</Addition><Term><Addition ChangeId="key-2ab8a11377882456d4e9fb7d32f4232a-1779458295111" CommentaryRef="key-2ab8a11377882456d4e9fb7d32f4232a">bankruptcy restrictions order</Addition></Term><Addition ChangeId="key-2ab8a11377882456d4e9fb7d32f4232a-1779458295111" CommentaryRef="key-2ab8a11377882456d4e9fb7d32f4232a">” means an order made under Schedule 2A to the Insolvency (Northern Ireland) Order 1989 or Schedule 4A to the Insolvency Act 1986;</Addition> </Text></Para></ListItem><ListItem><Para><Text>“the chairman” means the chairman of the Authority;</Text></Para></ListItem><ListItem><Para><Text> <Addition ChangeId="key-01109b60592f1a88ebcdfb92718a1ba3-1779460129739" CommentaryRef="key-01109b60592f1a88ebcdfb92718a1ba3">“debt relief restrictions order” means an order made under Schedule 2ZB to the Insolvency (Northern Ireland) Order 1989 or Schedule 4ZB to the Insolvency Act 1986;</Addition> </Text></Para></ListItem><ListItem><Para><Text>“member” means a member of the Authority other than the chairman;</Text></Para></ListItem><ListItem><Para><Text>“health service body” means –</Text><OrderedList Decoration="parens" Type="alpha"><ListItem><Para><Text>a health authority, a special health authority, a Primary Care Trust or an <Acronym Expansion="National Health Service">NHS</Acronym> Trust respectively constituted under sections 8, 11 and 16A of the National Health Services Act 1977<FootnoteRef Ref="f00002"/> and section 5 of the National Health Service and Community Care Act 1990<FootnoteRef Ref="f00003"/>;</Text></Para></ListItem><ListItem NumberOverride="aa"><Para><Text> <Addition ChangeId="key-2bf1729f36be608d22154be2c3c31a98-1779449010096" CommentaryRef="key-2bf1729f36be608d22154be2c3c31a98">a clinical commissioning group established under section 14D of the National Health Service Act 2006;</Addition> </Text></Para></ListItem><ListItem NumberOverride="ab"><Para><Text> <Addition ChangeId="key-2bf1729f36be608d22154be2c3c31a98-1779449137978" CommentaryRef="key-2bf1729f36be608d22154be2c3c31a98">the National Health Service Commissioning Board;</Addition> </Text></Para></ListItem><ListItem NumberOverride="ac"><Para><Text> <Addition ChangeId="key-2bf1729f36be608d22154be2c3c31a98-1779449214788" CommentaryRef="key-2bf1729f36be608d22154be2c3c31a98">the National Institute for Health and Care Excellence;</Addition> </Text></Para></ListItem><ListItem NumberOverride="ad"><Para><Text> <Addition ChangeId="key-2bf1729f36be608d22154be2c3c31a98-1779449250766" CommentaryRef="key-2bf1729f36be608d22154be2c3c31a98">the Health and Social Care Information Centre;</Addition> </Text></Para></ListItem><ListItem NumberOverride="ae"><Para><Text> <Addition ChangeId="key-e3c10596771c01f51ceab732e81561ee-1779882723071" CommentaryRef="key-e3c10596771c01f51ceab732e81561ee">an integrated care board established under Chapter A3 of Part 2 of the National Health Service Act 2006</Addition><Addition ChangeId="key-e3c10596771c01f51ceab732e81561ee-1779882723071" CommentaryRef="key-e3c10596771c01f51ceab732e81561ee">;</Addition> </Text></Para></ListItem><ListItem NumberOverride="b"><Para><Text>a Health Board, a Special Health Board, the Common Services Agency for the Scottish Health Service or an NHS Trust respectively constituted under sections 2, 10 and 12A of the National Health Service (Scotland) Act 1978<FootnoteRef Ref="f00004"/>;</Text></Para></ListItem><ListItem NumberOverride="c"><Para><Text>a Dental Practice Board or a Scottish Dental Practice Board;</Text></Para></ListItem><ListItem NumberOverride="d"><Para><Text>the Public Health Laboratory Service Board; and</Text></Para></ListItem><ListItem NumberOverride="e"><Para><Text>the National Radiological Protection Board established by section 1 of the Radiological Protection Act 1970<FootnoteRef Ref="f00005"/>;</Text></Para></ListItem></OrderedList></Para></ListItem><ListItem><Para><Text>“health and social services body” means –</Text><OrderedList Decoration="parens" Type="alpha"><ListItem><Para><Text>a Health and Social Services Board;</Text></Para></ListItem><ListItem><Para><Text>an <Acronym Expansion="Health and Social Services Trust">HSS</Acronym> Trust;</Text></Para></ListItem><ListItem><Para><Text>the Agency; or</Text></Para></ListItem><ListItem><Para><Text>a special agency.</Text></Para></ListItem></OrderedList></Para></ListItem></UnorderedList></P2para></P2></P1para></P1></P1group><Pblock DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/crossheading/the-chairman-and-members" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/crossheading/the-chairman-and-members" RestrictStartDate="2024-12-16"><Title>The Chairman and Members</Title><P1group RestrictExtent="N.I." RestrictStartDate="2004-04-01"><Title>Appointments</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/2" id="regulation-2"><Pnumber><CommentaryRef Ref="key-2abd8539081bb2911d95cf00634f0599"/>2</Pnumber><P1para><Text>The Authority shall consist of a chairman and not more than 12 other members appointed by the Department.</Text></P1para></P1></P1group><P1group RestrictExtent="N.I." RestrictStartDate="2004-04-01"><Title>Terms of appointment</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/3" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/3" id="regulation-3"><Pnumber><CommentaryRef Ref="key-e8282872294e73342a01a8fd8a296b88"/>3</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/3/1" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/3/1" id="regulation-3-1"><Pnumber>1</Pnumber><P2para><Text>The chairman shall be appointed for a period not exceeding 4 years.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/3/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/3/2" id="regulation-3-2"><Pnumber>2</Pnumber><P2para><Text>The members of the Authority shall be appointed for a period not exceeding 4 years.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/3/3" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/3/3" id="regulation-3-3"><Pnumber>3</Pnumber><P2para><Text>Members may be appointed for periods of different duration.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/3/4" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/3/4" id="regulation-3-4"><Pnumber>4</Pnumber><P2para><Text>The period of appointment of the chairman and of any particular member shall be determined by the Department.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/3/5" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/3/5" id="regulation-3-5"><Pnumber>5</Pnumber><P2para><Text>Subject to Regulation 4 the chairman or a member of the Authority may, on the termination of the period of tenure of office, be eligible for re-appointment for such further period, not exceeding 4 years, as the Department may in any particular case determine.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/3/6" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/3/6" id="regulation-3-6"><Pnumber>6</Pnumber><P2para><Text>The Department may instead of re-appointing the chairman or a member on the expiration of their term of office, extend their appointment for such further period as may appear reasonable in the particular circumstances but the period by which an appointment is extended must not exceed 4 years.</Text></P2para></P2></P1para></P1></P1group><P1group RestrictExtent="N.I." RestrictStartDate="2024-12-16"><Title>Disqualification for appointment</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4" id="regulation-4"><Pnumber><CommentaryRef Ref="key-6bc84762e3d23e364b38baa39642e153"/>4</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1" id="regulation-4-1"><Pnumber>1</Pnumber><P2para><Text>The following persons are disqualified for appointment as chairman or as a member of the Authority –</Text><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/a" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/a" id="regulation-4-1-a"><Pnumber>a</Pnumber><P3para><Text>a person who within 5 years of the day his appointment would otherwise have taken effect has been convicted whether in the United Kingdom or elsewhere of any offence and has had passed on him a sentence of imprisonment (whether suspended or not) for a period of not less than 3 months without the option of a fine;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/b" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/b" id="regulation-4-1-b"><Pnumber><Substitution ChangeId="key-173e256506109a4e20e209158d90c159-1779446621574" CommentaryRef="key-173e256506109a4e20e209158d90c159">b</Substitution></Pnumber><P3para><Text><Substitution ChangeId="key-173e256506109a4e20e209158d90c159-1779446621574" CommentaryRef="key-173e256506109a4e20e209158d90c159">a person who is the subject of a bankruptcy restrictions order</Substitution></Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/ba" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/ba" id="regulation-4-1-ba"><Pnumber><Addition ChangeId="key-23dfbdd93b51ad59ce1576b17e587b24-1779460871219" CommentaryRef="key-23dfbdd93b51ad59ce1576b17e587b24">ba</Addition></Pnumber><P3para><Text><Addition ChangeId="key-23dfbdd93b51ad59ce1576b17e587b24-1779460871219" CommentaryRef="key-23dfbdd93b51ad59ce1576b17e587b24">a person who is the subject of a debt relief restrictions order;</Addition></Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/c" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/c" id="regulation-4-1-c"><Pnumber>c</Pnumber><P3para><Text>a person who has been dismissed, otherwise than by reason of redundancy, from any paid employment with a health service body or a health and social services body;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/d" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/d" id="regulation-4-1-d"><Pnumber>d</Pnumber><P3para><Text>a person whose tenure of office as chairman or as a member of a committee or sub-committee or a director of any public body, health service body <Addition ChangeId="key-e04f8c4c2e3eec57dab054092723ccf8-1779455885326" CommentaryRef="key-e04f8c4c2e3eec57dab054092723ccf8">(other than a clinical commissioning group)</Addition>  or health and social services body <Addition ChangeId="key-6fe375538431de385c23049c368ebbb2-1779455947471" CommentaryRef="key-6fe375538431de385c23049c368ebbb2">, or as the chair or a member of the governing body of IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/d/i" id="regulation-4-1-d-i"><Pnumber>i</Pnumber><P4para><Text>it was not in the interests of, or conducive to the good management of, that body, that he should continue to hold office;</Text></P4para></P4><P4 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/d/ii" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/d/ii" id="regulation-4-1-d-ii"><Pnumber>ii</Pnumber><P4para><Text>it was not in the interests of the Health Service or the Health and Personal Social Services that he should continue to hold office;</Text></P4para></P4><P4 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/d/iii" id="regulation-4-1-g-i"><Pnumber>i</Pnumber><P4para><Text>whose registration has been suspended and the suspension has not been terminated; or</Text></P4para></P4><P4 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/g/ii" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/g/ii" id="regulation-4-1-g-ii"><Pnumber>ii</Pnumber><P4para><Text>whose name has been removed from the register and not restored.</Text></P4para></P4></P3para></P3><P3 (list of individuals considered unsuitable to work with children), section 81 of the Care Standards Act 2000 (list of individuals considered unsuitable to work with vulnerable adults), Article 1 of the Protection of Children (Scotland) Act 2003<FootnoteRef Ref="f00014"/> or a list kept by the Department under Article 3 or 35 of the Protection of Children and Vulnerable Adults (Northern Ireland) Order 2003<FootnoteRef Ref="f00015"/>;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/i" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/i" id="regulation-4-1-i"><Pnumber>i</Pnumber><P3para><Text>any employed or self-employed health care professional or employees of health care professionals;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/j" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/j" id="regulation-4-1-j"><Pnumber>j</Pnumber><P3para><Text>a person whose registration as a health care professional has been withdrawn or suspended;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/k" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/k" id="regulation-4-1-k"><Pnumber>k</Pnumber><P3para><Text>he holds a paid appointment or office with a trade union which represents the interests of members who are employed by a health service body or a health and social services body;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/1/l" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/1/l" id="regulation-4-1-l"><Pnumber>l</Pnumber><P3para><Text>any person who has financial or related interests which prejudice the exercise of his duties.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/2" id="regulation-4-2"><Pnumber>2</Pnumber><P2para><Text>For the purposes of paragraph (1)(a) –</Text><P3 offence in respect of conduct which, if it had taken place in any part of the United Kingdom, would not have constituted an offence under the law in force in that part of the United the purposes of paragraph (1)(c) “dismissal” excludes dismissal which is established to have been unfair in industrial tribunal proceedings.</Text></P2para></P2><P2 id="regulation-4-6"><Pnumber>6</Pnumber><P2para><Text>Subject to paragraph (7), a person who is disqualified under paragraph (1)(c) may, after the expiry of 2 years beginning on the date on which he was dismissed, apply in writing to the Department to remove that disqualification, and the Department may direct that that disqualification shall cease.</Text></P2para></P2><P2 id="regulation-4-8-d"><Pnumber>d</Pnumber><P3para><Text>an ophthalmic optician, other than a body corporate enrolled in the list kept under section 9 of the Opticians Act 1989<FootnoteRef Ref="f00017"/>;</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/4/8/e" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/4/8/e" 2024</Addition></Text></P3para></P3></P2para></P2></P1para></P1></P1group><P1group RestrictExtent="N.I." RestrictStartDate="2004-04-01"><Title>Resignations</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/5" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/5" id="regulation-5"><Pnumber><CommentaryRef Ref="key-091f81e5c083a446942c3dad8ae1ef3c"/>5</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/5/1" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/5/1" id="regulation-5-1"><Pnumber>1</Pnumber><P2para><Text>The chairman or a member of the Authority may resign his office at any time during his term of office by giving not less than 30 days notice in writing to the Department of his intention to do so.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/5/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/5/2" id="regulation-5-2"><Pnumber>2</Pnumber><P2para><Text>A person who resigns as chairman of the Authority may, if the Department consents, continue to serve as a member for any part of the period of his appointment which remains when his resignation as chairman takes effect.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/5/3" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/5/3" id="regulation-5-3"><Pnumber>3</Pnumber><P2para><Text>A person who, on his resignation as chairman, seeks to continue to serve as a member shall inform the Department in writing of his wish to do so when he submits his resignation as chairman.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/5/4" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/5/4" id="regulation-5-4"><Pnumber>4</Pnumber><P2para><Text>A person who fails to comply with the requirement of paragraph (3) shall cease to be a member of the Authority when his term of office as chairman terminates.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/5/5" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/5/5" id="regulation-5-5"><Pnumber>5</Pnumber><P2para><Text>In the case of a member who during his term of office is appointed chairman of the Authority, the terms on which he was appointed a member shall cease to apply on the day on which his appointment as chairman takes effect.</Text></P2para></P2></P1para></P1></P1group><P1group RestrictExtent="N.I." RestrictStartDate="2016-03-07"><Title>Termination of tenure of office of chairman and members</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6" id="regulation-6"><Pnumber><CommentaryRef Ref="key-020fa5a8a9c0faed5ef779790a52950a"/>6</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/1" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/1" id="regulation-6-1"><Pnumber>1</Pnumber><P2para><Text>The Department –</Text><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/1/a" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/1/a" id="regulation-6-1-a"><Pnumber>a</Pnumber><P3para><Text>shall terminate the appointment of a person as chairman or as a member of the Authority where the person –</Text><P4 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/1/a/i" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/1/a/i" id="regulation-6-1-a-i"><Pnumber>i</Pnumber><P4para><Text>becomes disqualified for appointment under regulation 4; or</Text></P4para></P4><P4 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/1/a/ii" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/1/a/ii" id="regulation-6-1-a-ii"><Pnumber>ii</Pnumber><P4para><Text>fails without the consent of the Authority to attend 3 consecutive meetings; and</Text></P4para></P4></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/1/b" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/1/b" id="regulation-6-1-b"><Pnumber>b</Pnumber><P3para><Text>may terminate the appointment of a person as chairman or as a member of the Authority where the person –</Text><P4 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/1/b/i" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/1/b/i" id="regulation-6-1-b-i"><Pnumber>i</Pnumber><P4para><Text>is incapable of carrying out his functions for reasons of ill health; or</Text></P4para></P4><P4 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/1/b/ii" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/1/b/ii" id="regulation-6-1-b-ii"><Pnumber>ii</Pnumber><P4para><Text>has failed to comply with regulation 10 (exclusion on account of pecuniary interest).</Text></P4para></P4></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/2" id="regulation-6-2"><Pnumber>2</Pnumber><P2para><Text>Paragraph (1)(a)(ii) shall not apply where the Department is satisfied that the person had good cause for not attending the meetings and that, once the circumstances which caused him to miss the meetings are removed, he can and will attend the meetings of the Authority.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/3" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/3" id="regulation-6-3"><Pnumber>3</Pnumber><P2para><Text>Where the Department decides to terminate an appointment under paragraph (1), it shall forthwith give the person concerned notice in writing of the termination of his appointment and of the reasons for his decision.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/4" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/4" id="regulation-6-4"><Pnumber>4</Pnumber><P2para><Text>Where the Department is of the opinion that it is not in the interests of, or conducive to the good management of the Authority or any of its committees that the chairman or member should continue to hold office, it may forthwith terminate his appointment by giving him notice in writing to that effect.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/6/5" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/6/5" id="regulation-6-5"><Pnumber>5</Pnumber><P2para><Text>Where a person has been appointed chairman or a member and it comes to the notice of the Department that at the time of the appointment he was disqualified for appointment under regulation 4, it shall forthwith declare that the person in question was not duly appointed and notify him in writing to that effect; RestrictStartDate="2004-04-01"><Title>Appointment of committees and sub-committees</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/8" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/8" id="regulation-8"><Pnumber><CommentaryRef Ref="key-4595de19d1429b838dcb22fb33d5f4de"/>8</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/8/1" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/8/1" id="regulation-8-1"><Pnumber>1</Pnumber><P2para><Text>Subject to any directions given to it by the Department, the Authority may and if so directed by the Department, shall appoint committees of the Authority.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/8/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/8/2" id="regulation-8-2"><Pnumber>2</Pnumber><P2para><Text>A committee appointed by the Authority may, subject to such directions as may be given by the Department or the Authority, appoint sub-committees.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/8/3" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/8/3" id="regulation-8-3"><Pnumber>3</Pnumber><P2para><Text>Committees and sub-committees appointed under this regulation may consist of such persons, whether or not members of the Authority, as the Authority or the committee making the appointment may determine.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/8/4" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/8/4" id="regulation-8-4"><Pnumber>4</Pnumber><P2para><Text>Regulations 4 and 6 shall apply to appointments to committees and sub-committees and to the termination of those appointments as they apply to appointments to the Authority and to the termination of those appointments.</Text></P2para></P2></P1para></P1></P1group><P1group RestrictExtent="N.I." RestrictStartDate="2004-04-01"><Title>Meetings and proceedings</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/9" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/9" id="regulation-9"><Pnumber><CommentaryRef Ref="key-0ef874c9b2fb7ef83f83f59c7b408e74"/>9</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/9/1" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/9/1" id="regulation-9-1"><Pnumber>1</Pnumber><P2para><Text>The meetings and proceedings of the Authority shall be conducted in accordance with the provisions set out in the Schedule and with Standing Orders made under paragraph (2).</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/9/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/9/2" id="regulation-9-2"><Pnumber>2</Pnumber><P2para><Text>Subject to those provisions, to regulation 10 (exclusion on account of pecuniary interest) and to such directions as may be given by the Department, the Authority shall make, and may vary or revoke, Standing Orders for the regulation of its proceedings and business, including provision for the suspension of the Standing Orders or any of them.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/9/3" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/9/3" id="regulation-9-3"><Pnumber>3</Pnumber><P2para><Text>The proceedings of the Authority shall not be invalidated by any defect in the appointment of a member.</Text></P2para></P2></P1para></P1></P1group><P1group RestrictExtent="N.I." RestrictStartDate="2020-01-13"><Title>Disclosure of pecuniary interest and exclusion of chairman and members in proceedings on account of pecuniary interest</Title><P1 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10" id="regulation-10"><Pnumber><CommentaryRef Ref="key-3a052606f7d5fb7b4126b10f81598f9f"/>10</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/1" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/1" id="regulation-10-1"><Pnumber>1</Pnumber><P2para><Text>Subject to the following provisions of this regulation, if the chairman or any member of the Authority has a pecuniary interest, direct or indirect, in any contract, proposed contract or other matter and is present at any meeting of the Authority at which the contract, proposed contract or other matter is the subject of consideration, he shall at the meeting and as soon as practicable after its meeting, disclose his interest and shall not take part in the consideration or discussion of the contract or other matter or vote on any question with respect to it.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/2" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/2" id="regulation-10-2"><Pnumber>2</Pnumber><P2para><Text>The Authority may, by Standing Orders made under regulation 9(2), provide for the exclusion of the chairman or any member of the Authority from a meeting of the Authority while any contract, proposed contract or other matter in which he has a pecuniary interest, direct or indirect, is under consideration.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/3" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/3" id="regulation-10-3"><Pnumber>3</Pnumber><P2para><Text>Any remuneration, compensation or allowances payable to the chairman or a member by virtue of paragraph 6 of Schedule 1 to the Order (Remuneration and allowances) shall not be treated as a pecuniary interest for the purpose of this regulation.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/4" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/4" id="regulation-10-4"><Pnumber>4</Pnumber><P2para><Text>Subject to paragraphs (2) and (5), the chairman or a member shall be treated for the purpose of this regulation as having an indirect pecuniary interest in a contract, proposed contract or other matter if –</Text><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/4/a" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/4/a" id="regulation-10-4-a"><Pnumber>a</Pnumber><P3para><Text>he, or a nominee of his, is a director of a company or other body, not being a public body, with which the contract was made or is proposed to be made or which has a direct pecuniary interest in the other matter under consideration; or</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/4/b" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/4/b" id="regulation-10-4-b"><Pnumber>b</Pnumber><P3para><Text>he is a partner of, or is in the employment of, a person with whom the contract was made or who has a direct pecuniary interest in the other matter under consideration;</Text></P3para></P3><Text>and in the case of married persons <Addition ChangeId="key-98b29d5e2ad753a9138468a2f948410c-1779878361718" CommentaryRef="key-98b29d5e2ad753a9138468a2f948410c">or civil partners</Addition>  living together the interest of one spouse <Addition ChangeId="key-40d1d33f8b4ea00aeada5a6797bdc14a-1779878423924" CommentaryRef="key-40d1d33f8b4ea00aeada5a6797bdc14a">or civil partner</Addition>  shall, if known to the other, be deemed for the purpose of this regulation to be also an interest of the other.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/5" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/5" id="regulation-10-5"><Pnumber>5</Pnumber><P2para><Text>Neither the chairman nor a member shall be treated as having a pecuniary interest in any contract, proposed contract or other matter by reason only –</Text><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/5/a" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/5/a" id="regulation-10-5-a"><Pnumber>a</Pnumber><P3para><Text>of his membership of a company or other body if he has no beneficial interest in any securities of that company or other body; or</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/5/b" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/5/b" id="regulation-10-5-b"><Pnumber>b</Pnumber><P3para><Text>of an interest in any company, body or person with which he is connected as mentioned in paragraph (4) which is so remote or insignificant that it cannot reasonably be regarded as likely to influence him in consideration or discussion of, or in voting on, any question with respect to that contract, proposed contract or other matter.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/6" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/6" id="regulation-10-6"><Pnumber>6</Pnumber><P2para><Text>Where the chairman or a member –</Text><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/6/a" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/6/a" id="regulation-10-6-a"><Pnumber>a</Pnumber><P3para><Text>has an indirect pecuniary interest in a contract, proposed contract or other matter by reason only of a beneficial interest in securities of a company or other body; and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/6/b" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/6/b" id="regulation-10-6-b"><Pnumber>b</Pnumber><P3para><Text>the total nominal value of those securities does not exceed £5,000 or one-hundredth of the total nominal value of the issued share capital of the company or body, whichever is the lesser; and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/6/c" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/6/c" id="regulation-10-6-c"><Pnumber>c</Pnumber><P3para><Text>if the share capital is of more than one class, the total nominal value of shares of any one class in which he has a beneficial interest does not exceed one-hundredth of the total issued capital of that class,</Text></P3para></P3><Text>this regulation shall not prohibit him from taking part in the consideration or discussion of the contract or other matter, or from voting on any question with respect to it, without prejudice however to his duty to disclose his interest.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/7" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/7" id="regulation-10-7"><Pnumber>7</Pnumber><P2para><Text>This regulation applies to any committee or sub-committee of the Authority as it applies to the Authority and applies to any member of any such committee or sub-committee (whether or not he is also a member of the Authority) as it applies to a member of the Authority.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nisr/2004/37/regulation/10/8" IdURI="http://www.legislation.gov.uk/id/nisr/2004/37/regulation/10/8" id="regulation-10-8"><Pnumber>8</Pnumber><P2para><Text>In this regulation –</Text><UnorderedList Decoration="none"><ListItem><Para><Text>“public body” includes –</Text><OrderedList Decoration="parens" Type="alpha"><ListItem><Para><Text>any body established for the purpose of carrying on under national ownership, any industry or undertaking or part of any industry or undertaking;</Text></Para></ListItem><ListItem><Para><Text>the governing body of any university, university college or college school or hall of a university; and</Text></Para></ListItem><ListItem><Para><Text>the National Trust for Places of Historic Interest or Natural Beauty incorporated by the National Trust Act 1907<FootnoteRef Ref="f00021"/>;</Text></Para></ListItem></OrderedList></Para></ListItem><ListItem><Para><Text>“securities” means –</Text><OrderedList Decoration="parens" Type="alpha"><ListItem><Para><Text>shares or debentures, whether or not constituting a charge on the assets of a company or other body, or rights or interests in any share or such debentures; <Text>If a requisition for a meeting, signed by at least 5 other members, is presented to the chairman, and the chairman either –</Text>

<Text>without so refusing, does not, within 21 days after the requisition has been presented to him, call a meeting,</Text>

<Text>those members may forthwith call a meeting.</Text>

<Text>Before each meeting of the Authority, a notice of the meeting which –</Text>

<Text>specifies the principal business proposed to be transacted at it; and</Text>
</P3para>
</P3>

<Text>is signed by the chairman or by an officer of the Authority authorised by the chairman to sign it on his behalf,</Text>
</P3para>
</P3>
<Text>shall be served on each member at least 7 clear days before the day of the meeting.</Text>
</P2para>
</P2>

<Text>The proceedings of any meeting shall not be invalidated by a failure to deliver such notice to any member.</Text>

In particular they make provision for the appointment (regulation 2) and terms of appointment (regulation 3) of the chairman and members of the Authority; for disqualification for appointment (regulation 4); for resignations (regulation 5); for the termination of appointments by the Department (regulation 6) and for the appointment of the deputy chairman (regulation 7). Provision is also made for the establishment of committees and sub-committees (regulation 8), the conduct of meetings (regulation 9) and the exclusion from meetings of those with a pecuniary interest in matters under discussion (regulation 10).</Text></P><P><Text>These Regulations do not impose a charge on businesses.</Text></P></ExplanatoryNotes>
