Regulations:</p></formula></preamble><body eId="body"><hcontainer name="regulation" eId="regulation-1"><heading>Citation, commencement and interpretation</heading><num>1.</num><paragraph eId="regulation-1-1"><num>(1)</num><content><p>These Regulations may be cited as the Occupational Pension Schemes (Winding Up Notices and Reports, <abbr title="et cetera" xml:lang="la">etc.</abbr>) Regulations (Northern Ireland) 2002 and shall come into operation on 1st April 2002.</p></content></paragraph><paragraph eId="regulation-1-2"><num>(2)</num><content><p>In these Regulations—</p><blockList class="unordered none" ukl:Name="UnorderedList" ukl:Decoration="none"><item><p>“member”, “deferred member” and “pensioner member” have the meanings given in Article 121(1)<authorialNote class="footnote" eId="f00004" marker="4"><p>Definition of “member” was amended by paragraph 50(2) of Schedule 9 to the Welfare Reform and Pensions (Northern Ireland) Order 1999 (<ref eId="c00006" href="http://www.legislation.gov.uk/id/nisi/1999/3147">S.I. 1999/3147 (N.I. 11)</ref>); definition of “pensioner member” was amended by paragraph 5(3) of Schedule 5 to the Child eId="regulation-1-3"><num>(3)</num><content><p>Subject to paragraph (4), the Interpretation Act (Northern Ireland) 1954<authorialNote class="footnote" eId="f00006" marker="6"><p><ref eId="c00010" href="http://www.legislation.gov.uk/id/apni/1954/33">1954 c. 33 (N.I.)</ref></p></authorialNote> shall apply to these Regulations as it applies to an Act of the Assembly.</p></content></paragraph><paragraph eId="regulation-1-4"><num>(4)</num><content><p>For the purposes of these Regulations and notwithstanding section 39(2) of the Interpretation Act (Northern Ireland) 1954, where a period of time is expressed to begin on, or to be reckoned from, a particular day, that day shall be included in the period.</p></content></paragraph><paragraph eId="regulation-1-5"><num>(5)</num><content><p>In these Regulations any reference to a numbered Article is a reference to the Article of the Pensions (Northern Ireland) Order 1995 bearing that number.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-2"><heading>Schemes within Article 22: appointment of independent trustee</heading><num>2.</num><paragraph eId="regulation-2-1"><num>(1)</num><intro><p>A person who is subject to the duty under Article 23(1)(<i>b</i>) (duty of insolvency practitioner or official receiver to appoint an independent trustee of a trust scheme where he is not satisfied that at least one of the scheme’s trustees is an independent person) shall perform that duty before the end of the period of 3 months beginning with—</p></intro><level class="para1" eId="regulation-2-1-a"><num>(a)</num><content><p>the date on which the person first becomes aware that Article 22<authorialNote class="footnote" eId="f00007" marker="7"><p>Article 22 was amended by section 43(1) of the Child Support, Pensions and Social Security Act (Northern Ireland) 2000</p></authorialNote> applies in relation to the scheme in question, or</p></content></level><level class="para1" eId="regulation-2-1-b"><num>(b)</num><content><p>the date on which the duty arises,</p></content></level><wrapUp><p>whichever is the later.</p></wrapUp></paragraph><paragraph eId="regulation-2-2"><num>(2)</num><content><p>Article 26A(1)<authorialNote class="footnote" eId="f00008" marker="8"><p>Article 26A was inserted by section 43(2) of the Child Support, Pensions and Social Security Act (Northern Ireland) 2000</p></authorialNote> (trustees' duty to give notice to the Authority as soon as reasonably practicable after it first appears to any of them as mentioned in Article 26A(1)(<i>a</i>) and (<i>b</i>) that the scheme appears to be without an independent trustee) shall have effect as if for “as soon as reasonably practicable” there were substituted “within the period of one month”.</p></content></paragraph><paragraph eId="regulation-2-3"><num>(3)</num><content><p>Article 26A(2) (duty of every person involved in the administration of a scheme to give notice to the Authority as soon as reasonably practicable after it first appears to him that the scheme is without trustees) shall have effect as if for “as soon as reasonably practicable” there were substituted “within the period of one month”.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-3"><heading>Other schemes: notice to the Authority that Article 26B applies</heading><num>3.</num><paragraph eId="regulation-3-1"><num>(1)</num><content><p>Article 26B(1) (duty of every person involved in the administration of a scheme to give notice to the Authority as soon as reasonably practicable after it first appears to him as mentioned in Article 26B(1)(<i>a</i>) and (<i>b</i>) that the case falls within Article 26B(1)(<i>a</i>) to (<i>d</i>)) shall have effect as if for “as soon as reasonably practicable” there were substituted “within the period of one month”.</p></content></paragraph><paragraph eId="regulation-3-2"><num>(2)</num><content><p>The period prescribed for the purposes of Article 26B(3)(<i>b</i>) (the period during which no person is required to give notice to the Authority that the case falls within Article 26B(1)(<i>a</i>) to (<i>d</i>)) is the period of 3 months beginning with the relevant date.</p></content></paragraph><paragraph eId="regulation-3-3"><num>(3)</num><content><p>In paragraph (2) “the relevant date” means the date on which the event occurred by virtue of which the scheme in question became a scheme in relation to which Article 22 would apply but for regulations under Article 115<authorialNote class="footnote" eId="f00009" marker="9"><p><i>See</i> regulation 5 of <ref eId="c00011" href="http://www.legislation.gov.uk/id/nisr/1997/99">S.R. 1997 No. 99</ref></p></authorialNote>.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-4"><heading>Persons exempted from duty to give notices to the Authority under Article 26A or 26B</heading><num>4.</num><intro><p>In Article 26C (construction of Articles 26A and 26B) references, in relation to a scheme, to a person involved in the administration of the scheme do not include any person whose only involvement with the scheme is in connection with—</p></intro><level class="para1" eId="regulation-4-a"><num>(a)</num><content><p>underwriting policies of insurance that are specifically allocated to the provision of benefits for individual members or other persons with rights to benefits under the scheme or annuity contracts, or</p></content></level><level class="para1" eId="regulation-4-b"><num>(b)</num><content><p>providing advice about the management of investments.</p></content></level></hcontainer><hcontainer name="regulation" eId="regulation-5"><heading>Schemes disapplied from Articles 26A and 26B</heading><num>5.</num><paragraph eId="regulation-5-1"><num>(1)</num><content><p>Article 26A (information to be given to the Authority in relation to a scheme to which Article 22 applies) does not apply to any scheme within paragraph (2)(<i>a</i>) or (<i>b</i>), and Article 26B does not apply to any scheme within paragraph (2).</p></content></paragraph><paragraph eId="regulation-5-2"><num>(2)</num><intro><p>A scheme is within this paragraph if it is—</p></intro><level class="para1" eId="regulation-5-2-a"><num>(a)</num><content><p>a scheme of which there is only one member;</p></content></level><level class="para1" eId="regulation-5-2-b"><num>(b)</num><content><p>a small self-administered scheme;</p></content></level><level class="para1" eId="regulation-5-2-c"><num>(c)</num><content><p>a scheme of which each member is a trustee, or</p></content></level><level class="para1" eId="regulation-5-2-d"><num>(d)</num><intro><p>a scheme—</p></intro><level class="para2" eId="regulation-5-2-d-i"><num>(i)</num><content><p>the only benefits provided by which are death benefits, and</p></content></level><level class="para2" eId="regulation-5-2-d-ii"><num>(ii)</num><content><p>under the provisions of which no member has accrued rights.</p></content></level></level></paragraph><paragraph eId="regulation-5-3"><num>(3)</num><content><p>In this regulation “member” means a deferred member or a pensioner member.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-6"><heading>Penalties for failing to give notice to the Authority under Article 26A or 26B</heading><num>6.</num><paragraph eId="regulation-6-1"><num>(1)</num><content><p>This regulation applies for the purpose of prescribing the meaning of “the maximum amount” in Article 10 (civil penalties) in cases where that Article applies to any person by virtue of Article 26A(7) or (8) or 26B(4) (failure to give certain notices to the Authority).</p></content></paragraph><paragraph eId="regulation-6-2"><num>(2)</num><content><p>Where that person is an individual, the maximum amount is £1,000.</p></content></paragraph><paragraph eId="regulation-6-3"><num>(3)</num><content><p>Where that person is not an individual, the maximum amount is £10,000.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-7"><heading>Applications to the Authority to modify schemes to secure winding up</heading><num>7.</num><paragraph eId="regulation-7-1"><num>(1)</num><content><p>This regulation applies where an application is made to the Authority under Article 71A (modification by Authority to secure winding up) to make an order modifying a scheme with a view to ensuring that it is properly wound up.</p></content></paragraph><paragraph eId="regulation-7-2"><num>(2)</num><intro><p>The application shall—</p></intro><level class="para1" eId="regulation-7-2-a"><num>(a)</num><content><p>set out the modification requested;</p></content></level><level class="para1" eId="regulation-7-2-b"><num>(b)</num><intro><p>specify the effects, if any, which the modification would or might have—</p></intro><level class="para2" eId="regulation-7-2-b-i"><num>(i)</num><content><p>on benefits under the scheme that are in payment at the time of the application, and</p></content></level><level class="para2" eId="regulation-7-2-b-ii"><num>(ii)</num><content><p>on benefits under it which are or may be payable at a later time;</p></content></level></level><level class="para1" eId="regulation-7-2-c"><num>(c)</num><content><p>specify the reason for requesting the modification;</p></content></level><level class="para1" eId="regulation-7-2-d"><num>(d)</num><content><p>specify whether any previous application has been made to a court or to the Authority for an order to make the modification requested by the application or any similar modification;</p></content></level><level class="para1" eId="regulation-7-2-e"><num>(e)</num><content><p>confirm that at the time the application is made the employer in relation to the scheme is subject to an insolvency procedure (within the meaning given by Article 71A(8));</p></content></level><level class="para1" eId="regulation-7-2-f"><num>(f)</num><content><p>specify whether the modification would reduce the value of the assets, if any, which might otherwise be distributed to that employer on the winding up, and</p></content></level><level class="para1" eId="regulation-7-2-g"><num>(g)</num><content><p>contain a statement that the notices required by paragraph (3) have been given.</p></content></level></paragraph><paragraph eId="regulation-7-3"><num>(3)</num><intro><p>Before making the application the trustees or managers of the scheme shall give notice in writing that the application is being made—</p></intro><level class="para1" eId="regulation-7-3-a"><num>(a)</num><content><p>to all members of the scheme in respect of whom they have a current address, and</p></content></level><level class="para1" eId="regulation-7-3-b"><num>(b)</num><content><p>if the modification would reduce the value of the assets which might otherwise be distributed to the employer on the winding up, to the person acting as an insolvency practitioner in relation to the employer or, as the case may be, the official receiver,</p></content></level><wrapUp><p>and the references in sub-paragraph (<i>b</i>) to “acting as an insolvency practitioner” and “official receiver” shall be construed in accordance with Articles 3 and 2 of the Insolvency (Northern Ireland) Order 1989<authorialNote class="footnote" eId="f00010" marker="10"><p><ref eId="c00012" href="http://www.legislation.gov.uk/id/nisi/1989/2405">S.I. 1989/2405 (N.I. 19)</ref></p></authorialNote>.</p></wrapUp></paragraph><paragraph eId="regulation-7-4"><num>(4)</num><intro><p>A notice under paragraph (3) shall—</p></intro><level class="para1" eId="regulation-7-4-a"><num>(a)</num><content><p>in the case of a notice under paragraph (3)(<i>a</i>), specify the information referred to in paragraph (2)(<i>a</i>), (<i>b</i>), (<i>c</i>) and (<i>f</i>);</p></content></level><level class="para1" eId="regulation-7-4-b"><num>(b)</num><content><p>in the case of a notice under paragraph (3)(<i>b</i>), specify the information referred to in paragraph (2)(<i>a</i>) to (<i>d</i>) and (<i>f</i>);</p></content></level><level class="para1" eId="regulation-7-4-c"><num>(c)</num><content><p>specify the date on which it is given, and</p></content></level><level class="para1" eId="regulation-7-4-d"><num>(d)</num><content><p>contain a statement about the recipient’s rights under paragraph (5).</p></content></level></paragraph><paragraph eId="regulation-7-5"><num>(5)</num><content><p>A member of the scheme in respect of which the application is made or a person to whom a notice is to be given under paragraph (3)(<i>b</i>) may make representations to the Authority about the modification requested by the application during the period of one month beginning with the date specified under paragraph (4)(<i>c</i>).</p></content></paragraph><paragraph eId="regulation-7-6"><num>(6)</num><content><p>Before determining the application the Authority shall consider any representations duly made to them under paragraph (5).</p></content></paragraph><paragraph eId="regulation-7-7"><num>(7)</num><intro><p>The application shall be accompanied by the following documents—</p></intro><level class="para1" eId="regulation-7-7-a"><num>(a)</num><intro><p>a copy of—</p></intro><level class="para2" eId="regulation-7-7-a-i"><num>(i)</num><content><p>the documents constituting the scheme or, if any of those documents have been consolidated, the consolidated version of them;</p></content></level><level class="para2" eId="regulation-7-7-a-ii"><num>(ii)</num><content><p>if the documents mentioned in head (i) do not set out the rules of the scheme, those rules, and</p></content></level><level class="para2" eId="regulation-7-7-a-iii"><num>(iii)</num><content><p>any document which amends or supplements or wholly or partly supersedes any document within head (i) or (ii);</p></content></level></level><level class="para1" eId="regulation-7-7-b"><num>(b)</num><content><p>if an actuary is required to be appointed under Article 47(1)(<i>b</i>), a copy of any advice given by the actuary so appointed to the trustees or managers concerning the effects, if any, that the modification requested by the application would or might have on the assets of, or the benefits provided by, the scheme;</p></content></level><level class="para1" eId="regulation-7-7-c"><num>(c)</num><content><p>subject to paragraph (9), a copy of any legal advice given to the trustees or managers in relation to the modification requested by the application;</p></content></level><level class="para1" eId="regulation-7-7-d"><num>(d)</num><content><p>a copy of any determination by a court concerning the modification requested or any similar modification, and</p></content></level><level class="para1" eId="regulation-7-7-e"><num>(e)</num><content><p>if a record is required to be kept under Article 49A(1) of the trustees' or managers' determination that the scheme be wound up, a copy of that record.</p></content></level></paragraph><paragraph eId="regulation-7-8"><num>(8)</num><content><p>Subject to paragraph (9), if in dealing with the application it appears to the Authority necessary or desirable that any information or document which is not required to be given to them under paragraph (2) or (7) be given to them before they determine the application, they may require the trustees or managers to provide it.</p></content></paragraph><paragraph eId="regulation-7-9"><num>(9)</num><content><p>Nothing in paragraph (7)(<i>c</i>) or (8) requires a person to produce a document if he would be entitled to refuse to produce it in any proceedings in any court on the grounds that it was the subject of legal professional privilege.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-8"><heading>Reports to the Authority about winding up: time limits</heading><num>8.</num><paragraph eId="regulation-8-1"><num>(1)</num><content><p>Article 72A (reports to Authority about winding up) applies to a winding up beginning on or after 1st April 1973.</p></content></paragraph><paragraph eId="regulation-8-2"><num>(2)</num><content><p>In the case of a winding up which began before 1st April 2002, the first report to be made under Article 72A shall be made before the relevant date.</p></content></paragraph><paragraph eId="regulation-8-3"><num>(3)</num><intro><p>In paragraph (2) the “relevant date” means—</p></intro><level class="para1" eId="regulation-8-3-a"><num>(a)</num><content><p>if the winding up began before 1st January 1990, 1st June 2002;</p></content></level><level class="para1" eId="regulation-8-3-b"><num>(b)</num><content><p>if the winding up began on or after 1st January 1990 but before 1st January 1993, 1st April 2003;</p></content></level><level class="para1" eId="regulation-8-3-c"><num>(c)</num><content><p>if the winding up began on or after 1st January 1993 but before 1st January 1996, 1st April 2004;</p></content></level><level class="para1" eId="regulation-8-3-d"><num>(d)</num><content><p>if the winding up began on or after 1st January 1996 but before 1st January 1999, 1st April 2005;</p></content></level><level class="para1" eId="regulation-8-3-e"><num>(e)</num><content><p>if the winding up began on or after 1st January 1999 but before 1st April 2002, 1st April 2006.</p></content></level></paragraph><paragraph eId="regulation-8-4"><num>(4)</num><intro><p>In the case of a winding up which begins on or after 1st April 2002 but before 1st April 2003, the first report to be made under Article 72A shall be made—</p></intro><level class="para1" eId="regulation-8-4-a"><num>(a)</num><content><p>after the end of the period of 3 years beginning with the day on which the winding up begins, and</p></content></level><level class="para1" eId="regulation-8-4-b"><num>(b)</num><content><p>before the end of the period of one year beginning with the end of the period that applies under sub-paragraph (<i>a</i>).</p></content></level></paragraph><paragraph eId="regulation-8-5"><num>(5)</num><intro><p>In the case of a winding up which begins on or after 1st April 2003, the first report to be made under Article 72A shall be made—</p></intro><level class="para1" eId="regulation-8-5-a"><num>(a)</num><content><p>after the end of the period of 3 years beginning with the day on which the winding up begins, and</p></content></level><level class="para1" eId="regulation-8-5-b"><num>(b)</num><content><p>before the end of the period of 3 months beginning with the end of the period that applies under sub-paragraph (<i>a</i>).</p></content></level></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-9"><heading>Contents of reports to the Authority about winding up</heading><num>9.</num><paragraph eId="regulation-9-1"><num>(1)</num><intro><p>In the case of each winding up, the first report to the Authority under Article 72A(1) shall contain—</p></intro><level class="para1" eId="regulation-9-1-a"><num>(a)</num><content><p>the name by which the scheme is known;</p></content></level><level class="para1" eId="regulation-9-1-b"><num>(b)</num><content><p>the date on which the winding up began;</p></content></level><level class="para1" eId="regulation-9-1-c"><num>(c)</num><content><p>the number allotted to the scheme by the Registrar of Occupational and Personal Pension Schemes for the purposes of the register compiled and maintained under section 6 of the Pension Schemes Act 1993<authorialNote class="footnote" eId="f00011" marker="11"><p><ref eId="c00013" href="http://www.legislation.gov.uk/id/ukpga/1993/48">1993 c. 48</ref>; section 6 was amended by paragraph 23 of Schedule 3 to, and paragraph 20 of Schedule 5 to, the Pensions Act <ref eId="c00014" href="http://www.legislation.gov.uk/id/ukpga/1995/26">1995 (c. 26)</ref></p></authorialNote>;</p></content></level><level class="para1" eId="regulation-9-1-d"><num>(d)</num><content><p>a statement as to the nature of the benefits provided by the scheme;</p></content></level><level class="para1" eId="regulation-9-1-e"><num>(e)</num><content><p>a statement as to whether an appointment has been made under Article 23(1)(<i>b</i>) (appointment of independent trustee by insolvency practitioner or official receiver) and, if such an appointment has been made and the report is not being made by the person appointed, that person’s name and address;</p></content></level><level class="para1" eId="regulation-9-1-f"><num>(f)</num><content><p>if an actuary is required to be appointed under Article 47(1)(<i>b</i>), his name and address;</p></content></level><level class="para1" eId="regulation-9-1-g"><num>(g)</num><content><p>a statement as to whether any of the administration of the scheme is being carried out by a person other than the trustees or managers and, if so, that person’s name and address;</p></content></level><level class="para1" eId="regulation-9-1-h"><num>(h)</num><content><p>a statement as to when the person making the report estimates that the winding up will be completed;</p></content></level><level class="para1" eId="regulation-9-1-i"><num>(i)</num><intro><p>a statement as to—</p></intro><level class="para2" eId="regulation-9-1-i-i"><num>(i)</num><content><p>what steps in the winding up have been completed;</p></content></level><level class="para2" eId="regulation-9-1-i-ii"><num>(ii)</num><content><p>what steps remain to be completed, and</p></content></level><level class="para2" eId="regulation-9-1-i-iii"><num>(iii)</num><content><p>when the person making the report estimates that each of those steps will be completed, and</p></content></level></level><level class="para1" eId="regulation-9-1-j"><num>(j)</num><content><p>a statement as to whether any particular difficulties are hindering or delaying completion of the winding up.</p></content></level></paragraph><paragraph eId="regulation-9-2"><num>(2)</num><intro><p>In the case of each winding up, a second or subsequent report to the Authority under Article 72A(1) (“the later report”) shall contain—</p></intro><level class="para1" eId="regulation-9-2-a"><num>(a)</num><content><p>the name by which the scheme is known;</p></content></level><level class="para1" eId="regulation-9-2-b"><num>(b)</num><content><p>the date on which the winding up began;</p></content></level><level class="para1" eId="regulation-9-2-c"><num>(c)</num><content><p>a statement as to whether any of the administration of the scheme is being carried out by a person other than the trustees or managers and, if so, that person’s name and address;</p></content></level><level class="para1" eId="regulation-9-2-d"><num>(d)</num><content><p>if the person making the later report estimates that the winding up will be completed at a different time from that stated in the previous report under Article 72A(1), a statement as to that time;</p></content></level><level class="para1" eId="regulation-9-2-e"><num>(e)</num><intro><p>a statement as to—</p></intro><level class="para2" eId="regulation-9-2-e-i"><num>(i)</num><content><p>the steps in the winding up that have been completed since the previous report was made;</p></content></level><level class="para2" eId="regulation-9-2-e-ii"><num>(ii)</num><content><p>if steps stated in that report to be due for completion before the date when the later report is made have not been so completed, the reasons why they have not;</p></content></level><level class="para2" eId="regulation-9-2-e-iii"><num>(iii)</num><content><p>what steps remain to be completed, and</p></content></level><level class="para2" eId="regulation-9-2-e-iv"><num>(iv)</num><content><p>when the person making the later report estimates that each of those steps will be completed, and</p></content></level></level><level class="para1" eId="regulation-9-2-f"><num>(f)</num><content><p>a statement as to whether any particular difficulties are hindering or delaying completion of the winding up.</p></content></level></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-10"><heading>Exemption from requirement to make reports to the Authority about winding up</heading><num>10.</num><paragraph eId="regulation-10-1"><num>(1)</num><content><p>There is no obligation to make a report to the Authority under Article 72A(1) if on the latest date for the making of the report the scheme is within paragraph (2).</p></content></paragraph><paragraph eId="regulation-10-2"><num>(2)</num><intro><p>A scheme is within this paragraph if it is—</p></intro><level class="para1" eId="regulation-10-2-a"><num>(a)</num><content><p>a scheme of which there is only one member;</p></content></level><level class="para1" eId="regulation-10-2-b"><num>(b)</num><content><p>a small self-administered scheme;</p></content></level><level class="para1" eId="regulation-10-2-c"><num>(c)</num><content><p>a scheme of which each member is a trustee, or</p></content></level><level class="para1" eId="regulation-10-2-d"><num>(d)</num><intro><p>a scheme—</p></intro><level class="para2" eId="regulation-10-2-d-i"><num>(i)</num><content><p>the only benefits provided by which are death benefits, and</p></content></level><level class="para2" eId="regulation-10-2-d-ii"><num>(ii)</num><content><p>under the provisions of which no member has accrued rights.</p></content></level></level></paragraph><paragraph eId="regulation-10-3"><num>(3)</num><content><p>In this regulation “member” means a deferred member or a pensioner member.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-11"><heading>Time when winding up taken to begin</heading><num>11.</num><intro><p>Article 121(4) to (7)<authorialNote class="footnote" eId="f00012" marker="12"><p>Article 121(4) to (7) was added by section 45(2) of the Child Support, Pensions and Social Security Act (Northern Ireland) 2000</p></authorialNote> (time when winding up of a scheme in pursuance of an order of the Authority is to be taken to begin) does not apply for the purposes of—</p></intro><level class="para1" eId="regulation-11-a"><num>(a)</num><content><p>Articles 73 and 74<authorialNote class="footnote" 64</ref></p></authorialNote>.</p></content></level></hcontainer><hcontainer name="regulation" eId="regulation-12"><heading>Records of decisions about winding up</heading><num>12.</num><paragraph eId="regulation-12-1"><num>(1)</num><content><p>The obligations imposed on trustees, managers and other persons by Article 49A (record of winding up decisions) and this regulation do not apply in relation to determinations and decisions made before 1st April 2002.</p></content></paragraph><paragraph eId="regulation-12-2"><num>(2)</num><intro><p>A record of a determination for the winding up of the scheme that is required to be kept under Article 49A(1)(<i>a</i>) shall specify—</p></intro><level class="para1" eId="regulation-12-2-a"><num>(a)</num><content><p>the names of the persons making the determination, and</p></content></level><level class="para1" eId="regulation-12-2-b"><num>(b)</num><content><p>the date on which it is made.</p></content></level></paragraph><paragraph eId="regulation-12-3"><num>(3)</num><content><p>A record of a decision as to the time from which steps for the purposes of the winding up of the scheme are to be taken that is required to be kept under Article 49A(1)(<i>b</i>) shall specify the date on which the first steps for winding it up are to be taken.</p></content></paragraph><paragraph eId="regulation-12-4"><num>(4)</num><intro><p>A record of a determination that is required to be kept under Article 49A(1)(<i>c</i>) or (<i>d</i>) shall—</p></intro><level class="para1" eId="regulation-12-4-a"><num>(a)</num><content><p>if a date on which it is proposed to wind up the scheme is determined, specify that date, and</p></content></level><level class="para1" eId="regulation-12-4-b"><num>(b)</num><content><p>if no such date is determined but a date on which the determination of that date will be considered is determined, specify that date.</p></content></level></paragraph><paragraph eId="regulation-12-5"><num>(5)</num><intro><p>Where such a determination or decision as is mentioned in sub-paragraph (<i>a</i>), (<i>b</i>), (<i>c</i>) or (<i>d</i>) of Article 49A(1) is made by persons who—</p></intro><level class="para1" eId="regulation-12-5-a"><num>(a)</num><content><p>are not trustees or managers of the scheme, but</p></content></level><level class="para1" eId="regulation-12-5-b"><num>(b)</num><content><p>are entitled in accordance with the scheme’s rules to make a determination for its winding up,</p></content></level><wrapUp><p>the obligation to keep written records under Article 49A(1) applies to those persons.</p></wrapUp></paragraph><paragraph eId="regulation-12-6"><num>(6)</num><intro><p>Paragraph (5) applies whether or not the determination or decision in question is also made by persons who are trustees or managers of the scheme and—</p></intro><level class="para1" eId="regulation-12-6-a"><num>(a)</num><content><p>in a case where it is also made by the trustees or managers, the obligation to keep written records under Article 49A(1) applies to the persons on whom it is imposed by paragraph (5) as well as the trustees or managers, but</p></content></level><level class="para1" eId="regulation-12-6-b"><num>(b)</num><content><p>in a case where it is not also made by the trustees or managers, the obligation to keep written records under Article 49A(1) applies to the persons on whom it is imposed by paragraph (5) instead of the trustees or managers.</p></content></level></paragraph><paragraph eId="regulation-12-7"><num>(7)</num><intro><p>A person who fails to take all such steps as are reasonable to comply with an obligation imposed by paragraph (5) is liable to pay a penalty under Article 10 of such amount not exceeding—</p></intro><level class="para1" eId="regulation-12-7-a"><num>(a)</num><content><p>£5,000 in the case of an individual, and</p></content></level><level class="para1" eId="regulation-12-7-b"><num>(b)</num><content><p>£50,000 in any other case,</p></content></level><wrapUp><p>as is specified in a notice in writing from the Authority requiring him to pay the penalty under Article 10.</p></wrapUp></paragraph><paragraph eId="regulation-12-8"><num>(8)</num><content><p>Such a penalty shall be paid within 28 days beginning with the date on which the notice is given.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-13"><heading>Directions by the Authority for facilitating winding up</heading><num>13.</num><paragraph eId="regulation-13-1"><num>(1)</num><content><p>For the purposes of Article 72B(2)(<i>c</i>)(iii) (by virtue of which the Authority may give directions during the winding up of a scheme if they consider that it is being obstructed or unreasonably delayed by the failure of any person to provide information to a person of a prescribed description), the persons in paragraph (2) are prescribed.</p></content></paragraph><paragraph eId="regulation-13-2"><num>(2)</num><intro><p>The prescribed persons are—</p></intro><level class="para1" eId="regulation-13-2-a"><num>(a)</num><content><p>any person who has exercised or is exercising functions in relation to the scheme by or under an enactment;</p></content></level><level class="para1" eId="regulation-13-2-b"><num>(b)</num><content><p>any person acting as the custodian of any investments on behalf of the trustees or managers of the scheme;</p></content></level><level class="para1" eId="regulation-13-2-c"><num>(c)</num><intro><p>any person holding—</p></intro><level class="para2" eId="regulation-13-2-c-i"><num>(i)</num><content><p>documents relating to the payroll for pensions payable under the scheme or their payment;</p></content></level><level class="para2" eId="regulation-13-2-c-ii"><num>(ii)</num><content><p>payroll records relating to employment to which the scheme relates;</p></content></level><level class="para2" eId="regulation-13-2-c-iii"><num>(iii)</num><content><p>personnel pension records in respect of those who are or have been in such employment, or</p></content></level><level class="para2" eId="regulation-13-2-c-iv"><num>(iv)</num><content><p>other information relating to the past or present membership of the scheme;</p></content></level></level><level class="para1" eId="regulation-13-2-d"><num>(d)</num><content><p>any person holding, or involved in the production or issue of, scheme documentation, announcements or written materials;</p></content></level><level class="para1" eId="regulation-13-2-e"><num>(e)</num><content><p>any person who is obliged under a contract with a person falling within any of sub-paragraphs (<i>a</i>) to (<i>d</i>) to carry out on his behalf any function by virtue of the performance of which the other person falls or would fall within the sub-paragraph in question, and</p></content></level><level class="para1" eId="regulation-13-2-f"><num>(f)</num><content><p>any person appearing to the Authority to hold information or documents relating to the functioning of the scheme.</p></content></level></paragraph><paragraph eId="regulation-13-3"><num>(3)</num><content><p>For the purposes of Article 72B(3) (under which, except in prescribed circumstances, the Authority’s power to give directions under Article 72B is limited to cases where periodic reports are required to be made under Article 72A and the first report has been made or is due), the circumstances in paragraph (4) are prescribed.</p></content></paragraph><paragraph eId="regulation-13-4"><num>(4)</num><intro><p>The prescribed circumstances are that—</p></intro><level class="para1" eId="regulation-13-4-a"><num>(a)</num><content><p>the trustees or managers of the scheme have applied for the Authority to give directions under Article 72B;</p></content></level><level class="para1" eId="regulation-13-4-b"><num>(b)</num><content><p>the circumstances of the scheme are such that its winding up is unlikely to be completed within a reasonable period unless the Authority give such directions, or</p></content></level><level class="para1" eId="regulation-13-4-c"><num>(c)</num><content><p>the winding up began before 1st April 2006.</p></content></level></paragraph><paragraph eId="regulation-13-5"><num>(5)</num><content><p>For the purposes of Article 72B(5)(<i>c</i>) (by virtue of which a direction under Article 72B may impose a requirement on a person of a prescribed description), any person formerly involved in the administration of the scheme is prescribed.</p></content></paragraph><paragraph eId="regulation-13-6"><num>(6)</num><content><p>For the purposes of Article 72B(6)(<i>c</i>) (by virtue of which a direction under Article 72B may impose a requirement to provide information to a person of a prescribed description), any person exercising functions in relation to the scheme by or under an enactment is prescribed.</p></content></paragraph><paragraph eId="regulation-13-7"><num>(7)</num><content><p>An application under Article 72B(7) for the extension (or further extension) of a period within which steps required by a direction under Article 72B are to be taken shall be made in writing no later than 2 months before the date on which, apart from any extension (or further extension) as a result of the application, the period would end.</p></content></paragraph></hcontainer><hcontainer name="regulation" eId="regulation-14"><heading>Amendment of the Occupational Pension Schemes (Disclosure of Information) Regulations</heading><num>14.</num><paragraph eId="regulation-14-1"><num>(1)</num><content><p>Regulation 5 of the Occupational Pension Schemes (Disclosure of Information) Regulations (Northern Ireland) 1997<authorialNote class="footnote" eId="f00015" marker="15"><p><ref eId="c00020" href="http://www.legislation.gov.uk/id/nisr/1997/98">S.R. The Regulations introduce measures designed to speed up the winding up of occupational pension schemes.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 1 provides for citation, commencement and interpretation.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 2(1) prescribes the period within which an insolvency practitioner or the official receiver shall appoint an independent trustee of a trust scheme where the employer is insolvent.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulations 2(2) and (3) and 3 to 6 relate to the duty to give notices connected with insolvency of employers to the Occupational Pensions Regulatory Authority (“the Authority”) under Articles 26A to 26C of the <abbr title="Pensions (Northern Ireland) Order 1995 (S.I. 1995/3213 (N.I. 22))">1995 Order</abbr>. Regulations 2(2) and (3) and 3 make provision about the period for giving the notices. Regulation 4 prescribes investment management advisers and the underwriters of certain scheme policies and contracts as persons who are exempted from the duty to give notices. Regulation 5 prescribes the kinds of schemes which are excluded from the duty. Regulation 6 prescribes the maximum civil penalties for failure to give notices.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 7 prescribes matters connected with applications to the Authority under Article 71A of the <abbr title="Pensions (Northern Ireland) Order 1995 (S.I. 1995/3213 (N.I. 22))">1995 Order</abbr> to modify schemes to secure their winding up, including the content of the applications and the notices to be given in connection with them.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulations 8 to 10 relate to reports to the Authority under Article 72A of the <abbr title="Pensions (Northern Ireland) Order 1995 (S.I. 1995/3213 (N.I. 22))">1995 Order</abbr> where winding up has not been completed. Regulation 8 prescribes time limits for making the first reports. It provides that the obligation to make the reports applies to schemes which started winding up on or after 1st April 1973 and sets out a series of time limits within which schemes beginning to wind up shall make their first reports. Regulation 9 prescribes what the reports shall contain and regulation 10 exempts certain schemes from the requirement to make the reports.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 11 prescribes the purposes for which the general interpretation provisions in Article 121(4) to (7) of the <abbr title="Pensions (Northern Ireland) Order 1995 (S.I. 1995/3213 (N.I. 22))">1995 Order</abbr> about when schemes begin winding up do not apply.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 12 sets out what records about decisions concerning winding up shall contain and extends the obligations to keep records to persons other than trustees or managers where they make determinations about winding up. It also makes provision for the imposition of civil penalties on such persons if they contravene those obligations.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 13 relates to the directions the Authority may give to facilitate the winding up of schemes. It sets out the persons failure to give information to whom enables the Authority to give the directions, the circumstances in which directions may be given before the first report is due to be made to the Authority about the winding up, and the persons on whom requirements may be imposed and to whom information may be required to be given. It also prescribes the time limit for applying for an extension of the period within which steps required by directions shall be taken.</p></blockContainer><blockContainer ukl:Name="P"><p>Regulation 14 amends regulation 5 of the Occupational Pension Schemes (Disclosure of Information) Regulations (Northern Ireland) 1997 so as to require the trustees of a scheme which is being wound up to give members copies of reports given to the Authority about winding up if they request them.</p></blockContainer><blockContainer ukl:Name="P"><p>As these Regulations, in so far as they are made under Part II of the <abbr title="Pensions (Northern Ireland) Order 1995 (S.I. 1995/3213 (N.I. 22))">1995 Order</abbr>, make in relation to Northern Ireland only provision corresponding to provision contained in regulations made by the Secretary of State for Work and Pensions in relation to Great Britain, the requirement for consultation under Article 117(1) of the <abbr title="Pensions (Northern Ireland) Order 1995 (S.I. 1995/3213 (N.I. 22))">1995 Order</abbr> does not apply by virtue of paragraph (2)(<i>e</i>) of that Article.</p></blockContainer><blockContainer ukl:Name="P"><p>Articles 26B, 26C, 49A, 71A, 72A, 72B, 115(2) and 121(8) of the <abbr title="Pensions (Northern Ireland) Order 1995 (S.I. 1995/3213 (N.I. 22))">1995 Order</abbr>, some of the enabling provisions under which these Regulations are made, were inserted, amended or added by sections 43 to 46 of the <abbr title="Child Support, Pensions and Social Security Act (Northern Ireland) 2000 c. 4 (N.I.)">2000 Act</abbr>. Article 2(1) of the Child Support, Pensions and Social Security (<abbr title="Child Support, Pensions and Social Security Act (Northern Ireland) 2000 c. 4 (N.I.)">2000 Act</abbr>) (Commencement <abbr title="Number">No.</abbr> 7) Order (Northern Ireland) 2002 (<ref eId="c00001" href="http://www.legislation.gov.uk/id/nisr/2002/68">S.R. 2002 No. 68 (C. 5)</ref>) provides for the coming into operation of sections 43, 44, 45(1) in part, (2) and (3) and 46 of the <abbr title="Child Support, Pensions and Social Security Act (Northern Ireland) 2000 c. 4 (N.I.)">2000 Act</abbr>, for the purpose only of authorising the making of regulations, on 1st March 2002 and, for all other purposes, on 1st April 2002.</p></blockContainer></blockContainer></conclusions></act></akomaNtoso>
