        </Number><Title>CHARITABLE INCORPORATED ORGANISATIONS</Title><Pblock DocumentURI="http://www.legislation.gov.uk/nia/2008/12/part/11/crossheading/nature-and-constitution" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/part/11/crossheading/nature-and-constitution" NumberOfProvisions="5" Status="Prospective" Match="false" id="part-11-crossheading-nature-and-constitution"><Title><Emphasis>Nature and constitution</Emphasis></Title><P1group Status="Prospective" ConfersPower="true" Match="false"><Title>Constitution</Title><P1 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106" id="section-106"><Pnumber PuncAfter="">106</Pnumber><P1para><P2 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/1" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/1" id="section-106-1"><Pnumber>1</Pnumber><P2para><Text>A <Acronym Expansion="Charitable Incorporated Organisation">CIO</Acronym>'s constitution shall state—</Text><P3 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/1/a" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/1/a" id="section-106-1-a"><Pnumber>a</Pnumber><P3para><Text>its name,</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/1/b" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/1/b" id="section-106-1-b"><Pnumber>b</Pnumber><P3para><Text>its purposes, and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/1/c" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/1/c" id="section-106-1-c"><Pnumber>c</Pnumber><P3para><Text>whether or not its members are liable to contribute to its assets if it is wound up, and (if they are) up to what amount.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/2" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/2" id="section-106-2"><Pnumber>2</Pnumber><P2para><Text>A CIO's constitution shall make provision—</Text><P3 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/2/a" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/2/a" id="section-106-2-a"><Pnumber>a</Pnumber><P3para><Text>about who is eligible for membership, and how a person becomes a member,</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/2/b" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/2/b" id="section-106-2-b"><Pnumber>b</Pnumber><P3para><Text>about the appointment of one or more persons who are to be charity trustees of the CIO, and about any conditions of eligibility for appointment, and</Text></P3para></P3><P3 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/2/c" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/2/c" id="section-106-2-c"><Pnumber>c</Pnumber><P3para><Text>containing directions about the application of property of the CIO on its dissolution.</Text></P3para></P3></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/3" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/3" id="section-106-3"><Pnumber>3</Pnumber><P2para><Text>A CIO's constitution shall also provide for such other matters, and comply with such requirements, as are specified in regulations made by the Department.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/4" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/4" id="section-106-4"><Pnumber>4</Pnumber><P2para><Text>A CIO's constitution shall be in the form specified in regulations made by the Commission, or as near to that form as the circumstances admit.</Text></P2para></P2><P2 DocumentURI="http://www.legislation.gov.uk/nia/2008/12/section/106/5" IdURI="http://www.legislation.gov.uk/id/nia/2008/12/section/106/5" id="section-106-5"><Pnumber>5</Pnumber><P2para><Text>Subject to anything in a CIO's constitution: a charity trustee of the CIO may, but need not, be a member of it; a member of the CIO may, but need not, be one of its charity trustees; and those who are members of the CIO and those who are its charity trustees may, but need not, be identical.</Text></P2para></P2></P1para></P1></P1group></Pblock></Part></Body></Primary></Legislation>
