<Text>For the purposes of this Act, a digital asset is a thing that—</Text>

<Text>An electronic system makes a thing rivalrous if—</Text>

<Text>that record is used to ensure that when, within the system, a person transacts in relation to the thing in a certain way (for example by transferring or spending it), the person loses the ability to transact in relation to the thing in that way again.</Text>

<Title>Nature of digital assets in Scots law</Title>

<Text>In the law of Scotland, digital assets are incorporeal moveables and (so far as consistent with their nature) the law applies in relation to them on that basis.</Text>

<Title>Presumption of ownership</Title>

<Text>A person that has control of a digital asset is presumed to own the asset (unless the contrary can be shown).</Text>

<Title>Acquisition of ownership</Title>

<Text>Any rule of law in relation to the acquisition of ownership applies, in connection with digital assets, on the basis that—</Text>

<Text>a digital asset is to be treated as though it were a corporeal moveable (despite <InternalLink Ref="section-2" IdURI="http://www.legislation.gov.uk/id/asp/2026/12/section/2" DocumentURI="http://www.legislation.gov.uk/asp/2026/12/section/2/enacted">section 2</InternalLink>),</Text>

<Text>control of a digital asset is to be treated as physical possession of it.</Text>

<Text>But a person (“<Term id="term-the-transferee">the transferee</Term>”) becomes the owner of a digital asset, despite the person who transferred control of the asset to the transferee (<InlineAmendment>“the transferor”</InlineAmendment>) not being the asset’s owner, if—</Text>

<Text>the circumstances of the transfer were such that, but for the transferor not being the asset’s owner, it would have resulted in the transferee becoming the asset’s owner, and</Text>

<Text>the transferee took the asset in good faith and for value.</Text>

<Text>Where a person (“<Term id="term-the-transferee">the transferee</Term>”) acquires ownership of a digital asset from a person whose title as owner of the asset is defective, the transferee’s title is free from that defect provided the transferee took the asset in good faith and for value.</Text>

<Title>Meaning of control</Title>

<Text>This section makes provision about determining who has control of a digital asset for the purposes of this Act.</Text>

<Text>A person has control of a digital asset if the person has the ability to initiate in relation to it—</Text>

<Text>if the system does not facilitate transfer transactions, a divestiture transaction within the system.</Text>

<Text>“<Term id="term-divestiture-transaction">divestiture transaction</Term>” means a transaction that results in no person being able to initiate any further transaction in relation to the asset,</Text>

<Text>“<Term id="term-transfer-transaction">transfer transaction</Term>” means a transaction that results in—</Text>
