the Parliament on 5th March 2026 and received Royal Assent on 16th April 2026</docDate></block><longTitle><p>An Act of the Scottish Parliament to make provision about the nature of certain digital assets as objects of property in Scots law; and for connected purposes.</p></longTitle></preface><body eId="body"><section eId="section-1"><num>1</num><heading>Meaning of digital asset</heading><subsection eId="section-1-1"><num>(1)</num><intro><p>For the purposes of this Act, a digital asset is a thing that—</p></intro><level class="para1" eId="section-1-1-a"><num>(a)</num><content><p>arises from an electronic system that makes it rivalrous, and</p></content></level><level class="para1" eId="section-1-1-b"><num>(b)</num><content><p>exists independently from the legal system.</p></content></level></subsection><subsection eId="section-1-2"><num>(2)</num><intro><p>An electronic system makes a thing rivalrous if—</p></intro><level class="para1" eId="section-1-2-a"><num>(a)</num><content><p>the system maintains an immutable record of transactions in relation to the thing, and</p></content></level><level class="para1" eId="section-1-2-b"><num>(b)</num><content><p>that record is used to ensure that when, within the system, a person transacts in relation to the thing in a certain way (for example by transferring or spending it), the person loses the ability to transact in relation to the thing in that way again.</p></content></level></subsection><subsection eId="section-1-3"><num>(3)</num><content><p>An electronic trade document within the meaning of section 2 of the Electronic Trade Documents Act 2023 is not a digital asset for the purposes of this Act.</p></content></subsection></section><section eId="section-2"><num>2</num><heading>Nature of digital assets in Scots law</heading><content><p>In the law of Scotland, digital assets are incorporeal moveables and (so far as consistent with their nature) the law applies in relation to them on that basis.</p></content></section><section eId="section-3"><num>3</num><heading>Presumption of ownership</heading><content><p>A person that has control of a digital asset is presumed to own the asset (unless the contrary can be shown).</p></content></section><section eId="section-4"><num>4</num><heading>Acquisition of ownership</heading><subsection eId="section-4-1"><num>(1)</num><intro><p>Any rule of law in relation to the acquisition of ownership applies, in connection with digital assets, on the basis that—</p></intro><level class="para1" eId="section-4-1-a"><num>(a)</num><content><p>a digital asset is to be treated as though it were a corporeal moveable (despite <ref href="#section-2">section 2</ref>),</p></content></level><level class="para1" eId="section-4-1-b"><num>(b)</num><content><p>control of a digital asset is to be treated as physical possession of it.</p></content></level></subsection><subsection eId="section-4-2"><num>(2)</num><intro><p><mod>But a person (“<term refersTo="#term-the-transferee" eId="term-the-transferee">the transferee</term>”) becomes the owner of a digital asset, despite the person who transferred control of the asset to the transferee (<quotedText>“the transferor”</quotedText>) not being the asset’s owner, if—</mod></p></intro><level class="para1" eId="section-4-2-a"><num>(a)</num><content><p>the circumstances of the transfer were such that, but for the transferor not being the asset’s owner, it would have resulted in the transferee becoming the asset’s owner, and</p></content></level><level class="para1" eId="section-4-2-b"><num>(b)</num><content><p>the transferee took the asset in good faith and for value.</p></content></level></subsection><subsection eId="section-4-3"><num>(3)</num><content><p>Where a person (“<term refersTo="#term-the-transferee" eId="term-the-transferee">the transferee</term>”) acquires ownership of a digital asset from a person whose title as owner of the asset is defective, the transferee’s title is free from that defect provided the transferee took the asset in good faith and for value.</p></content></subsection><subsection eId="section-4-4"><num>(4)</num><content><p>In <ref href="#section-4-1">subsection (1)</ref>, “<term refersTo="#term-rule-of-law" eId="term-rule-of-law">rule of law</term>” does not include an enactment.</p></content></subsection></section><section eId="section-5"><num>5</num><heading>Meaning of control</heading><subsection eId="section-5-1"><num>(1)</num><content><p>This section makes provision about determining who has control of a digital asset for the purposes of this Act.</p></content></subsection><subsection eId="section-5-2"><num>(2)</num><intro><p>A person has control of a digital asset if the person has the ability to initiate in relation to it—</p></intro><level class="para1" eId="section-5-2-a"><num>(a)</num><content><p>a transfer transaction within the electronic system giving rise to the asset, or</p></content></level><level class="para1" eId="section-5-2-b"><num>(b)</num><content><p>if the system does not facilitate transfer transactions, a divestiture transaction within the system.</p></content></level></subsection><subsection eId="section-5-3"><num>(3)</num><intro><p>In this section—</p></intro><hcontainer name="definition"><content><p>“<term refersTo="#term-divestiture-transaction" eId="term-divestiture-transaction">divestiture transaction</term>” means a transaction that results in no person being able to initiate any further transaction in relation to the asset,</p></content></hcontainer><hcontainer name="definition"><intro><p>“<term refersTo="#term-transfer-transaction" eId="term-transfer-transaction">transfer transaction</term>” means a transaction that results in—</p></intro><level class="para1"><num>(a)</num><content><p>the person who initiated the transaction losing the ability to initiate a transfer transaction in relation to the asset, and</p></content></level><level class="para1"><num>(b)</num><content><p>another person gaining (directly or indirectly) the ability to initiate a transfer transaction in relation to the asset or some quantity of that type of asset.</p></content></level></hcontainer></subsection></section><section eId="section-6"><num>6</num><heading>Sections 2 to 4 subject to other enactments</heading><content><p>Sections 2 to 4 are subject to any enactment whenever passed or made.</p></content></section><section eId="section-7"><num>7</num><heading>Ancillary provision</heading><subsection eId="section-7-1"><num>(1)</num><content><p>The Scottish Ministers may by regulations make any incidental, supplementary, consequential, transitional, transitory or saving provision they consider appropriate for the purposes of, in connection with, or for giving full effect to this Act or any provision made under it.</p></content></subsection><subsection eId="section-7-2"><num>(2)</num><content><p>Regulations under <ref href="#section-7">this section</ref> may modify any enactment (including this Act).</p></content></subsection></section><section eId="section-8"><num>8</num><heading>Regulation-making powers</heading><subsection eId="section-8-1"><num>(1)</num><content><p>A power to make regulations conferred by this Act includes the power to make different provision for different purposes.</p></content></subsection><subsection eId="section-8-2"><num>(2)</num><intro><p>Regulations under <ref href="#section-7">section 7</ref>—</p></intro><level class="para1" eId="section-8-2-a"><num>(a)</num><content><p>are subject to the affirmative procedure if they add to, replace or omit any part of the text of an Act, but</p></content></level><level class="para1" eId="section-8-2-b"><num>(b)</num><content><p>otherwise, are subject to the negative procedure.</p></content></level></subsection></section><section eId="section-9"><num>9</num><heading>Commencement</heading><subsection eId="section-9-1"><num>(1)</num><content><p>The following provisions come into force the day after Royal Assent: this section and sections <ref href="#section-7">7</ref>, <ref href="#section-8">8</ref> and <ref href="#section-10">10</ref>.</p></content></subsection><subsection eId="section-9-2"><num>(2)</num><content><p>The other provisions of this Act come into force on such day as the Scottish Ministers may by regulations appoint.</p></content></subsection></section><section eId="section-10"><num>10</num><heading>Short
