name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-offers"><heading>Offers</heading><section eId="section-6" uk:target="true"><num>6</num><heading>Lapsing of offer on fundamental change of circumstances</heading><subsection eId="section-6-1"><num>(1)</num><content><p>An offer in relation to the formation of a contract lapses on a fundamental change of circumstances and having lapsed can no longer be accepted.</p></content></subsection><subsection eId="section-6-2"><num>(2)</num><intro><p>Without prejudice to the generality of <ref href="#">subsection (1)</ref>, there is a fundamental change of circumstances if, after the offer is made but before a contract is formed, the offeror or offeree—</p></intro><level class="para1" eId="section-6-2-a"><num>(a)</num><content><p>dies, or</p></content></level><level class="para1" eId="section-6-2-b"><num>(b)</num><content><p>becomes incapable of making any decision as to whether to form the contract.</p></content></level></subsection><subsection eId="section-6-3"><num>(3)</num><content><p>But an offer such as is mentioned in <ref href="#">subsection (1)</ref> does not lapse where, after it is made but before a contract is formed, the offeror or offeree becomes insolvent.</p></content></subsection><subsection eId="section-6-4"><num>(4)</num><intro><p>For the purposes of <ref href="#section-6-3">subsection (3)</ref>—</p></intro><level class="para1" eId="section-6-4-a"><num>(a)</num><intro><p>an offeror or offeree who is an individual, or the estate of which may be sequestrated by virtue of section 6 of the Bankruptcy (Scotland) Act 2016, becomes insolvent when—</p></intro><level class="para2" eId="section-6-4-a-i"><num>(i)</num><content><p>that person’s estate is sequestrated,</p></content></level><level class="para2" eId="section-6-4-a-ii"><num>(ii)</num><content><p>that person grants a trust deed for creditors or makes a composition or arrangement with creditors,</p></content></level><level class="para2" eId="section-6-4-a-iii"><num>(iii)</num><content><p>a voluntary arrangement proposed by that person is approved,</p></content></level><level class="para2" eId="section-6-4-a-iv"><num>(iv)</num><content><p>that person’s application for a debt payment programme is approved under section 2 of the Debt Arrangement and Attachment (Scotland) Act 2002, or</p></content></level><level class="para2" eId="section-6-4-a-v"><num>(v)</num><content><p>that person becomes subject to any other order or arrangement analogous to those mentioned in sub-paragraphs <ref href="#section-6-4-a-i">(i)</ref> to <ref href="#section-6-4-a-iv">(iv)</ref> anywhere in the world, and</p></content></level></level><level class="para1" eId="section-6-4-b"><num>(b)</num><intro><p>an offeror or offeree other than is mentioned in <ref href="#section-6-4-a">paragraph (a)</ref> becomes insolvent when—</p></intro><level class="para2" eId="section-6-4-b-i"><num>(i)</num><content><p>a decision approving a voluntary arrangement entered into by that person has effect under section 4A of the Insolvency Act 1986 (“<term refersTo="#term-the-1986-act" eId="term-the-1986-act">the 1986 Act</term>”),</p></content></level><level class="para2" eId="section-6-4-b-ii"><num>(ii)</num><content><p>that person is wound up under Part 4 or 5 of the 1986 Act or under section 367 of the Financial Services and Markets Act 2000,</p></content></level><level class="para2" eId="section-6-4-b-iii"><num>(iii)</num><content><p>a receiver is appointed, under section 51(1) or (2) of the 1986 Act, over all or part of the property of that person,</p></content></level><level class="para2" eId="section-6-4-b-iv"><num>(iv)</num><content><p>that person enters administration (“enters administration” being construed in accordance with paragraph 1(2) of schedule B1 of the 1986 Act), or</p></content></level><level class="para2" eId="section-6-4-b-v"><num>(v)</num><content><p>that person becomes subject to any other order or arrangement analogous to those mentioned in sub-paragraphs <ref href="#section-6-4-b-i">(i)</ref> to <ref href="#section-6-4-b-iv">(iv)</ref> anywhere in the world.</p></content></level></level></subsection><subsection eId="section-6-5"><num>(5)</num><content><p>Subsections <ref href="#section-6-1">(1)</ref> to <ref href="#section-6-4">(4)</ref> are without prejudice to the application of any relevant enactment, or rule of law, in relation to the transaction with regard to which the offer is made.</p></content></subsection><subsection eId="section-6-6"><num>(6)</num><intro><p>The Scottish Ministers may, by regulations subject to the affirmative procedure—</p></intro><level class="para1" eId="section-6-6-a"><num>(a)</num><content><p>amend <ref href="#section-6-4">subsection (4)</ref><ref href="#section-6-4-a">(a)</ref> or <ref href="#section-6-4-b">(b)</ref>,</p></content></level><level class="para1" eId="section-6-6-b"><num>(b)</num><content><p>specify further circumstances in which a person becomes insolvent for the purposes of <ref href="#section-6-3">subsection (3)</ref>.</p></content></level></subsection><subsection eId="section-6-7"><num>(7)</num><content><p>In <ref href="#section-6-2">subsection (2)</ref><ref href="#section-6-2-b">(b)</ref>, “<term refersTo="#term-incapable" eId="term-incapable">incapable</term>” has the meaning given to that expression by section 1(6) of the Adults with Incapacity (Scotland) Act 2000.</p></content></subsection></section></hcontainer></part></body></act></akomaNtoso>
