Contract</heading><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-autonomy-of-parties"><heading>Autonomy of parties</heading><section eId="section-1"><num>1</num><heading>Autonomy of parties: application of sections 2 to 13</heading><subsection eId="section-1-1"><num>(1)</num><intro><p>Sections <ref href="#section-2">2</ref> to <ref href="#section-13">13</ref> apply in relation to the formation of a contract except in so far as—</p></intro><level class="para1" eId="section-1-1-a"><num>(a)</num><content><p>the offer, or any counter-offer, provides otherwise, or</p></content></level><level class="para1" eId="section-1-1-b"><num>(b)</num><content><p>the parties to the contract have, before the contract is formed, come to an agreement which (whether in regard to the formation of that contract or to the formation of contracts which include that contract) provides otherwise.</p></content></level></subsection><subsection eId="section-1-2"><num>(2)</num><intro><p>Such provision as is referred to in <ref href="#section-1-1">subsection (1)</ref><ref href="#section-1-1-a">(a)</ref> and <ref href="#section-1-1-b">(b)</ref>—</p></intro><level class="para1" eId="section-1-2-a"><num>(a)</num><content><p>may be express or implied, and</p></content></level><level class="para1" eId="section-1-2-b"><num>(b)</num><intro><p>may be to the effect that the contract is to be formed—</p></intro><level class="para2" eId="section-1-2-b-i"><num>(i)</num><content><p>in a way other than in accordance with sections <ref href="#section-2">2</ref> to <ref href="#section-13">13</ref>, or</p></content></level><level class="para2" eId="section-1-2-b-ii"><num>(ii)</num><content><p>in accordance with sections <ref href="#section-2">2</ref> to <ref href="#section-13">13</ref> but with such modifications to them as the parties may agree between themselves.</p></content></level></level></subsection></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-requirements-for-the-formation-of-a-contract"><heading>Requirements for the formation of a contract</heading><section eId="section-2"><num>2</num><heading>Formation of contract: general</heading><subsection eId="section-2-1"><num>(1)</num><intro><p>A contract is formed on the parties coming to an agreement—</p></intro><level class="para1" eId="section-2-1-a"><num>(a)</num><content><p>which they intend to have legal effect, and</p></content></level><level class="para1" eId="section-2-1-b"><num>(b)</num><intro><p>which, taking any relevant enactment or rule of law into consideration, has both—</p></intro><level class="para2" eId="section-2-1-b-i"><num>(i)</num><content><p>the essential characteristics of a contract of the kind in question, and</p></content></level><level class="para2" eId="section-2-1-b-ii"><num>(ii)</num><content><p>sufficient content,</p></content></level><wrapUp><p>for it to be given legal effect as a contract of that kind.</p></wrapUp></level></subsection><subsection eId="section-2-2"><num>(2)</num><content><p>A contract is formed on the parties coming to an agreement on all but one matter or all but some matters, provided that the agreement is otherwise an agreement within the meaning of subsection (1).</p></content></subsection><subsection eId="section-2-3"><num>(3)</num><content><p>But where a party explicitly requires that, for a contract to be formed, there must be agreement on a specific matter there is no contract unless the parties come to an agreement on that matter.</p></content></subsection><subsection eId="section-2-4"><num>(4)</num><content><p>For the purposes of subsections <ref href="#section-2-1">(1)</ref> to <ref href="#section-2-3">(3)</ref>, whether there is agreement or not may be determined from the statements and conduct of the parties (whether or not such statements and conduct consist of, or include, the acceptance of an offer).</p></content></subsection></section><section eId="section-3"><num>3</num><heading>Formation of contract by unnotified acts</heading><subsection eId="section-3-1"><num>(1)</num><intro><p>Subsection <ref href="#section-3-2">(2)</ref> applies, in relation to the formation of a contract, where—</p></intro><level class="para1" eId="section-3-1-a"><num>(a)</num><content><p>an offer provides expressly or impliedly,</p></content></level><level class="para1" eId="section-3-1-b"><num>(b)</num><content><p>the parties to the prospective contract have established a practice between or among themselves to the effect, or</p></content></level><level class="para1" eId="section-3-1-c"><num>(c)</num><content><p>there is a usage common to those parties to the effect,</p></content></level><wrapUp><p>that the performance of certain acts by the offeree forms the contract, even without notification of performance or of acceptance to the offeror.</p></wrapUp></subsection><subsection eId="section-3-2"><num>(2)</num><content><p>The contract is formed on the offeree’s beginning to perform the acts in question.</p></content></subsection><subsection eId="section-3-3"><num>(3)</num><content><p>Subsections <ref href="#section-3-1">(1)</ref> and <ref href="#section-3-2">(2)</ref> are subject to <ref href="#section-11">section 11</ref><ref href="#section-11-1">(1)</ref><ref href="#section-11-1-b">(b)</ref>.</p></content></subsection></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-offers"><heading>Offers</heading><section eId="section-4"><num>4</num><heading>What constitutes an offer</heading><subsection eId="section-4-1"><num>(1)</num><intro><p>For a proposal to constitute an “<term refersTo="#term-offer" eId="term-offer">offer</term>” in relation to the formation of a contract—</p></intro><level class="para1" eId="section-4-1-a"><num>(a)</num><content><p>the offeree must have reasonable grounds to suppose that the offeror intends the proposal to result in a contract if accepted, and</p></content></level><level class="para1" eId="section-4-1-b"><num>(b)</num><content><p>the proposal must be one which, after taking any relevant enactment or rule of law into account, could be given legal effect as a contract if accepted.</p></content></level></subsection><subsection eId="section-4-2"><num>(2)</num><intro><p>Any such offer may be addressed—</p></intro><level class="para1" eId="section-4-2-a"><num>(a)</num><content><p>to a specific person,</p></content></level><level class="para1" eId="section-4-2-b"><num>(b)</num><content><p>to persons of a particular description,</p></content></level><level class="para1" eId="section-4-2-c"><num>(c)</num><content><p>to persons in general, or</p></content></level><level class="para1" eId="section-4-2-d"><num>(d)</num><content><p>to the public at large.</p></content></level></subsection><subsection eId="section-4-3"><num>(3)</num><content><p>Subsections <ref href="#section-4-1">(1)</ref> and <ref href="#section-4-2">(2)</ref> are without prejudice to the application of any relevant enactment, or rule of law, in relation to the constitution of a unilateral promise.</p></content></subsection></section><section eId="section-5"><num>5</num><heading>Revocation of offer</heading><subsection eId="section-5-1"><num>(1)</num><intro><p>An offer in relation to the formation of a contract may be revoked by the offeror but only if the revocation takes effect before—</p></intro><level class="para1" eId="section-5-1-a"><num>(a)</num><content><p>the offeree accepts the offer,</p></content></level><level class="para1" eId="section-5-1-b"><num>(b)</num><content><p>from the statements or conduct of the offeree it may be determined that, as mentioned in <ref href="#section-2">section 2</ref><ref href="#section-2-4">(4)</ref>, agreement has been reached, or</p></content></level><level class="para1" eId="section-5-1-c"><num>(c)</num><content><p>the offeree begins performance such as is referred to in <ref href="#section-3">section 3</ref><ref href="#section-3-2">(2)</ref>.</p></content></level></subsection><subsection eId="section-5-2"><num>(2)</num><content><p>Subsection <ref href="#section-5-1">(1)</ref> is subject to subsections <ref href="#section-5-3">(3)</ref> and <ref href="#section-5-4">(4)</ref>.</p></content></subsection><subsection eId="section-5-3"><num>(3)</num><intro><p>Where such an offer is addressed to persons in general, persons of a particular description or the public at large—</p></intro><level class="para1" eId="section-5-3-a"><num>(a)</num><intro><p>revocation is, in a case—</p></intro><level class="para2" eId="section-5-3-a-i"><num>(i)</num><content><p>other than is mentioned in <ref href="#section-5-3-a-ii">sub-paragraph (ii)</ref>, to be effected by the same means as were used to make the offer, and</p></content></level><level class="para2" eId="section-5-3-a-ii"><num>(ii)</num><content><p>where the means of effecting revocation is specified in the offer, to be effected by the means so specified, and</p></content></level></level><level class="para1" eId="section-5-3-b"><num>(b)</num><content><p><ref href="#section-5-1">subsection (1)</ref> is to be construed, in determining whether revocation affects a particular person, as if for references in the subsection to the offeree there were substituted references to that person.</p></content></level></subsection><subsection eId="section-5-4"><num>(4)</num><intro><p>Revocation under <ref href="#section-5-1">subsection (1)</ref> is ineffective if—</p></intro><level class="para1" eId="section-5-4-a"><num>(a)</num><content><p>it is manifest from the terms of the offer in question that it is intended to be irrevocable, or</p></content></level><level class="para1" eId="section-5-4-b"><num>(b)</num><content><p>the offeror has, in a declaration which has taken effect, stated that it is irrevocable.</p></content></level></subsection></section><section eId="section-6"><num>6</num><heading>Lapsing of offer on fundamental change of circumstances</heading><subsection eId="section-6-1"><num>(1)</num><content><p>An offer in relation to the formation of a contract lapses on a fundamental change of circumstances and having lapsed can no longer be accepted.</p></content></subsection><subsection eId="section-6-2"><num>(2)</num><intro><p>Without prejudice to the generality of <ref href="#section-5-1">subsection (1)</ref>, there is a fundamental change of circumstances if, after the offer is made but before a contract is formed, the offeror or offeree—</p></intro><level class="para1" eId="section-6-2-a"><num>(a)</num><content><p>dies, or</p></content></level><level class="para1" eId="section-6-2-b"><num>(b)</num><content><p>becomes incapable of making any decision as to whether to form the contract.</p></content></level></subsection><subsection eId="section-6-3"><num>(3)</num><content><p>But an offer such as is mentioned in <ref href="#section-5-1">subsection (1)</ref> does not lapse where, after it is made but before a contract is formed, the offeror or offeree becomes insolvent.</p></content></subsection><subsection eId="section-6-4"><num>(4)</num><intro><p>For the purposes of <ref href="#section-6-3">subsection (3)</ref>—</p></intro><level class="para1" eId="section-6-4-a"><num>(a)</num><intro><p>an offeror or offeree who is an individual, or the estate of which may be sequestrated by virtue of section 6 of the Bankruptcy (Scotland) Act 2016, becomes insolvent when—</p></intro><level class="para2" eId="section-6-4-a-i"><num>(i)</num><content><p>that person’s estate is sequestrated,</p></content></level><level class="para2" eId="section-6-4-a-ii"><num>(ii)</num><content><p>that person grants a trust deed for creditors or makes a composition or arrangement with creditors,</p></content></level><level class="para2" eId="section-6-4-a-iii"><num>(iii)</num><content><p>a voluntary arrangement proposed by that person is approved,</p></content></level><level class="para2" eId="section-6-4-a-iv"><num>(iv)</num><content><p>that person’s application for a debt payment programme is approved under section 2 of the Debt Arrangement and Attachment (Scotland) Act 2002, or</p></content></level><level class="para2" eId="section-6-4-a-v"><num>(v)</num><content><p>that person becomes subject to any other order or arrangement analogous to those mentioned in sub-paragraphs <ref href="#section-6-4-a-i">(i)</ref> to <ref href="#section-6-4-a-iv">(iv)</ref> anywhere in the world, and</p></content></level></level><level class="para1" eId="section-6-4-b"><num>(b)</num><intro><p>an offeror or offeree other than is mentioned in <ref href="#section-6-4-a">paragraph (a)</ref> becomes insolvent when—</p></intro><level class="para2" eId="section-6-4-b-i"><num>(i)</num><content><p>a decision approving a voluntary arrangement entered into by that person has effect under section 4A of the Insolvency Act 1986 (“<term refersTo="#term-the-1986-act" eId="term-the-1986-act">the 1986 Act</term>”),</p></content></level><level class="para2" eId="section-6-4-b-ii"><num>(ii)</num><content><p>that person is wound up under Part 4 or 5 of the 1986 Act or under section 367 of the Financial Services and Markets Act 2000,</p></content></level><level class="para2" eId="section-6-4-b-iii"><num>(iii)</num><content><p>a receiver is appointed, under section 51(1) or (2) of the 1986 Act, over all or part of the property of that person,</p></content></level><level class="para2" eId="section-6-4-b-iv"><num>(iv)</num><content><p>that person enters administration (“enters administration” being construed in accordance with paragraph 1(2) of schedule B1 of the 1986 Act), or</p></content></level><level class="para2" eId="section-6-4-b-v"><num>(v)</num><content><p>that person becomes subject to any other order or arrangement analogous to those mentioned in sub-paragraphs <ref href="#section-6-4-b-i">(i)</ref> to <ref href="#section-6-4-b-iv">(iv)</ref> anywhere in the world.</p></content></level></level></subsection><subsection eId="section-6-5"><num>(5)</num><content><p>Subsections <ref href="#section-6-1">(1)</ref> to <ref href="#section-6-4">(4)</ref> are without prejudice to the application of any relevant enactment, or rule of law, in relation to the transaction with regard to which the offer is made.</p></content></subsection><subsection eId="section-6-6"><num>(6)</num><intro><p>The Scottish Ministers may, by regulations subject to the affirmative procedure—</p></intro><level class="para1" eId="section-6-6-a"><num>(a)</num><content><p>amend <ref href="#section-6-4">subsection (4)</ref><ref href="#section-6-4-a">(a)</ref> or <ref href="#section-6-4-b">(b)</ref>,</p></content></level><level class="para1" eId="section-6-6-b"><num>(b)</num><content><p>specify further circumstances in which a person becomes insolvent for the purposes of <ref href="#section-6-3">subsection (3)</ref>.</p></content></level></subsection><subsection eId="section-6-7"><num>(7)</num><content><p>In <ref href="#section-6-2">subsection (2)</ref><ref href="#section-6-2-b">(b)</ref>, “<term refersTo="#term-incapable" eId="term-incapable">incapable</term>” has the meaning given to that expression by section 1(6) of the Adults with Incapacity (Scotland) Act 2000.</p></content></subsection></section><section eId="section-7"><num>7</num><heading>Acceptance of offer</heading><subsection eId="section-7-1"><num>(1)</num><intro><p>In this Part, any reference to acceptance of an offer is to—</p></intro><level class="para1" eId="section-7-1-a"><num>(a)</num><content><p>a statement (in whatever form), or</p></content></level><level class="para1" eId="section-7-1-b"><num>(b)</num><content><p>conduct (of whatever kind),</p></content></level><wrapUp><p>of the offeree which shows the unqualified assent of the offeree to the offer.</p></wrapUp></subsection><subsection eId="section-7-2"><num>(2)</num><content><p>But any such conduct as is mentioned in <ref href="#section-7-1">subsection (1)</ref><ref href="#section-7-1-b">(b)</ref> must be conduct of which the offeror is, or ought to be, aware.</p></content></subsection><subsection eId="section-7-3"><num>(3)</num><content><p>Silence or inactivity is not in itself to be taken to show such assent.</p></content></subsection><subsection eId="section-7-4"><num>(4)</num><content><p>This section is without prejudice to <ref href="#section-2">section 2</ref><ref href="#section-2-2">(2)</ref> and <ref href="#section-2-3">(3)</ref>.</p></content></subsection></section><section eId="section-8"><num>8</num><heading>Qualified acceptance of offer</heading><subsection eId="section-8-1"><num>(1)</num><intro><p>Subsection <ref href="#section-8-2">(2)</ref> applies where, as regards an offer (in this section referred to as “<term refersTo="#term-the-original-offer" eId="term-the-original-offer">the original offer</term>”) in relation to the formation of a contract, a qualified acceptance by the offeree provides for any or all of the following—</p></intro><level class="para1" eId="section-8-1-a"><num>(a)</num><content><p>terms additional to those of the original offer,</p></content></level><level class="para1" eId="section-8-1-b"><num>(b)</num><content><p>terms different from those of the original offer,</p></content></level><level class="para1" eId="section-8-1-c"><num>(c)</num><content><p>the omission of terms of the original offer.</p></content></level></subsection><subsection eId="section-8-2"><num>(2)</num><intro><p>The qualified acceptance (however expressed) is taken to be both—</p></intro><level class="para1" eId="section-8-2-a"><num>(a)</num><content><p>a rejection of the original offer, and</p></content></level><level class="para1" eId="section-8-2-b"><num>(b)</num><content><p>a counter-offer.</p></content></level></subsection><subsection eId="section-8-3"><num>(3)</num><content><p>Subsection <ref href="#section-8-2">(2)</ref> is without prejudice to <ref href="#section-2">section 2</ref><ref href="#section-2-2">(2)</ref>.</p></content></subsection></section><section eId="section-9"><num>9</num><heading>Rejection of offer</heading><content><p>On the rejection of an offer (whether or not an irrevocable offer) in relation to the formation of a contract, the offer lapses.</p></content></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-withdrawal-of-offer-or-acceptance"><heading>Withdrawal of offer or acceptance</heading><section eId="section-10"><num>10</num><heading>Withdrawal of offer or acceptance</heading><intro><p>In relation to the formation of a contract—</p></intro><level class="para1" eId="section-10-a"><num>(a)</num><content><p>an offer, whether or not an irrevocable offer, may be withdrawn by the offeror if notification of the withdrawal takes effect before, or at the same time as, notification of the offer takes effect, and</p></content></level><level class="para1" eId="section-10-b"><num>(b)</num><content><p>an acceptance may be withdrawn by the offeree if notification of the withdrawal takes effect before, or at the same time as, notification of the acceptance takes effect.</p></content></level></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-time-limits"><heading>Time limits</heading><section eId="section-11"><num>11</num><heading>Time limits</heading><subsection eId="section-11-1"><num>(1)</num><intro><p>In relation to the formation of a contract, notification of acceptance of an offer is only effective if it occurs—</p></intro><level class="para1" eId="section-11-1-a"><num>(a)</num><content><p>before the expiry of any period of time specified in the offer, or</p></content></level><level class="para1" eId="section-11-1-b"><num>(b)</num><content><p>if no period of time is specified in the offer, within a reasonable time after the notification of the offer has taken effect.</p></content></level></subsection><subsection eId="section-11-2"><num>(2)</num><intro><p>Notification of acceptance of an offer occurs when—</p></intro><level class="para1" reaches the offeror,</p></content></level><level class="para1" eId="section-11-2-b"><num>(b)</num><content><p>in the case of <ref href="#section-7">section 7</ref><ref href="#section-7-1">(1)</ref><ref href="#section-7-1-b">(b)</ref>, the offeror is aware, or ought to be aware, of the conduct in question.</p></content></level></subsection><subsection eId="section-11-3"><num>(3)</num><content><p>Performance of an act as described in <ref href="#section-3">section 3</ref><ref href="#section-3-1">(1)</ref> is effective only if it is begun before the expiry of any period of time mentioned in <ref href="#section-11-1">subsection (1)</ref>.</p></content></subsection><subsection eId="section-11-4"><num>(4)</num><content><p>Sections <ref href="#section-13">13</ref><ref href="#section-13-3">(3)</ref> and <ref href="#section-13-4">(4)</ref> apply for the purposes of <ref href="#section-11-2">subsection (2)</ref><ref href="#section-11-2-a">(a)</ref> as they apply for the purposes of <ref href="#section-13">section 13</ref><ref href="#section-13-1">(1)</ref>.</p></content></subsection></section><section eId="section-12"><num>12</num><heading>Commencement of a period of time within which a response to an offer is required</heading><subsection eId="section-12-1"><num>(1)</num><intro><p>Subsection <ref href="#section-12-2">(2)</ref> applies where, in relation to the formation of a contract, the terms of an offer—</p></intro><level class="para1" eId="section-12-1-a"><num>(a)</num><content><p>stipulate that the offeree must respond to the offer within a period of time, but</p></content></level><level class="para1" eId="section-12-1-b"><num>(b)</num><content><p>do not make clear when the period is to begin.</p></content></level></subsection><subsection eId="section-12-2"><num>(2)</num><content><p>The period begins on the taking effect of the notification of the offer.</p></content></subsection></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-notification"><heading>Notification</heading><section eId="section-13"><num>13</num><heading>When notification takes effect</heading><subsection eId="section-13-1"><num>(1)</num><content><p>In relation to the formation of a contract, a notification to a person of an offer, acceptance, counter-offer, withdrawal, rejection, revocation or declaration takes effect on reaching that person.</p></content></subsection><subsection eId="section-13-2"><num>(2)</num><content><p>Subsection <ref href="#section-13-1">(1)</ref> is subject to section 11(1).</p></content></subsection><subsection eId="section-13-3"><num>(3)</num><content><p>For the purposes of <ref href="#section-13-1">subsection (1)</ref>, a notification reaches a person when it is made available to the person in such circumstances as make it reasonable to expect the person to be able to obtain access to it without undue delay.</p></content></subsection><subsection eId="section-13-4"><num>(4)</num><intro><p>Circumstances in which it may be reasonable to expect that a person is able to obtain access to a notification without undue delay include—</p></intro><level class="para1" eId="section-13-4-a"><num>(a)</num><content><p>when it is delivered to the person,</p></content></level><level class="para1" eId="section-13-4-b"><num>(b)</num><content><p>when it is delivered to the person’s place of business,</p></content></level><level class="para1" eId="section-13-4-c"><num>(c)</num><content><p>in a case where either the person does not have a place of business or the notification does not relate to a business matter, when it is delivered to the person’s habitual residence, or</p></content></level><level class="para1" eId="section-13-4-d"><num>(d)</num><content><p>in the case of a notification transmitted by electronic means, when it becomes available to be accessed by the person.</p></content></level></subsection></section><section eId="section-14"><num>14</num><heading>Abolition of any rule of law as to when notification of postal acceptance takes effect</heading><content><p>Any rule of law whereby, in relation to the formation of a contract, an acceptance sent by means of a postal service takes effect when posted is abolished.</p></content></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-1-crossheading-general"><heading>General</heading><section eId="section-15"><num>15</num><heading>Interpretation of Part 1</heading><subsection eId="section-15-1"><num>(1)</num><intro><p>In this Part (except where the context otherwise requires)—</p></intro><hcontainer name="definition"><content><p>“<term refersTo="#term-acceptance" eId="term-acceptance">acceptance</term>” is to be construed in accordance with <ref href="#section-7">section 7</ref>,</p></content></hcontainer><hcontainer name="definition"><content><p>“<term refersTo="#term-counter-offer" eId="term-counter-offer">counter-offer</term>” is to be construed by reference to <ref href="#section-8">section 8</ref><ref href="#section-8-2">(2)</ref>,</p></content></hcontainer><hcontainer name="definition"><content><p>“<term refersTo="#term-offer" eId="term-offer">offer</term>” is to be construed in accordance with <ref href="#section-4">section 4</ref> (and includes a counter-offer),</p></content></hcontainer><hcontainer name="definition"><content><p>“<term refersTo="#term-offeree" eId="term-offeree">offeree</term>” means a person to whom an offer is made, and</p></content></hcontainer><hcontainer name="definition"><content><p>“<term refersTo="#term-offeror" eId="term-offeror">offeror</term>” means a person who makes an offer.</p></content></hcontainer></subsection><subsection eId="section-15-2"><num>(2)</num><content><p>In this Part (except where the context otherwise requires), a reference to a “<term refersTo="#term-postal-service" eId="term-postal-service">postal service</term>” is to be construed in accordance with the definition of “postal services” in section 27(1) of the Postal Services Act 2011.</p></content></subsection><subsection eId="section-15-3"><num>(3)</num><content><p>In this Part, any reference to the taking effect of a notification is to be construed in accordance with <ref href="#section-13">section 13</ref>.</p></content></subsection></section></hcontainer></part><part eId="part-2"><num>Part 2</num><heading>Remedies for Breach of Contract</heading><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-2-crossheading-autonomy-of-parties"><heading>Autonomy of parties</heading><section eId="section-16"><num>16</num><heading>Autonomy of parties: application of sections 17 to 24 and of the Law Reform (Contributory Negligence) Act 1945</heading><subsection eId="section-16-1"><num>(1)</num><intro><p>Sections 17 to 21 apply in relation to any breach of contract—</p></intro><level class="para1" eId="section-16-1-a"><num>(a)</num><content><p>except in so far as the parties to the contract have agreed otherwise, and</p></content></level><level class="para1" eId="section-16-1-b"><num>(b)</num><content><p>except that if the contract includes any term which the parties intend should continue to have effect even after the contract is rescinded, those sections are without prejudice to that term.</p></content></level></subsection><subsection eId="section-16-2"><num>(2)</num><content><p>Sections 22 to 24 apply in relation to any breach of contract, or anticipatory breach of contract, except in so far as the parties to the contract have agreed otherwise.</p></content></subsection><subsection eId="section-16-3"><num>(3)</num><content><p>The parties to a contract may agree that the Law Reform (Contributory Negligence) Act 1945 is to be disregarded in determining any question as to reducing, by virtue of a breach of the contract by a party, any damages recoverable from the other party.</p></content></subsection><subsection eId="section-16-4"><num>(4)</num><content><p>An agreement of the kind referred to in subsections <ref href="#section-16-1">(1)</ref> to <ref href="#section-16-3">(3)</ref> may be express or implied.</p></content></subsection></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-2-crossheading-mutuality-of-contract"><heading>Mutuality of contract</heading><section eId="section-17"><num>17</num><heading>Mutuality of contract</heading><subsection eId="section-17-1"><num>(1)</num><content><p>Subsection (2) applies where any two parties to a contract (those parties being in this section referred to as “<term refersTo="#term-pa" eId="term-pa">PA</term>” and “PB”) are each in breach of the contract.</p></content></subsection><subsection eId="section-17-2"><num>(2)</num><content><p>PA is entitled to exercise any right, or pursue any remedy, arising out of PB’s breach provided PB’s breach occurs before the contract is lawfully rescinded for PA’s breach.</p></content></subsection><subsection eId="section-17-3"><num>(3)</num><intro><p>But subsection (2) does not entitle PA to require PB to perform the contract in so far as—</p></intro><level class="para1" eId="section-17-3-a"><num>(a)</num><content><p>such performance falls due after the contract is so rescinded, or</p></content></level><level class="para1" eId="section-17-3-b"><num>(b)</num><content><p>PB is (for PA’s breach) lawfully withholding such performance.</p></content></level></subsection></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-2-crossheading-rescission-for-breach-of-contract"><heading>Rescission for breach of contract</heading><section eId="section-18"><num>18</num><heading>Rescission for breach of contract: return of benefits received</heading><subsection eId="section-18-1"><num>(1)</num><content><p>On a contract being lawfully rescinded for breach of contract, this section and sections 19 to 21 apply if a party to the contract received any benefit from the performance by another party of an obligation under the contract.</p></content></subsection><subsection eId="section-18-2"><num>(2)</num><content><p>But this section and sections 19 to 21 do not apply in respect of any benefit which fully reciprocated the performance of such an obligation by the party which received the benefit.</p></content></subsection><subsection eId="section-18-3"><num>(3)</num><content><p>The party which received the benefit is in those sections referred to as “<term refersTo="#term-the-recipient" eId="term-the-recipient">the recipient</term>”.</p></content></subsection><subsection eId="section-18-4"><num>(4)</num><content><p>The benefit must be returned to the other party provided that the other party concurrently returns any benefit it received from the performance by the recipient of an obligation under the contract.</p></content></subsection><subsection eId="section-18-5"><num>(5)</num><content><p>In so far as the performance was a payment of money, the amount received must be repaid.</p></content></subsection><subsection eId="section-18-6"><num>(6)</num><content><p>In so far as the benefit was not a payment of money but is transferable by the recipient, it must be transferred to the other party unless it would be unreasonable or impracticable to do so, in which case its return is to be by the payment to the other party of its value.</p></content></subsection><subsection eId="section-18-7"><num>(7)</num><intro><p>In so far as the benefit was not a payment of money and is not transferable by the recipient, its return is to be by the payment to the other party of—</p></intro><level class="para1" eId="section-18-7-a"><num>(a)</num><content><p>its value, or</p></content></level><level class="para1" eId="section-18-7-b"><num>(b)</num><content><p>if it has been disposed of for an amount greater than its value, that greater amount.</p></content></level></subsection><subsection eId="section-18-8"><num>(8)</num><content><p>The requirement to return a benefit includes a requirement to return the fruits of the benefit (whether natural or civil).</p></content></subsection></section><section eId="section-19"><num>19</num><heading>Value of benefit</heading><subsection eId="section-19-1"><num>(1)</num><content><p>This section applies where the recipient is required, by section 18(6) or (7), to pay the value of a benefit.</p></content></subsection><subsection eId="section-19-2"><num>(2)</num><content><p>The payment is the value of the benefit as at the time of the performance by the other party.</p></content></subsection><subsection eId="section-19-3"><num>(3)</num><content><p>Where there was an agreed price, the value of the benefit is that proportion of the price which the value of the actual performance bears to the value of the promised performance.</p></content></subsection><subsection eId="section-19-4"><num>(4)</num><content><p>Where there was no agreed price, the value of the benefit is the sum of money which a willing and capable provider and a willing and capable recipient would reasonably be taken to have agreed for the actual performance.</p></content></subsection><subsection eId="section-19-5"><num>(5)</num><content><p>But subsections (2) to (4) are subject to subsection (6).</p></content></subsection><subsection eId="section-19-6"><num>(6)</num><content><p>The recipient’s liability to pay the value of a benefit is reduced to the extent that, as a result of the non-performance of an obligation owed by the other party to the recipient (being an obligation under the contract) the recipient is compelled, without compensation, either to dispose of the benefit or to sustain a disadvantage in order to preserve it.</p></content></subsection></section><section eId="section-20"><num>20</num><heading>Compensation for reduction in value of a returned benefit</heading><subsection eId="section-20-1"><num>(1)</num><content><p>This section applies where the recipient is required, by section 18(6), to transfer a benefit.</p></content></subsection><subsection eId="section-20-2"><num>(2)</num><content><p>The recipient must pay compensation for any reduction in the value of the benefit as a result of a change in the condition of the benefit between the time of receipt and the time of transfer to the other party.</p></content></subsection><subsection eId="section-20-3"><num>(3)</num><intro><p>But the recipient’s liability to pay compensation under subsection (2) is reduced to the extent that the change in condition is a result of—</p></intro><level class="para1" eId="section-20-3-a"><num>(a)</num><content><p>the non-performance of an obligation owed by the other party to the recipient (being an obligation under the contract), or</p></content></level><level class="para1" eId="section-20-3-b"><num>(b)</num><content><p>conduct of the recipient in the reasonable, but mistaken, belief that the other party’s performance of an obligation so owed conformed with the contract.</p></content></level></subsection></section><section eId="section-21"><num>21</num><heading>Use and improvement</heading><subsection eId="section-21-1"><num>(1)</num><content><p>The recipient must pay the other party a reasonable amount for any use which the recipient made of the benefit (except in so far as the recipient is liable to pay compensation to the other party under section 20(2) in respect of that use).</p></content></subsection><subsection eId="section-21-2"><num>(2)</num><intro><p>If a recipient improved a benefit which the recipient is required by section 18(4) to return, the recipient has a right to payment for the value of the improvement (provided that the other party could readily obtain that value by dealing with the benefit) unless—</p></intro><level class="para1" eId="section-21-2-a"><num>(a)</num><content><p>the making of the improvement was in itself a breach of the contract, or</p></content></level><level class="para1" eId="section-21-2-b"><num>(b)</num><content><p>the recipient made the improvement when the recipient knew, or ought to have known, that the benefit would require to be returned.</p></content></level></subsection></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-2-crossheading-contractual-retention"><heading>Contractual retention</heading><section eId="section-22"><num>22</num><heading>Application of contractual retention</heading><subsection eId="section-22-1"><num>(1)</num><intro><p>A party to a contract (“<term refersTo="#term-pa" eId="term-pa">PA</term>”) may temporarily withhold or suspend performance of an obligation that is due to be performed under the contract (“contractual retention”)—</p></intro><level class="para1" eId="section-22-1-a"><num>(a)</num><content><p>following a breach of a counterpart obligation by the other party to the contract (“<term refersTo="#term-pb" eId="term-pb">PB</term>”),</p></content></level><level class="para1" eId="section-22-1-b"><num>(b)</num><content><p>in anticipation of a breach of a counterpart obligation by PB (an “anticipatory breach”), or</p></content></level><level class="para1" eId="section-22-1-c"><num>(c)</num><content><p>in relation to an obligation subsisting when the contract is ended by PA as a result of PB’s breach or an anticipatory breach.</p></content></level></subsection><subsection eId="section-22-2"><num>(2)</num><intro><p>For the purposes of subsection (1)—</p></intro><level class="para1" eId="section-22-2-a"><num>(a)</num><content><p>the contractual obligations of each party are presumed to be counterparts unless it can be shown that the parties do not intend the obligations to be counterparts,</p></content></level><level class="para1" eId="section-22-2-b"><num>(b)</num><content><p>counterpart obligations may be contained in separate contracts as long as the contracts form part of the same transaction.</p></content></level></subsection><subsection eId="section-22-3"><num>(3)</num><intro><p>The breach or anticipatory breach referred to in subsection (1)—</p></intro><level class="para1" eId="section-22-3-a"><num>(a)</num><content><p>must be a material breach in the case of an anticipatory breach,</p></content></level><level class="para1" eId="section-22-3-b"><num>(b)</num><content><p>need not be a material breach in any other case.</p></content></level></subsection><subsection eId="section-22-4"><num>(4)</num><content><p>The effect of the contractual retention must not be clearly disproportionate to the effects of the breach or anticipatory breach referred to in subsection (1).</p></content></subsection><subsection eId="section-22-5"><num>(5)</num><content><p>PA may contractually retain part of an obligation in order that the contractual retention is not clearly disproportionate in terms of subsection (4).</p></content></subsection><subsection eId="section-22-6"><num>(6)</num><content><p>PA may exercise contractual retention until PB has performed the obligation referred to in subsection (1) or has paid damages in lieu of performance.</p></content></subsection></section><section eId="section-23"><num>23</num><heading>Notification of contractual retention for an anticipatory breach of contract</heading><subsection eId="section-23-1"><num>(1)</num><intro><p>Where PA exercises contractual retention for an anticipatory breach by PB in accordance with section 22(1)(b), PA must notify PB of the contractual retention—</p></intro><level class="para1" eId="section-23-1-a"><num>(a)</num><content><p>before the contractual retention begins, or</p></content></level><level class="para1" eId="section-23-1-b"><num>(b)</num><content><p>as soon as reasonably practicable after the start of the contractual retention.</p></content></level></subsection><subsection eId="section-23-2"><num>(2)</num><content><p>For the purposes of subsection (1), a notification must be written or oral.</p></content></subsection></section><section eId="section-24"><num>24</num><heading>Contractual retention in proceedings</heading><subsection eId="section-24-1"><num>(1)</num><content><p>In proceedings disputing a contractual retention on the basis of section 22(4), it is for the party disputing the contractual retention to show that the contractual retention is clearly disproportionate to the breach or anticipatory breach.</p></content></subsection><subsection eId="section-24-2"><num>(2)</num><content><p>In proceedings for breach of contract, it is a defence for a party to show that their failure to perform an obligation constitutes contractual retention.</p></content></subsection></section><section eId="section-25"><num>25</num><heading>Interaction of contractual retention with existing law</heading><intro><p>Sections 22 to 24 are without prejudice to—</p></intro><level class="para1" eId="section-25-a"><num>(a)</num><intro><p>the application of any enactment, or rule of law, including in relation to—</p></intro><level class="para2" eId="section-25-a-i"><num>(i)</num><content><p>lien,</p></content></level><level class="para2" eId="section-25-a-ii"><num>(ii)</num><content><p>set off, netting, or close out,</p></content></level><level class="para2" eId="section-25-a-iii"><num>(iii)</num><content><p>compensation,</p></content></level><level class="para2" eId="section-25-a-iv"><num>(iv)</num><content><p>anticipatory breach of contract (except as specifically provided by this Act),</p></content></level><level class="para2" eId="section-25-a-v"><num>(v)</num><content><p>the remedy known as equitable or special retention,</p></content></level><level class="para2" eId="section-25-a-vi"><num>(vi)</num><content><p>any other circumstances in which the right to retain or abate obligations is conferred, including in relation to retention for reasons other than contractual breach, and</p></content></level></level><level class="para1" eId="section-25-b"><num>(b)</num><content><p>the power of a court to refuse the exercise of contractual retention where that retention is, or would be, inequitable.</p></content></level></section></hcontainer><hcontainer name="crossheading" ukl:Name="Pblock" eId="part-2-crossheading-amendment-of-law-reform-contributory-negligence-act-1945"><heading>Amendment of Law Reform (Contributory Negligence) Act 1945</heading><section eId="section-26"><num>26</num><heading>Amendment of Law Reform (Contributory Negligence) Act 1945</heading><intro><p>In section 5 of the Law Reform (Contributory Negligence) Act eId="section-27"><num>27</num><heading>Saving</heading><intro><p>The provisions of this Act are without prejudice to any enactment or rule of law which—</p></intro><level class="para1" eId="section-27-a"><num>(a)</num><intro><p>regulates any question which relates to—</p></intro><level class="para2" eId="section-27-a-i"><num>(i)</num><content><p>the formation of a contract,</p></content></level><level class="para2" eId="section-27-a-ii"><num>(ii)</num><content><p>mutuality of contract, or</p></content></level><level class="para2" eId="section-27-a-iii"><num>(iii)</num><content><p>remedies for breach of contract,</p></content></level><wrapUp><p>but is not provided for by the provisions of this Act,</p></wrapUp></level><level class="para1" eId="section-27-b"><num>(b)</num><content><p>requires writing for the formation of a contract,</p></content></level><level class="para1" eId="section-27-c"><num>(c)</num><content><p>prescribes a form for a contract,</p></content></level><level class="para1" eId="section-27-d"><num>(d)</num><content><p>regulates any question which relates to the essential validity of a contract,</p></content></level><level class="para1" eId="section-27-e"><num>(e)</num><content><p>provides protection against unfair contract terms, or</p></content></level><level class="para1" eId="section-27-f"><num>(f)</num><content><p>provides protection for a particular category of contracting person.</p></content></level></section><section eId="section-28"><num>28</num><heading>Ancillary provision</heading><subsection eId="section-28-1"><num>(1)</num><content><p>The Scottish Ministers may by regulations make any incidental, supplementary, consequential, transitional, transitory or saving provision they consider appropriate for the purposes of, in connection with or for giving full effect to this Act or any provision made under it.</p></content></subsection><subsection eId="section-28-2"><num>(2)</num><intro><p>Regulations under this section may—</p></intro><level class="para1" eId="section-28-2-a"><num>(a)</num><content><p>make different provision for different purposes,</p></content></level><level class="para1" eId="section-28-2-b"><num>(b)</num><content><p>modify any enactment (including this Act).</p></content></level></subsection><subsection eId="section-28-3"><num>(3)</num><intro><p>Regulations under this section—</p></intro><level class="para1" eId="section-28-3-a"><num>(a)</num><content><p>are subject to the affirmative procedure if they add to, replace or omit any part of the text of an Act, and</p></content></level><level class="para1" eId="section-28-3-b"><num>(b)</num><content><p>are otherwise subject to the negative procedure.</p></content></level></subsection></section><section eId="section-29"><num>29</num><heading>Commencement</heading><subsection eId="section-29-1"><num>(1)</num><content><p>This section and sections 15, 27, 28 and 30 come into force on the day after Royal Assent.</p></content></subsection><subsection eId="section-29-2"><num>(2)</num><content><p>The other provisions of this Act come into force on such day as the Scottish Ministers may by regulations appoint.</p></content></subsection><subsection eId="section-29-3"><num>(3)</num><intro><p>Regulations under this section—</p></intro><level class="para1" eId="section-29-3-a"><num>(a)</num><content><p>may include transitional, transitory or saving provision,</p></content></level><level class="para1" eId="section-29-3-b"><num>(b)</num><content><p>make
