The Secretary of State makes the following Regulations in exercise of the powers conferred by the enactments specified in Schedule 1.

Citation and commencement

1.  These Regulations may be cited as the Companies and Limited Liability Partnerships (Forms, etc.) Amendment Regulations 2013 and come into force on 1st October 2013.

Amendment

2.  In Schedule 2 to the Companies Act 2006 (Commencement No. 8, Transitional Provisions and Savings) Order 2008(1), for paragraph 97 substitute—

97.  Sections 1068 and 1069 of the Companies Act 2006 (registrar’s requirements as to form, authentication and manner of delivery and power to require delivery by electronic means) apply to all documents delivered to the registrar on or after 1st October 2013.

Revocations

3.  The revocations listed in Schedule 2 to these Regulations have effect.

EXPLANATORY NOTE

(This note is not part of the Regulations)

These Regulations revoke a number of instruments relating to prescribed forms for companies and limited liability partnerships that are no longer required.

Regulation 2 amends a transitional provision in the Companies Act 2006 (Commencement No. 8, Transitional Provisions and Savings) Order 2008 (S.I. 2008/2860) and applies the requirements as to form, authentication and manner of delivery in the Companies Act 2006 to documents that are delivered to the registrar from 1st October 2013, regardless of when the obligation to deliver arose.

Regulation 3 revokes Regulations that contain prescribed forms and requirements as to delivery that are redundant as a consequence of the change made by regulation 2.

A regulatory impact assessment has not been prepared for this instrument as it has no impact on business, charities or the voluntary sector.

1989 c.15. Paragraph 71 was repealed by s.1295 and para. 1 of Sch. 16 to the Companies Act 2006 subject to savings made by article 9 and Schedule 3 to S.I. 2007/2194.
