No failure or defect in the appointment of a Governor and no vacancy in the office of a Governor shall prevent the Board from acting.

No action or proceeding of the Board or of any committee of the Board shall be invalidated or be illegal by reason of the failure or defect in the appointment of a Governor or a vacancy on the Board.
