Rheoliadau (Ffurflenni a Dogfenni Cymraeg) Cwmn au (Diwygiad) 1994

Mae'r Ysgrifennydd Gwladol, gan ymarfer â'r pwerau a roddwyd iddo gan adrannau 710B(3) a 744^[1] o Ddeddf Cwmn au 1985^[2], a phob pw*er arall sy'n ei alluogi yn y cyswllt hwnnw, trwy hyn yn gwneud y Rheoliadau canlynol:

    1.    Gellir dyfynnu'r Rheoliadau hyn fel Rheoliadau (Ffurflenni a Dogfenni Cymraeg) Cwmn au (Diwygiad) 1994, a deuant i rym ar 1 Ebrill 1994.

    2.    Yn lle rheoliad 4(3) o Reoliadau (Ffurflenni a Dogfenni Cymraeg) Cwmn au 1994^[3], rhodder y canlynol:
"  (3)  At ddibenion paragraff (2), mae "cwmni perthnasol" yn golygu cwmni fel a grybwyllir yn adran 710B(1)(b), ar wahân i gwmni cyhoeddus y mae ei gyfranddaliadau neu ei ddyledebau, neu unrhyw gategori o'i gyfranddaliadau neu ei ddyledebau, wedi eu rhestru yn unol ag ystyr adran 251(1).^[4]."

Mae'r Rheoliadau hyn yn diwygio Rheoliadau (Ffurflenni a Dogfenni Cymraeg) Cwmn au 1994, O.S. 1994/117 ("y prif Reoliadau"). Mae Rheoliad 4(2) o'r prif Reoliadau'n pennu rhestr o ddogfenni y gall cwmni eu cyflwyno i'r Cofrestrydd Cwmn au yn Gymraeg heb gyfieithiad Saesneg. Mae cymhwyso'r ddarpariaeth hon yn gyfyngedig i "gwmni perthnasol". Mae'r Rheoliadau hyn yn diwygio'r diffiniad o "gwmni perthnasol" a geir yn rheoliad 4(3) o'r prif Reoliadau. Fe'i gwnânt yn glir fod y cwmn au a hepgorir o gymhwyso rheoliad 4(1) a (2) yn rhai cyhoeddus y cynhwysir eu cyfranddaliadau neu eu dyledebau, neu unrhyw gategori ohonynt, yn Rhestr Swyddogol Cyfnewidfa Stoc Ryngwladol y Deyrnas Gyfunol a Gweriniaeth Iwerddon Cyfyngedig.
