Explanatory Note

(This note is not part of the Regulations.)

These Regulations replace in part the Companies (Consolidation of Fees) Regulations (Northern Ireland) 1987, S.R. 1987 No. 258, (“the 1987 Regulations”) which are revoked with savings in the Companies (Inspectors' Reports and Records Inspection) (Fees) Regulations (Northern Ireland) 1995 S.R. 1995 No. 313. They restate some of the fees prescribed in the 1987 Regulations, alter the level of other fees prescribed in those Regulations and introduce some new fees.

The fee for the registration of a company on its formation, or in pursuance of Chapter II of Part XXII of the Companies (Northern Ireland) Order 1986 (“the Order”) is reduced from £50 to £35 (paragraph 1 of the Schedule).

The fee for re-registration of a limited company as unlimited, or for re-registration of a public company as private is increased from £5 to £35 (paragraph 1 of the Schedule).

The fee for re-registration of a private company as a public company or for re-registration of an unlimited company as a limited company is reduced from £50 to £35 (paragraph 1 of the Schedule).

A new fee of £35 for registering particulars in respect of the establishment of a place of business or a branch of a Part XXIII company is introduced (paragraph 2 of the Schedule).

The fee for entering on the register the name of a company assumed by virtue of a special resolution under Article 38 of the Order remains unchanged at £40 (paragraph 3 of the Schedule).

The fee for the registration of an annual return or of copies of accounts and reports delivered under Chapter II of Part XXIII of the Order remains unchanged at £20 (paragraph 4 of the Schedule).

The fee for certifying a copy of any record kept by the registrar is maintained at £1, however the price for each page so certified is increased from 30p per sheet to 40p per sheet (paragraphs 5 and 6 of the Schedule).

The fee for a certified extract from any record kept by the registrar which was £3.50 for the first extract and £2.50 for each subsequent extract is reduced to a single fee of £1.00 for each extract. A fee of 40p is prescribed for each page of a certified extract (paragraphs 5 and 6 of the Schedule).

The fee for supplying a copy of the certificate of incorporation of a company (otherwise than on the incorporation of the company to which it relates) remains unchanged at £3.50 for the first such certificate supplied on any one occasion and at £2.50 for any subsequent certificate supplied on the same occasion (paragraph 7 of the Schedule).

A new fee of £25 is prescribed in respect of registration of a charge under Part XIII of the Order (paragraph 8 of the Schedule).

Regulation 4 of these Regulations and regulation 4 of the Companies (Inspectors' Reports and Records Inspection) (Fees) Regulations (Northern Ireland) 1995 contain transitional provisions.
