Explanatory Note

(This note is not part of the Regulations)

These Regulations set out the forms to be used by limited liability partnerships. Sections 190, 225, 244, 363, 391, 395, 397, 398, 400, 401, 403, 405, 410, 413, 416, 417, 419, 466, 652A and 652D of the Companies Act 1985 concern both the prescription of forms to be used by a company and, in some cases, the prescribed particulars to be set out in the forms. Those sections are applied to limited liability partnerships, with appropriate modifications, by the Limited Liability Partnerships Regulations 2001/1090.

These Regulations provide for the forms set out in Part II of Schedule 1 to be the forms prescribed for the purposes of the provisions of the Companies Act 1985 listed in the second column of that Schedule.

These Regulations also provide that the particulars or information contained in the forms listed in Schedule 2 are the particulars or information prescribed for the purposes of the Companies Act 1985 referred to in the second column of that Schedule.
